KBZPay Official Account (“Official Account Platform”) မှက ြိုဆိုပါသည်။

Welcome to the KBZPay Official Account (the “Official Account Platform”)

KBZBank သည် (" ျွန်ိုပ်တို့ိုသည်", " ျွန်ိုပ်တို့၏

လှုပ်ရှောျားမှုမ ောျားတွင် လွယ် ူဆ ောဆမွွေ့ဆစရန်အတွ ် သင်အောျားအဆိုပါ Official Account Platform အောျားပံပိုျားဆပျားဖ င်ျားဖြစ်သည်။
KBZBank ("we", "our" or "us") provides you with the Official Account Platform in order to facilitate and enable your
provision of various services and brand promotional activities via your Official Account (such services provided by you
being "Your Services").

KBZPay Official Account Platform ိုအသံိုျားဖပြိုရန်အတွ ် သင်သည် KBZBank ၏ပါတနာဖြစ်ရပါမည်။ အဖ ောျားနည်ျားဖြင် ဖ ော်ပြထ ား
ပြငော်ားမရှိြါက၊ ဤသဆ ောတူညီ ်အရ "KBZPay Official Account Platform" ို ရည်ညွှန်ျားဖ င်ျားမှန်သမျှသည် သင်၏ Official
Account ို ရည်ညွှန်ျားပါသည်။
You must be a KBZBank Partner in order to use the Official Account Platform. Unless expressly specified otherwise, any
reference to the "KBZPay Official Account Platform" under this Agreement also refers to your Official Account.

ဤသဆ ောတူညီ ်သည် ဖမန်မောနိုင်ငံရှပိုဂ္ြိုလ်တစ်ဦျားဦျား (သိုို့မဟိုတ်) ဖမန်မောနိုင်ငံ အတွင်ျားရှ ဆနရောဖေသတစ် ိုတွင် ြွွေ့စည်ျားထောျားဆသောအြွွေ့
အစည်ျားတစ် ို ိုမှ အသံိုျားဖပြိုဆဆောင်ရွ ်သည် Official Account အောျားလံိုျားနှင် သ ်ဆိုင်သည်။ဆ ျားဇျားူ ဖပြို၍ ဤသဆ ောတူညီ ်အောျား
ဆသ ောဖပန်လည် သံိုျားသပ်ပါ၊ သင်၏ KBZPay Official Account Platform နှင် သင်၏ Official Account အောျား သင်မှအသံိုျားဖပြိုဖ င်ျားအတွ ်
ဤ သဆ ောတူညီ ်အောျား အမမလို ်နာရမည် ဖြစ်သည်။
This Agreement applies to any Official Account that is operated by a person located, or an Organisation incorporated in a
place Myanmar. Please carefully review this Agreement – your use of the KBZPay Official Account Platform and your
Official Account is always subject to this Agreement.

ဤသဆ ောတူညီ ်အောျား သင်မှသဆ ောမတူပါ KBZPay Official Account Platform အောျား သင်သည် အသံိုျားမဖပြိုရပါ။
If you do not agree to this Agreement, you must not use the KBZPay Official Account Platform.

၁။ နိဒါန်ား
1. Introduction:

၁.၁ အ ယ်၍ သင်သည် ျွန်ိုပ်တို့ို၏ KBZPay Platform အောျား ိုမပဏီတစ် ို၊ အစိုစပ်လိုပ်ငန်ျား၊ အစိုျားရ (သမ
ိုို့ ဟိုတ်) အဖ ောျားဆသော
အြွွေ့အစည်ျား (သင်၏ “အြွွေ့အစည်ျား”) တိုို့ ိုယ်စောျားအသံိုျားဖပြိုဖ င်ျား ဖြစ်ပါ သင်သည်ထိုသိုို့ ဖပြိုလိုပ်နိုင်ဆသော အ ွင်အဆရျားရှဆ ောင်ျား နှင်

 သင်အြွွေ့အစည်ျားအောျား ဤသဆ ောတူညီ ် တွင်ပါဝင်ရန် ြိုပ်ဆိုပိုင်ပိုင် ွင် ရှသည်ဟိုသင်မှအောမ ံပါသည်။ ထိုသဆ

အဆဖ အဆနမ ောျားတွင် “သင်” ဆိုသည် ဆနရောတွင် သင်၏အြွွေ့အစည်ျား ို ထည်သွင်ျားပါဝင်ဆစ မည်ဖြစ်သည်။
1.1 If you are using our KBZPay Platform on behalf of a company, partnership, association, government or other
organisation (your "Organisation"), you warrant that you are authorised to do so and that you are authorised to
bind your Organisation to this Agreement. In such circumstances “you” will include your Organisation.

၁.၂ ျွန်ိုပ်တို့၏

မည်သည်လိုပ်ဆဆောင် ်မ ောျား ိုမဆို) အောျားပံပိုျားဆပျားပါ ဤသဆ ောတူညီ ်သည် အဆိုပါ ိုမပဏီမ ောျားနှင် သင်၏ဆ ်ဆံဆရျား
ိုလည်ျား စီမံ နို့် ွလမ်မည်ဖြစ်ဆ ောင်ျား ို သဆ ောတူပါသည်။
1.2 If any of our subsidiaries, joint ventures or affiliated legal entities (collectively, "affiliate companies") provides
the KBZPay Official Account Platform (or any features within the Official Account Platform) to you, you agree that
this Agreement will also govern your relationship with such companies.

1.3 We may make changes to this Agreement over time, so please come back and review them. In addition, as our
KBZPay Platform and user experience are constantly evolving, we may from time to time (and to the extent
permitted by applicable law) add, change or remove features from the KBZPay Official Account Platform
(including in relation to whether use of the Official Account Platform is free of charge or not), or suspend or
terminate the KBZPay Official Account Platform altogether.

Where we consider that any such changes are reasonably material, we will notify you (via our KBZPay website, direct
communication to you, or other means), prior to the change becoming effective. By continuing to use the KBZPay Official
Account Platform after we make any changes to this Agreement or to the KBZPay Official Account Platform, with or
without notice from us, you are agreeing to be bound by this Agreement as revised.

2. Your KBZPay Official Account

၂.၁ သင် (သမ

တစ် ိုအောျား ျွန်ိုပ်တို့ထ
ို ံတွင်မှတ်ပံိုတင်ရန် လိုအပ်သည်။ သင်၏ Official Account အောျားမှတ်ပံိုတင်ဖ င်ျားနှင် ဆ ်လ ်
အသံိုျားဖပြိုဖ င်ျားတိုို့ဖြင် စပ်လ ဉ်ျား၍ ဤသဆ ောတူညီ ်နှင်တ ွ အဖ ောျားဆသော လိုအပ် ်မ ောျားအလံျားို စံိုအောျား လို ်နာရန် ျွန်ိုပ်တိုို့
အသဆပျားသည်အတိုင်ျား သင်မှသဆ ောတူသည်။
2.1 You are required to register an account with us (your "KBZPay Official Account") to use the KBZPay Official
Account Platform. You agree to comply with this Agreement and any further requirements as notified by us in
relation to your registration of and ongoing use of your Official Account (e.g. the provision of certain information to
us).

၂.၂ သင်၏ KBZPay Official Account အောျား သ ်ဝင်မှုရှဖ င်ျားအတွ ် အတည်ဖပြိုရန် ျွန်ိုပ်တို့ထ
ို ံတွင် ဆလျှော ်ထောျားရမည်ဖြစ်သည်။
KBZPay Official Account အဆထော ်အထောျား စစစ်ဖ င်ျားလိုပ်ငန်ျားစဉ်အတွင်ျား သင်ဆပျားဆသောသတင်ျားအ ်အလ ်မ ောျား အပါအ၀င်
သတင်ျားအ ်အလ ် အရင်ျားအဖမစ် အမ ြိုျားမ ြိုျားအောျား အသံိုျားဖပြို၍ သင်၏ KBZPay Official Account အောျား ျွန်ိုပ်တို့မ
ို ှအတည်
ဖပြိုမည်ဖြစ်သည်။ သင်၏ KBZPay Official Account အောျားအတည်ဖပြိုရန်အတွ ် ျွန်ိုပ်တို့၏
ို ိုယ်ပိုင်ဆံိုျားဖြတ် ်အရ
ဖငင်ျားဆန်နိုင်ဆ ောင်ျား ို သင်မှအသအမှတ်ဖပြိုပါသည်။
2.2 You must apply to authenticate your KBZPay Official Account with us before your KBZPay Official Account can
become active. We may authenticate your KBZPay Official Account using various information sources, including
any information provided by you during the KBZPay Official Account authentication process. You acknowledge
that we may refuse to authenticate your KBZPay Official Account for any reason at our sole discretion.

3. Represent, Warrant and Undertaking:

( ) အ ယ်၍ သင်သည်အြွွေ့အစည်ျားတစ် ိုဖြစ်ပါ သင်သည်တရောျားဝင်ြွွေ့စည်ျား ထောျားမပီျား စီျားပွောျားဆရျားလိုပ်ငန်ျား လိုပ်ဆဆောင်နိုင်ဆသော
အ ွင်အဆရျားရှဆ ောင်ျား၊
(ဂ) ဤသဆ ောတူညီ ်သည် သင်အဆပေါ်တွင် ိုင်လံိုစွော တဖပြိုထောျားဆသော တောဝန်မ ောျားဖြစ်ဆ ောင်ျား၊
(ဃ) သင်သည်ဖမန်မောနိုင်ငံရှတည်ဆဥပဆေမ ောျားအောျားလံိုျား ိုလို ်နာလမ်မည်ဖြစ်ဆ ောင်ျား။
(င)သင်၏သဆ ောတူညီ ်အောျား ၀င်ဆရော ်ဆဆောင်ရွ ်ဖ င်ျားသည် သင်အောျား ြိုပ်ဆနှာင် ထောျားသည် အဖ ောျားသဆ ောတူညီ ်မ ောျား၊
တောဝန်ယူဆဆောင်ရွ ်မှုမ ောျားနှင် တရောျားစီရင် ် သမ
ိုို့ ဟိုတ် တရောျားရံိုျားအမနို့်မ ောျားအောျား ြိုျားဆြော ်ဖ င်ျားနှင် (သမ

ရှဆ ောင်ျားနှင်
(ဆ)သင်၏ KBZPay Official Account Platform (သိုို့မဟိုတ်) KBZPay Official Account ိုအသံိုျားဖပြိုဖ င်ျား အောျားဖြင်
မည်သူတစ်ဦျားတစ်ဆယော ်၏ (ဉောဏပစစည်ျား မူပိုင် ွင် အ ွင်အဆရျားမ ောျားအောျား) မည်သည် အ ွင်အဆရျားမ ောျား ိုမဆို ြိုျားဆြော ်ဖ င်ျား
(သမ
ိုို့ ဟိုတ်) ြိုျားဆြော ်ဖ င်ျား မဖပြိုလိုပ်ဆ ောင်ျား တိုို့ဖြစ်သည်။
3.1 You represent, warrant and undertake throughout the Term that:
(a) you will provide us with true, accurate and complete information in relation to your KBZPay Official Account,
including in relation to your (and your Organisation's) identity, and you will promptly update us if any such
information is changed in the future;
(b) if you are an Organisation, you are validly incorporated and have the power to conduct your business;
(c) this Agreement constitutes valid and binding obligations on you;
(d) you will comply with all applicable laws in Myanmar.
(e) your entering into and performing this Agreement does not breach or conflict with the terms of any other
agreement, undertaking, judgment or court order that binds you;
f) you have all rights necessary to grant us the rights that you purport to grant under this Agreement; and
(g) you will not breach or infringe upon the rights (including Intellectual Property Rights) of any person via your
use of the KBZPay Official Account Platform or the KBZPay Official Account.

၃.၂ သင်၏ KBZPay Official Account ထန်ျားသမ်ျားရန်နှင်ြွံွေ့မြြိုျားတိုျားတ ်ရန် ရည်ရွယ် ်ဖြင် သင်၏၀န်ထမ်ျားမ ောျားအောျား သင်၏
ွင်ဖပြို ်ဖြင် သင်၏ KBZPay Official Account အောျား အသံိုျားဖပြို ွင် ဆပျားနိုင်သည်ဖြစ်မပီျား သင်တွင် အမမတောဝန် ံမှုရှဖ င်ျားမ ောျားသည်
( ) သင် ိုယ်တိုင် (သမ
ိုို့ ဟိုတ်) အဖ ောျားဆသော တတယအြွွေ့အစည်ျားမ ောျားသည် (သင်မှ ွင်ဖပြိုသည်ဖြစ်ဆစ၊ ွင်မဖပြိုသည်ဖြစ်ဆစ) သင်၏
KBZPay Official Account နှင်ဆ ်နွယ်၍ လိုပ်ဆဆောင်တင်ထောျားဆသော အဆ ောင်ျားအရောမ ောျားနှင်ဆ ်စပ်ဆသော ဆဆောင်ရွ ် မှုမ ောျား
( ) သင်၏ KBZPay Official Account အောျား အသံိုျားဖပြိုရန်အတွ ်စ ောျားဝှ ်မ ောျားအောျားလံိုျား ို ထမ်ျားသမ်ျား ော ွယ်ဖ င်ျား၊ နှင်
(ဂ) အ ယ်၍ သင်၏ KBZPay Official Account အောျား အ ိုျား ံရဖ င်ျား ို သရှဖ င်ျား (သမ
ိုို့ ဟိုတ်) သံသယရှဖ င်ျား တဖိုို့ ြစ်ပါ
ျွန်ိုပ်တထ
ိုို့ ံသိုို့ မဆိုင်ျားမတွ ်ဖ င်ျားအဆ ောင်ျား ောျားဖ င်ျားတဖိုို့ ြစ်သည်။
3.2 You may allow your employees to access your Official Account for the purpose of maintaining and developing
your KBZPay Official Account, subject to you always remaining responsible for:
(a) all content posted and activities performed under or in relation to your KBZPay Official Account, whether by
you or by any third parties (whether or not permitted by you);
(b) safeguarding any passwords used to access your KBZPay Official Account; and
(c) promptly notifying us if you know or suspect that your KBZPay Official Account has been compromised.

ိုို့ ဟိုတ် အဖ ောျားဆသောနည်ျားလမ်ျားမ ောျားဖြင် အဖ ောျားမည်သည် ပိုဂ္ြိုလ် ိုမဆို အသံိုျားဖပြို ွင်ဆပျားဖ င်ျား (သိုို့မဟိုတ်)
လိုပ်ဆဆောင် ွင်ဆပျားဖ င်ျားတမ
ိုို့ ဖပြိုလိုပ်ရန် သင်အောျားတောျားဖမစ်ထောျားသည်။ သင် (သမ
ိုို့ ဟိုတ်) ျွန်ိုပ်တို့ို တစ်ဦျားဦျားမှ မည်သည်

 အဆ ောင်ျားဖြင်ဖြစ်ဆစ သင်၏ KBZPay Official Account အောျား ရပ်ဆိုင်ျားဖ င်ျား (သမ
ိုို့ ဟိုတ်) ပတ်ဖ င်ျားတိုို့ ဖပြိုလပ
ို ်ပါ (သိုို့မဟိုတ်)
သင်၏ KBZPay Official Account အောျား သင်မှအ န် ောဖမင်စွော အသံိုျားမဖပြိုဖ င်ျားတတ
ိုို့ ွင် သင်၏ KBZPay Official Account သည်
ျွန်ိုပ်တို့၏
ို ပိုင်ဆိုင်မှုပစစည်ျားအဖြစ် က ွင်ျား န်ရစ်မည်ဖြစ်မပီျား ျွန်ိုပ်တို့သ
ို ည် သင်၏ KBZPay Official Account အောျား
ရပ်စလို ်ဖ င်ျား၊ ပတ်လို ်ဖ င်ျားနှင် ဖပန်လည်အသံိုျား ဖ င်ျားတအ
ိုို့ ောျား ဖပြိုလိုပ်နိုင်သည်။
3.3 You are prohibited from gifting, lending, transferring or otherwise permitting any other person to access or use
your KBZPay Official Account, except in accordance with Section 3.2 above. Your KBZPay Official Account
remains our property and we can disable, reclaim and reuse your KBZPay Official Account once your KBZPay
Official Account is terminated or deactivated for whatever reason by either you or us, or where you have not
accessed your KBZPay Official Account for an extended period of time.

အောျား အ ါအောျားဆလ ော်စွော ဆပျားစွမ်ျားနိုင်မည် ဖြစ်သည်။ ထိုို့အဖပင် ျွန်ိုပ်တို့သ
ို ည် ျွန်ိုပ်တို့၏
ို တစ်ဦျားတည်ျား ဆံိုျားဖြတ် ် အတိုင်ျား သင်
အောျားအ ြိုွေ့ဆသော နည်ျားပညော အဆထော ်အပံမ ောျား ို အ ါအောျားဆလ ော်စွောဆပျားနိုင်ပါသည်။ အ ယ်၍ ျွန်ိုပ်တို့သ

4.1. We may from time to time provide certain technical support resources in relation to the KBZPay Official Account
Platform. In addition, we may from time to time provide certain technical support to you, at our sole discretion. If
we provide such resources or services, we do not guarantee or warrant the accuracy, reliability or performance of
any such resources or services in any way, and the disclaimers of liabilities and representations set out in this
Agreement (including under Sections 9 and 10) apply to such resources and services.

4.2 We will set out certain technical or other requirements applicable to your use of the KBZpay Official Account
Platform from time to time. You agree that you:
(a) will comply with, and will not attempt to circumvent or breach, any such requirements; and

services being collectively the "Products").

you may not monetize the content of official account by selling or transfer the informations or any data to other

5.3 You must comply with any and all other terms as notified by us in relation to your use of the KBZPay Official
Account Platform and the provision of Your Services on the KBZPay Official Account Platform. In addition, you
acknowledge and agree that:
(a) in providing the KBZPay Official Account Platform, we are not the representative, agent, partner, joint
venturer, employee, employer, affiliate or associate of either party to any Transactions;
(b) all information and content relating to the Products published, distributed or communicated through our
KBZPay Official Account Platform is your sole responsibility, and we bear no responsibility for such
information and content;
(c) any Transaction is formed solely between you and the relevant buyer. Except as otherwise expressly
specified under this Agreement, we have no obligation in relation to any Transactions, and the
enforcement of any contractual obligations arising out of completing a Transaction is the responsibility of
you and/or the buyer;
(d) Your official account types and eligibility are to be reviewed quarterly for the first year and every 6 months
thereafter. Based on the Service account requirement, you will either be reclassified as a “Subscription
account” or remain as a “Service accounts”.
(e) You are responsible to ensure compliance with KBZPay Official Account Content Policy at all times when
delivering your content to your customers in all forms of communication including posts, messages,
comments and more.
(f) KBZPay Official Account holds the right to screen the content and subject to approve or reject in
accordance with KBZPay Official Account Content Policy, including screening of words and visuals that
are not deemed appropriate such as:
I.Illegal Products or Services
II.Alcohol and Related Products
III.Tobacco and Related Products
IV.Illegal Drugs and Related Products
V.Sexual Content
VI.Weapons, Ammunition, or Explosives
VII.Misinformation
VIII.Low Quality or Disruptive Content
IX.Unacceptable Business Practices
X.Sale of Body Parts
XI.Third-Party Infringement
XII.Online Gambling
XIII.Discriminatory Practices
XIV.Sensational Content
XV.Political
XVI.Harassment or Bullying

7.1 In relation to any KBZPay users that you interact with (including providing services to) through your KBZPay Official
Account ("End Users") and any personal information that you collect from them or we provide to you ("Personal
Information"), you will:
(a) unless otherwise authorised (including under your privacy policy described under paragraph (c) below)
and/or consented to, use all Personal Information only for the direct purpose of completing the relevant

 Transaction, or otherwise dealing or communicating, with your End Users (as requested by them) via your
KBZPay Official Account. Where this Personal Information is provided by us, it must only be used to
authenticate the End User;
(b) comply with all applicable laws and regulations in Myanmar as amended from time to time, including those
applicable to Personal Information (collectively” the Law Protecting the Privacy and Security of the Citizen”
), and make available to us all information necessary to demonstrate compliance with such applicable Laws
and the requirements of this Section 7.1 including facilitating the conduct of audits and inspections of your
compliance;
(c) establish and comply with a privacy policy that clearly and accurately describes to your End Users what
Personal Information you collect and how you use and share such information (including for advertising) with us
and other third parties (e.g. if any such third parties serves content to, or collects information from, the End
Users). Such privacy policy must, at a minimum, comply with and be consistent with the terms and
requirements set out in this Agreement and our KBZPay User Protection Privacy Policy
(d) implement appropriate technical and organizational security measures to protect such Personal Information
from unauthorised access or use, and regularly test the effectiveness of such security measures;
(e) ensure that all personnel with access to Personal Information are bound by confidentiality obligations;
(f) promptly report to us, End Users and the relevant data protection authorities (where applicable) any
unauthorised access or use of such Personal Information;
(g) insofar as possible, assist us to respond to requests from End Users to exercise their rights under the
applicable Laws and Regulation in Myanmar;
(h) not transfer Personal Information that we have provided to you to other countries or to any other person
without our prior written approval. Any such transfers shall only take place as permitted under the Laws and
Regulation in Myanmar; and
(i) upon our request, you shall (i) render any requested Personal Information anonymous in such a manner that
it no longer constitutes personal data (as defined under the applicable Laws and Regulation in Myanmar); or (ii)
permanently delete or render unreadable the requested Personal Information. Upon request by us, you must
provide written confirmation to us of the anonymisation or deletion of the requested Personal Information as
required by this Section 7.1.

7.2 If any End User submits any content or materials to you ("User Content"), you must comply with any
requirements or restrictions imposed on usage of such User Content by the relevant End User – for example, any
"all rights reserved" or "private and confidential" notices attached to any User Content, Creative Commons
licences or other terms and conditions that may be agreed upon between you and the relevant End User. You
must also delete any User Content, Personal Information or other information that an End User has asked you to
remove, within 48 hours' of such request, or any shorter period in accordance with applicable laws and
regulations.

7.3 You are always solely responsible for accessing and using User Content in compliance with any relevant End
User and other requirements and restrictions (including applicable laws and regulation).

8. Intellectual Property Rights

8.1 Except as expressly stated otherwise, this Agreement does not in any way grant, assign, transfer or license any
of either party's intellectual property rights to the other party.

စပ်လ ဉ်ျားသည် မည်သည် ထိုတ်ဖပန်ဆ ဖငော ် ိုမှမဖပြိုလိုပ်ရပါ။
8.2 You will not make any statement regarding your use of the KBZPay Official Account Platform which suggests
partnership with, sponsorship by or endorsement by us without our prior written approval.

8.3 We may, for our promotional, marketing and other operational purposes:
(a) produce and distribute non-significant depictions, including screenshots, video, or other content from your
Official Account; and
(b) use your company or product name, or any other of your Brand Items, and you grant us all necessary
intellectual property and other rights for such purposes.

9.2 In addition, you agree not to use the KBZPay Official Account Platform or KBZPay for any of the following
purposes:
(a) to replicate or replace any features or experiences accessible on the Official Account Platform;
(b) conduct promotional or cross-promotional activities on third party platforms using your KBZPay Official
Account or the KBZpay Official Account Platform, without our express prior written consent;
(c) concealing or hiding your true identity or otherwise submitting false or incorrect information to us,
including providing false authentication information or engaging in activities that are inconsistent with your
KBZpay Official Account registration or profile information;
(d) use an unreasonable amount of bandwidth;
(e) cache or store any User Content other than for reasonable periods in order to provide the Your Services;
(f) use the KBZPay Official Account Platform for any purpose or application that constitutes, promotes or is
used in connection with spyware, adware, or any other malicious programs or code;
(g) use the KBZPay Official Account Platform in any manner or for any purpose that breaches any law or
regulation in Myanmar or infringes any rights (including intellectual property and privacy rights) of any
third party;
(h) use the KBZPay Official Account Platform in a manner that adversely impacts the stability of KBZPay or
the KBZPay Official Account Platform, including in relation to breaches of any access rate limits or using
any unauthorised third party tools, services or plug-ins on the KBZPay Official Account Platform;

 (i) sell, lease, or sublicense the KBZPay Official Account Platform or your KBZPay Official Account for any
reason, except as expressly permitted under this Agreement; or
(j) otherwise using the KBZPay Official Account Platform in a manner that is contrary to our reasonable
business or operational interests.

available” basis and neither us nor any of our Affiliate Companies make any representation or Warranty or gives
any undertaking in relation to our KBZPay Official Account Platform or any content submitted, transmitted or
displayed by the platform.

11.1 Subject to Article 11 below, any failure or delay on the part of either Party in the performance of their obligations
or duties hereunder shall be excused to the extent attributable to Force Majeure. The term "Force Majeure" as
used herein shall mean nature disasters, perils of navigation, strikes, lockout or other labor disturbances, wars,
blockade, riots, epidemic, earthquake, storms, lightning, flood, and any other similar events under applicable laws
beyond the control or without the fault of either Party and which by the exercise of due diligence neither Party is
able to overcome.

services for any damages caused by:
(a) Any computer virus, trojan horse or other damage caused by malware or hackers
(b) Any malfunction or failure of our or your software, system, hardware or connectivity
(c) Improper or unauthorized use of services or software
(d) Your use of our services in breach of this agreement or
(e) Any reasons beyond our reasonable control, foreseeability or predictability.

waived, limited or excluded under applicable laws:
(a) any liability for death or personal injury;
(b) any liability for gross negligence or wilful misconduct;
(c) any other liability to the extent that such liability cannot be waived, limited or excluded under applicable
laws; and
(d) any of your statutory rights in your jurisdiction (including any rights under applicable laws in Myanmar).

11.5 To ensure the effectiveness of the platform’s management measures, and to avoid bypassing, circumventing or
countering the management of the platform by registering different accounts, setting up or using different entities
for registration, etc., in the circumstances that the same entity, or its affiliate(s) (including but not limited to parent-
subsidiary relationship, head-branch relationship, direct or indirect controlling relationship, including direct or
indirect controlling relationship between the actual controller, directors, supervisors, senior management of the
entity and the affiliate and vice versa, VIE structure controlled by agreement, or existence of other affiliated
relationship confirmed or concluded by the disclosure of securities market, official propaganda, etc.) violates,
separately or collectively multiple times, the applicable laws and regulations in Myanmar and rules or relevant
agreements in connection with the KBZPay Official Account Platform, KBZ Bank, at its discretion, is entitled not to
provide appeal channels and has the right to terminate or reject any provision of the using of the KBZPay Official
Account Platform to such entity(s).

12.1 You agree that you (and your Organisation, if you are using our KBZPay Official Account Platform or Software
on behalf of such Organisation) shall defend, indemnify, and hold harmless KBZ Bank and its affiliates, parents,
and/or subsidiaries, and any of their officers, directors, agents and employees, from and against any and all
claims, actions, proceedings and suits, and all related liabilities, damages, settlements, penalties, fines, costs or
expenses (including reasonable attorneys' fees and other litigation expenses) incurred by the KBZ Bank, arising
out of or relating to :
(a) your use of our KBZPay Official Account Platform (except to the extent such use is expressly permitted
by this Agreement or by us in writing); or
(b) Any breach or alleged breach by you or any representation, warranty, or obligation of you set forth in
this Agreement;.
(c) Any damage or loss caused by negligence, fraud, dishonesty or willful misconduct by you or any of your
employees, agents or customers;
(d) Any alleged or actual violation by you of any applicable laws, regulations or rules

liability to you, including:
(a) for our technical or business purposes, including maintenance works;
(b) if we reasonably believe that you have breached this Agreement;
(c) if your use of the KBZPay Official Account Platform creates risk for us or for other users of our services, gives
rise to a threat of potential third-party claims against us or is potentially damaging to our reputation; or
(d) for any other reason.

notice to you at any time after termination. Please ensure that you regularly back up such content.

14.1 This Agreement is the entire agreement between you and us in relation to its subject matter. You agree that you
will have no claim against us for any statement which is not explicitly set out in this Agreement. The invalidity of
any provision of this Agreement (or parts of any provision) will not affect the validity or enforceability of any other
provision (or the remaining parts of that provision). If a court holds that we cannot enforce any part of this
Agreement as drafted, we may replace those terms with similar terms to the extent enforceable under applicable
laws, without changing the remaining terms of this Agreement. No delay in enforcing any provision of this
Agreement will be construed to be a waiver of any rights under that provision. Any rights and obligations under
this Agreement which by their nature should survive, including but not limited to any obligations in relation to the
liability of, or indemnities (if any) given by, the respective parties, will remain in effect after termination or
expiration of this Agreement. All headings of Sections in this Agreement are for ease of reference only and will
not serve as a basis for interpreting this Agreement. If this Agreement is translated into a non-English version, the
English version of this Agreement will prevail to the extent of any inconsistency with such non-English version.

against any person, and you may not delegate, assign or transfer this Agreement or any rights or obligations
under this Agreement, without our prior written consent. We may freely assign, transfer or sub-contract this
Agreement or our rights and obligations under this Agreement, in whole or in part, without your prior consent or

(ဂ)အနိုညောတ ံိုရိုျားံ အြွွေ့အောျား ံိုသမောဓလူက ီျား၃ဦျားဖြင် ြွွေ့စည်ျားရမည်။ လိုပ်ငန်ျားနှင်သင်တိုို့ ်မှ ံိုသမောဓလူက ီျား ၁ ဦျားစီ ို
နို့်အပ်ရမည်ဖြစ်မပီျား အဆိုပါ ံိုသမောဓလူက ီျားမ ောျားသည် တတယ ံိုသမောဓလူက ီျား ၁ ဦျားအောျား ဖမန်မောနိုင်ငံ၏ အနိုညောတ စီရင်ဆံိုျားဖြတ်မှု
ဥပဆေနှင်အညီ ပူျားတွ နို့်အပ်ရမည်ဖြစ်သည်။ အဆိုပါ ပိုဂြို္ လ်သည် ံိုရံိုျားအက ီျားအ အဖြစ် ဆဆောင်ရွ ်ရမည် ဖြစ်သည်။ အဆိုပါ
အနိုညောတ စီရင်ဆံိုဖြတ်ရောတွင် အသံိုျားဖပြိုသည် ောသောစ ောျားသည် ဖမန်မော ောသောစ ောျား ဖြစ်ရမည်။
15.2 (a) Any dispute arising out of or in connection with this Agreement, including any question regarding its existence,
validity or termination, shall be referred to and finally resolved by arbitration administered by the Myanmar
Arbitration Center in accordance with the Arbitration Rules of the Myanmar Arbitration Law for the time being in
force, which rules are deemed to be incorporated by reference in this Clause 15 save to the extent that they are
inconsistent with the express terms of this Agreement.
(b) The seat of the arbitration shall be Myanmar Arbitration Center, Yangon, Myanmar.
(c) The arbitral tribunal shall consist of three (3) arbitrators. The KBZ Bank and you shall appoint one (1)
arbitrator each and the arbitrators so appointed by the KBZ Bank and you shall jointly appoint the third arbitrator
in accordance with the Myanmar Arbitration Law, who shall be the presiding arbitrator. The language to be used
in the arbitration shall be Myanmar.
