Dear Sir Mikhail,

We, at Alorica Teleservices, Inc. (the “Company”) are pleased to offer you a fixed-term employment as Customer Experience Agent
for Alorica Teleservices, Inc. under the following terms and conditions:

1. Your fixed-term employment shall commence on September 26, 2023 and will end on January 21, 2024 (agreed period)
unless earlier terminated for causes provided by law or this Contract. Your employment shall be considered automatically
terminated on the date indicated in this paragraph without need for any notice; however, on certain occasions and with prior
notice and consent, the said fixed term period may be extended or reduced to support the business and operational needs
of the Company. However, you agree that the company may transfer you to another account, line of business, or program
during your fixed-term period.

Notwithstanding the foregoing, ALORICA has the right to pre-terminate your fixed-term employment at any given time if you
fail to meet the expected standards of work as prescribed by including those indicated in the Program’s Supplemental
Agreement, which shall form part of this contract, or for any breach of ALORICA’s rules and regulations and/or for any other
just or authorized causes provided by law.

2. Your salary, consisting of your daily basic wage / rate, shall be computed at Five Hundred Seven Pesos and Sixty-Nine
Centavos per worked day (Php 507.69), gross of tax, payable fortnightly (every two weeks) subject to deduction for
withholding tax, contributions to the Social Security System (SSS), Philippine Health Insurance Corporation and PAG-IBIG Fund
and other mandatory or allowed deductions.

Should the company extend or reduce your fixed-term period due to business and operational needs, appropriate notice and
compensation shall be given. However, in the event that your employment is terminated earlier than the end date due failure
to meet the expected standards of work as indicated in item 1 (2nd paragraph) of this Contract, your salaries shall be computed
based on the number of days of work actually rendered. You shall not be entitled to an SCP if your employment terminates
earlier for reasons attributable to you.

3. Upon the successful completion of your fixed-term employment and confirmation of your qualification to the Service
Completion Premium (SCP), you shall be entitled to receive an SCP consisting of <Program specific e.g.,
Attendance/Performance SCP>, the computation and structure of which shall be explained to you at the commencement of
your employment and during your training. The total amount of SCP is Four Hundred Twelve Pesos per worked day (Php
412.00), gross of tax and other mandatory or allowed deductions. In the event that your employment terminates earlier for
reasons not attributable to you, your SCP shall be computed based on the number of days of work actually rendered.

The following conditions will automatically disqualify you from receiving the SCP:
a. You have violated any ALORICA and/or operational policy, rules and procedures.

b. You were found to have committed fraud against ALORICA, even those discovered after the completion of your
employment but before SCP payout. In case discovery is made after SCP payout, you shall refund said amount.

4. ALORICA operates 24 hours per day and 7 days per week. It will have sole discretion and prerogative to change work
schedules, require you to report for work during Philippine Holidays, assign you to any location that may be determined by
ALORICA without expectation of any additional compensation as may be required by the Program. As with the requirements
of the Program, your actual days worked, and number of hours worked per day will vary. Work performed beyond eight (8)

hours in a worked day will be paid overtime as provided for in the law. If applicable, you shall also be entitled to night
differential pay, holiday pay, and other monetary benefits in accordance with law. You will also be given at least one (1) rest
day per work week which will be scheduled accordingly. A holiday substitution scheme wherein some US holidays are taken
in place of pre-identified Philippine Holidays will also be in effect.

You further consent and agree that this employment agreement may be assigned by ALORICA to any of its affiliates or
subsidiaries. In addition, you consent and agree that this Contract shall be assignable by ALORICA in the event that ALORICA
is acquired by or merged into another corporation or business entity. The benefits and obligations of this agreement shall be
binding upon and inure to the parties hereto, to ALORICA’s successors and assigns.

5. You will perform the following duties and functions during your fixed-term employment:
a. Ensure excellent, high quality customer service, satisfaction and resolution of queries;
b. Frontline phone and/ or email incident support – inbound and/ or outbound;
c. Answer calls and reply to questions with a high degree of enthusiasm and skill;
d. Agree to work on a shifting schedule that may include Saturdays, Sundays and/or holidays, and day and/or night,
and to alternative work arrangement, such as flexi-holiday arrangement where there will be work during a
Philippine holiday without additional pay and observance of the said Philippine holiday will be on another day;
e. Accept an assignment in any work place/site that ALORICA seems would be best serve the business interest of
the ALORICA; and
f. Agree with ALORICA’ right and prerogative to assign you to any phase, segment, unit or account within the fixed-
term employment.

6. You hereby acknowledge that this fixed-term employment is entered on the express conditions that:
a. You have the required qualifications and can serve as CSR.

b. You have fully and satisfactorily complied with your pre-employment requirements as indispensable condition
for your continued employment.

ALORICA has the right to rescind your employment Contract and/or to terminate your fixed-term employment
for but not limited to the following:
i. Failure to submit all your pre-employment documents and requirements within five (5) days from your start
date;
ii. Failure to submit your clearance and W2 (BIR 2316) from your previous employer within one (1) month
from start date, unless otherwise agreed upon in writing;
Discrepancy between any submitted photocopies of relevant documents with those of their original;
iii. Negative/unsatisfactory results of the following:
▪ Background check;
▪ Pre-employment medical exam; and/or
▪ Any other pre-employment requirements

c. You are not suffering from any disqualification or prohibition either by reason of law, regulations or policies, or
by Contract to serve as CSR during your fixed-term employment.

Any misrepresentation or false information by you in your application papers or in any pre-employment documents, or in this
Contract, shall constitute sufficient ground for the termination of your employment.

7. You warrant that you are able to perform your duties necessary for the job as prescribed by ALORICA, such that failure to
meet the above-mentioned required standards of work or your continued poor performance on the job may be considered
as a ground for the pre-termination of your fixed-term employment. You further agree to be subjected to regular evaluation
in relation to your performance.

8. If you wish to resign for any reason, you are required to give ALORICA a thirty (30) day written notice prior to the effective
date of your resignation. During this period, you shall continue to report for work and ensure a proper turn-over of all your
duties and responsibilities to the other employees, including ALORICA records, documents, properties, equipment and other
materials in your possession and custody. Otherwise, you acknowledge ALORICA’s right to terminate your employment
instead and to hold you liable for damages.

Should you have unpaid or pending obligations or liabilities to ALORICA, monetary or otherwise, upon the termination of your
employment, or upon your resignation from ALORICA, you expressly agree and authorize ALORICA to deduct from the salary,
bonuses and any other amounts or benefits that may be due you, any and all amounts necessary to offset or effect
settlement/payment of your said obligations, without prejudice to its right to hold you liable for any remaining balance,
including filing of the appropriate legal action to collect such amount without need of further demand.

9. During fixed-term employment, you are not entitled to vacation and/or sick leaves. Neither shall you be entitled to any other
benefits that are or may hereafter be granted to regular employees, except those provided by law and those which ALORICA,
as a matter of policy and upon its discretion, extends to all employees regardless of employment status.

10. You shall devote yourself full-time to ALORICA, and strictly adhere to your work schedule. You hereby acknowledge the
ALORICA’s right and prerogative to change your work schedule as may be necessary and / or required by your fixed-term
employment. You shall not be gainfully employed with any other company, whether on a full time or part-time basis in the
course of your fixed-term employment with ALORICA.

You shall strictly comply with all the rules, regulations, and policies of ALORICA, as well as with all orders and instructions of
your duly designated superiors and other authorized officers. Violation on your part of such rules and regulations and policies
shall result in the imposition of appropriate disciplinary action against you, including and up to employment termination, and
the forfeiture of your SCP. Likewise, any act forming part of “Just Causes” for termination of services under the Labor Code,
failure to complete any required training unless non completion is excused on justifiable grounds, and your violation of any
provision of this Contract are also grounds for termination of your services shall be meted the appropriate action and
forfeiture of the SCP.

11. While employed, you are obligated to abide by ALORICA Policies and Guidelines, including but not limited to, ALORICA’s
employee manual, administrative and operational and/or line policies and procedures. In the event that there is a reasonable
ground to believe that you have violated any of the foregoing, ALORICA reserves the right to pre-terminate your fixed-term
employment.

12. By signing this Contract, you further signify your consent and waiver of your right to privacy and confidentiality under the
Data Privacy Act of 2012 (including your rights under Section 16 of Chapter IV of said law) and you hereby agree and consent
to the Company’s processing of your personal information including but not limited to the collection, recording, organization,
storage, updating or modification, retrieval, consultation, disclose, and use said information for whatever purpose before,
during, and post-employment. You hereby free the Company from any liability on account of its processing of your personal
information.

13. The engagement of your services is conditioned upon your physical and mental fitness to perform the scope of work indicated
in this Contract. You are solely responsible for your safety and health, and you agree to hold ALORICA free and harmless from
any liability in connection thereto.

14. You shall refrain from engaging in any activity which will be prejudicial to the interests of ALORICA and its affiliates and related
parties including but not limited to Alorica Philippines, Inc., , West Contact Services, Inc., Alorica Asia (ROHQ), Ltd., Alorica
Clark Philippines, Inc., NCO Financial Systems, Inc. (“ALORICA Financial Care”), and APAC Customer Services, Inc. (“ALORICA
Customer Care”), collectively referred to as “Alorica Group”, which will interfere with the performance of your job, whether

within or outside the office hours. Furthermore, you will not accept any other employment, position, appointment, or
engagement during the period of your employment with ALORICA, without its prior written approval. Neither, will you engage
in any activity during office hours, whether personal or official, that will constitute potential conflict of interest between you
and ALORICA.

15. You agree that all records, documents and properties of ALORICA or its clients in your custody shall be immediately
surrendered, if requested during employment period, and upon termination thereof, whether or not requested. You also
agree that you shall be held solely responsible, accountable for all funds and properties that are entrusted to you or otherwise
come into your possession by reason of your position and in the performance of your duties. Accordingly, you are obligated
to return to ALORICA any excess, and restore to it any shortage or deficiency to ALORICA, immediately upon your discovery
thereof or when demanded by ALORICA.

16. The President and/or his duly authorized representative shall be allowed access to your ALORICA-assigned personal computer
and/or E-mail Account for whatever purpose during the duration of your employment with ALORICA, this being expressly
understood that such equipment/account is owned by ALORICA.

You acknowledge that ALORICA emails, for purposes of quality control checks, to ensure your compliance with ALORICA’s
policies and procedures, and for training, educational and corrective action purposes, may be subject to interception,
monitoring, and recording. Thus, you freely and voluntarily give your consent to ALORICA to intercept, monitor and/or record
all outgoing and incoming calls and emails.

17. You agree not to use other than for the benefit of ALORICA and to keep confidential all information belonging to the Alorica
Group or any of its clients which it treats as confidential, including, but not limited to, the nature of the work of the company
or during your fixed-term employment, which you have obtained or will obtain in the course of your employment with
ALORICA, information about customers/campaigns, recruitment/ramp plans, marketing techniques, training methods,
technical information, and possible new products or line of business, except that you will not be required to keep particular
items of information confidential after those items of information become generally available to the public without a breach
obligations under this Section.

You agree that except in the performance of your duties hereunder, you will not, at any time, directly or indirectly, without
the prior written consent of ALORICA, use or disclose to any person any confidential or proprietary information obtained or
developed by you while employed by ALORICA relating to its business, except information which at the time:

a. is available to others in the business or generally known to the public other than as a result of disclosure by you
not permitted hereunder;

b. is lawfully acquired from a third party who is not obligated to ALORICA to maintain such information in
confidence, or;

c. is used in any dispute or proceedings between the parties and/or you yourself is legally compelled to disclose
such information; provided, however, that prior to any such compelled disclosure, you will:

i. asserts the privileged and confidential nature of the Confidential Information against the
third-party seeking disclosure and;
ii. ii. cooperate fully with Alorica Group in protecting against any such disclosure and/or
obtaining a protective order narrowing the scope of such disclosure and/or use of the
Confidential Information.

In the event that such protection against disclosure is not obtained, you will be entitled to disclose the Confidential
Information, but only as and to the extent necessary to legally comply with such compelled disclosure.

You shall not keep, copy from Alorica Group’s files and records and/or download from Alorica Group’s computer systems any
of the foregoing confidential information upon your separation from ALORICA for whatever cause.

18. You agree that during the term of your fixed-term employment with ALORICA and for a period of six (6) months from the
cessation of such for any reason or cause, you will refrain from:

a. directly or indirectly (as a director, officer, employee, manager, consultant, independent Contractor, advisor or
otherwise) engaging in an activity in competition with, or owning any interest in, performing any services for,
participating in or being connected with any business or organization which engages in competition with the
Alorica Group;

b. soliciting directly or indirectly the patronage of any person with whom you have had personal contact or dealings
on behalf of the Alorica Group during the six (6) month period immediately preceding your separation from
ALORICA; or

c. directly or indirectly employing, soliciting for employment, or advising or recommending to any other persons
that they employ or solicit for employment, any employee of ALORICA or any company which is part of the
Alorica Group.

In connection with the foregoing provisions, you represent that your experience, capabilities and circumstances are such that
the provisions of this Section will not prevent you from earning a livelihood and that the limitations set forth herein are
reasonable and properly required for the adequate protection of ALORICA.

19. You recognize that violation of provisions hereof could cause ALORICA irreparable harm and agree that the company shall have
the right to apply to any court of competent jurisdiction for an order restraining any breach or threatened breach of the provisions
herein. Accordingly, you agree that ALORICA shall be entitled to injunctive relief for any actual or threatened violation hereof in
addition to any other remedies it may have.

20. This Contract shall be interpreted and construed in accordance with the laws of the Philippines, without giving effect to the conflict
of law’s provisions thereof. Any suit, action or proceeding seeking to enforce any provision of, or based on any matter arising out
of or in connection with, this Contract or the transactions contemplated herein shall be brought against any of the parties in the
appropriate courts or tribunals of the Makati City or Quezon City, Philippines, to the exclusion of all other courts.

21. Any provision of this Contract that is invalid, illegal or unenforceable in any jurisdiction shall be automatically reformed and
construed so as to be valid, operative and enforceable to the maximum extent permitted by law, or if no reformation is
permissible, shall be ineffective to the extent of such invalidity, illegality or unenforceability without invalidating or rendering
unenforceable the remaining provisions of this Contract, and any such invalidity, illegality or unenforceability shall not, of itself,
affect the validity, legality or enforceability of such provision in any other jurisdiction.

22. Prior to signing your conformity, you have conferred the contents of this Contract with your legal counsel who apprised you
of its legal significance and consequences.

Should you find the foregoing terms acceptable, please indicate your conformity by signing in the space provided below and return
signed copies to us for our files. By signing your conformity below, you hereby confirm and acknowledge that you knowingly and
voluntarily enter into this fixed-term employment Contract without any force, duress or improper pressure, or any other circumstances
vitiating your consent, and that you have dealt with ALORICA for this Contract on more or less equal terms, without any moral
dominance being exercised over you by ALORICA.

SUPPLEMENTAL AGREEMENT
(Training, Attendance, and Account Specific Allowances and Bonuses)
AMAZON
Status : Fixed Term Employment
Position : Customer Experience Agent
Allowances and/or : Starter Incentive in the amount of One Thousand Pesos (Php 1,000.00) on the 5th day of New
Bonuses Employee Orientation – Quality Enhancement & Skills Training (NEO-QuEST).
• Must be an ACTIVE employee, still assigned in the specific program/account, should not be
undergoing any terminable corrective action/s and is not on absence without leave (AWOL)
or currently rendering resignation during the issuance.

Responsibilities : • Respond to incoming customer billing inquiries by following techniques provided and
approved by training.
• Effectively handle incoming customer call/e-mail inquiries within established periods.
• Basic comprehension of the product and familiar in a Windows-based environment
• Track and report processes aimed at identifying specific service issues resulting in quick
resolution of identified issues.
• Deals and Coordinates with co-agents, client callers and operations/production/team
managers

Other Subsequent and : If you fail the Training Period as above mentioned or if you fail to pass company or program
Required Training/s mandated additional training/s, the company reserves the right to remove or transfer you to a
different account or line of business in accordance with company policies and other prior
agreements, if any.

Attendance Policy : We expect that you will consistently work your scheduled shifts. Our ability to successfully meet our
client’s and company goals depends on your capability in coming in to work on time. Equally
important, it is imperative that new employees (new to the Company and internal transfers) do not
miss any time during the critical weeks of training and ABAY to take full advantage of the materials
and support offered for each client program. To help us meet these goals, we have outlined the
attendance policy below:

During Foundation or Basic Skills or New Hire Quality Enhancement Skills Training / Pre-process
Training / Product Training, where applicable, training attendance policy is in effect. During
Foundation and Program Specific Training, tardiness or undertime is cumulative and should not go
beyond forty-five (45) minutes. An employee, who exceeds forty-five (45) minutes, will be removed
from training. A single incident of absence shall constitute outright disqualification from the training
program.

Post New Hire Training, Remainder of the Fixed Term Employment


Attendance standing will be penalized with a points system. Each type of attendance occurrence
has a corresponding point value (listed below). These values will be assigned to each occurrence
unless excused, using the appropriate dispute procedure as prescribed, by the company.

The applicable attendance occurrence point will be given to an employee who is either tardy,
absent, undertime or FTN (Failure to Notify).

Employees are expected to manage their attendance and absences. An attendance point for
each occurrence will count toward their total point count. An employee who fails to follow the
Absentee Notification Procedure shall be subject to a disciplinary sanction, whether they report
to work or not for that particular day. Any absence by an employee shall generally be counted
as a point and shall contribute to his/her total number of occurrence points.

Any excess of 8 POINTS is ground for termination, subject to due process.

TRAINING AGREEMENT
AMAZON

Position: Customer Experience Agent


Subject: New Hire Quality Enhancement Training Standards

Objective:
To complete four (4) days of New Hire Quality Enhancement Training (NHQuEST) and meet standard training expectations required
in order to be endorsed to Product Specifics Training (PST).

Goal:
At the end of NH QUEST period, Trainee should be able to achieve target goals.

Attendance Policy:
During New Hire QuEST, tardiness or undertime is cumulative and should not go beyond forty-five (45) minutes. An employee who
exceeds forty-five (45) minutes will be removed from training. A single incidence of absence shall constitute outright disqualification
from the training program.

The policy also includes, but is not limited to, attendance in a virtual training environment wherein a stable and consistent internet
connection is required. The cumulative number of minutes that the trainee is not connected to the virtual training environment due
to intermittent internet service and similar reasons would be counted against the minimum allowable absences and tardiness based
on the training policy.

Process of Evaluation:
The trainee will go through four (4) days of NHQUEST. Trainee’s performance will be monitored and graded to identify whether
a trainee should be endorsed to Product Specifics Training.

PLEDGE OF COMMITMENT

As a fixed term employee of ALORICA for Amazon, I shall uphold and support ALORICA’s goals to be the global leader in providing
outsourced business processes spanning the entire customer lifecycle. I, therefore, make the following commitments:

• I agree to undergo thorough new hire orientation & client specific training, and I am prepared to stand by the training
policies of ALORICA.

• I shall perform my functions and duties and complete the term of my employment to the best of my abilities. I am aware
that I may become entitled to a Service Completion Premium (SCP) if:

a. I do not incur any tardiness or absences during all scheduled work days;
b. I do not commit any act which may involve me in any disciplinary issues;
c. I do not commit any act in violation of any company and/or operational policy, rules and procedures; and
d. My fixed term employment is not pre-terminated for any reason.

• I have no other obligations that may interfere with my responsibilities and work schedule during my fixed term
employment.
