RELEASE, WAIVER AND QUITCLAIM

I, _______________________ of legal age, married/single, and a resident

of_________________________________________________________ a former employee of Honghui Pioneer S-
Cement International to my entire satisfaction, for and in consideration of all compensations for services that I have
rendered from _________________________________ in the amount of PHILIPPINE PESO: FIVE THOUSAND
PESOS only (Php 5,000.00) as payment for my FINAL PAY (FINANCIAL ASSISTANCE) hereby depose:

1. I release, remiss and forever discharge the Company, its stockholders, directors, officials or personnel from any
action, sum of money, damages. claims and whatsoever which in law or in equity I ever had, may have or which
I may have by reason of any matter, cause or thing whatsoever, the intention hereof being to completely and
absolutely release the Company, it’s officials and employees from all liabilities arising from my employment
therewith.

2. I shall render every cooperation necessary so that all company records, properties and monies in my
possession may be properly accounted thereof and turned over to the Company.

3. I will not institute any action nor continue to prosecute pending (if any)

The aforementioned payment shall not be taken by me as a confession and/or admission of liability on the part
of the Company or any of its officials or personnel for any matters, cause demand or damages that I may have
against any or all of them.

I acknowledge that I have received all amount that are or in the future, may be due me from the Company; I also
acknowledge that during the entire period of my employment with the Company, I received and was paid all
compensation, benefits, and privileges to which I was entitled to under all laws and policies of said Company by
reason of such employment; if I here in after be found in any manner have been entitled to any amount, the
above consideration is a full and final satisfactions of any and all such undisclosed claims.

I also acknowledge that my work with the said company had not been characterized by physical exertion and
that I am not suffering from any ailment that may be attributable, in whole or in part, to the nature of my work
with the said Company as the cause or reason for aggravation thereof, and that working conditions and
environment in my place of work as well as the entire establishment have been ideal, safe, and healthy.

I hereby acknowledge, accept and admit that by reason of my work with the Company I had access to
confidential and secret information, data, documents, processes, trade secrets and other similar matters and by
reason thereof I hereby agree and obligate myself that I shall not disclose, reveal, or divulge such information,
data, documents and related matter to anyone without the authority of the Company which unauthorized
disclosure, revelation or declaration may result to the damage and prejudice of the Company, its business, its
stockholders, directors, officials, personnel,. agents and representatives; and I likewise obligate myself that
while I’m no longer working with the Company, I shall immediately inform the Company of any information which
I may learn in relation to anything that may be prejudicial to the Company as a measure form my gratitude to it
for having been allowed to work with it to earn livelihood in the process.

Should I violate the above undertaking, I hereby willingly and voluntarily say that I am willing to be liable for
damages in any legal action with the Company and the Company may file against me by reason of said
violation.

I hereby finally declare, with full acknowledge of my rights under the laws that the execution of this Release,
Waiver and Quit claim is my own free and voluntarily act and deed and that the same is executed by me in
acknowledgement and recognition of the fact that I have no claim or demand of every name, nature, kind or
description against Honghui Pioneer S-Cement International.
