AGREEMENT FOR SALE

THIS MEMORANDUM OF AGREEMENT made this the 19 th day of January


two thousand and Twenty Two Anno Domini BETWEEN 1. Indranil Dey , son of
Suranjan Dey , aged about 52 years by faith Hindu, by occupation : Business, residing at
Charu Villa, 7 subhas nagar 1st Bye Lane south Dum Dum , P.O. RabindraNagar, P.S.
DumDum, District North 24 Parganas Kolkata-700065 2.Indrajit Dey son of Suranjan
Dey aged about 46 years by faith Hindu, by occupation : Business, residing at Charu
Villa, 7 subhas nagar 1st Bye Lane south Dum Dum , P.O. RabindraNagar, P.S.
DumDum, District North 24 Parganas Kolkata-700065 both partner of a Firm Named
Indrita Inc.(PAN AGUPD0848D) herein after called the “VENDOR/SELLER” ( which
expression unless excluded by or repugnant to the context shall be deemed mean and
include heirs, executors, administrators, and assignees and successors in interest) of the
FIRST PART.

Asgar Hussain son of Manuar Hussain by faith Hindu, by occupation Business,


aged about 59 years, residing at 13, T.N. chatterjee Street P.O-Noapara P.S Baranagar ,
Kolkata-700090 hereinafter called the “PURCHASER” (which expression unless
excluded by or repugnant to the subject or context shall be deemed to include heirs,
executors, administrators and assigns and successors in interest) of the SECOND PART.

WHEREAS Vendors of the ONE PART are lawfully seized and possessed of or
otherwise well and sufficiently entitled to ALL THAT the commercial shop No.19 at
Alapan apartment in the ground floor and comprising an area 214.98sq.ft (more or Less).
in the five storied building (including super built). along with undivided proportionate
share of land and common areas and facilities connected thereto laying n situated at 13,
T.N Chatterjee Street ,at Present 13/R/15 . T.N Chatterjee street P.S –Baranagar P.o-
Noapara Kolkata-700090.

AND WHEREAS Indranil Dey and Indrajit Dey prtner of Indrita Inc the
vendor, has purchase the said shop from Amit Konar s/o Arobinda konar residing at
62/9 Dr.Nilmoni sarkar Street Kolkata-90 on dated by virtue of deed no 5462 and the
said shop has been registered under the addl. District registrar cossipore Dumdum north
24 parganas on dated 17/08/2007 vide book no-1 volume no- .

AND WHEREAS the vendors of the FIRST PART have agreed to sell and the
Purchaser of the SECOND PART has agreed to purchase the said Commercial Shop
measuring an area of 214.98sq.ft (more or Less). now THIS INDENTURE
WITNESSETH as follows:

Upon discussion and negotiation having taken place between the vendors and the
purchase, the vendors have agreed to sell and the purchaser has agreed upon thoroughly
and completely satisfied about the title of the owners and the vendors herein and all other
aspects whatsoever relating to the Shop No.-19 and for the properly proposed to be
purchased by him to purchase the fully complete and comprising an area 214.98sq.ft.
(including super built) be the same a little more or less on ground floor lying and situated
at 13, T.N Chatterjee Street ,at Present 13/R/15 . T.N Chatterjee street P.S –Baranagar
P.o-Noapara Kolkata-700090 Premises being more fully and particularly mentioned and
or described in the schedule hereunder written and hereinafter referred to as the said
property as an absolute estate in fee simple or an estate equivalent subject to a good
marketable title made in respect thereof and the property being found free from all
encumbrances, attachments, charges and other claims and demands whatsoever at or for
the price of Rs. 15,00,000- (Rupees Fifteen Lacs ) only finally settled in between to the
terms and conditions hereunder contained.

(1) The Purchaser has paid to this day to the Vendors the sum of Rs.
-------------------(Rupees ----------------- only) by way of Cheque,vide Cheque
no……………………..drawn ------------------ on dated ---------------- out of
Rs15,00,000/-(Rupees Fifteen lacs only) as earnest money and the balance of the
purchase money amounting to Rs. -------------------/- (Rupees -----------------------------
only) shall be paid on or before at the time of execution of Conveyance Deed for
completion of the purchase. Simultaneously with the execution of this agreement, the
Vendor shall deliver to the Purchaser’s solicitor or advocate on his accountable receipt
title deeds for this shop or the said property referred to under this Agreement and other
papers and writings including municipal bills if any relating to the premises and the
purchase shall be completed by and within 3 (Three ) months from the date hereof,
provided a good marketable title is made out and the vendor makes the property free from
all encumbrances, claims and demands whatsoever if any and not to any scheme of
acquisition or requisition. Time shall for this purpose be deemed to be the essence of
contract.

(2) The Vendors doth hereby agree to answer all reasonable requisitions
on title to be made by the Purchaser’s solicitor or advocate.

(3) If a good and marketable title is made out and the property is found to
be free from all encumbrances, attachments and charges and other claims and demands
and not affected by any notice or scheme of acquisition or requisition, the Vendor will
execute a proper conveyance in favour of the Purchaser or his nominee or nominees or
assign in which the Vendor shall make such other person or persons, if any join, if
necessary as convincing, confirming or assuring party or parties as the case may be to
pass and convey an absolute title unto the Purchaser or to redeem any charge or
encumbrances. The Vendors shall bear and pay all outgoings and liabilities of the
property up to and inclusive of the date of sale.

(4) The Vendor shall deliver peaceful vacant possession of the aforesaid
Flat and or the said property to the purchaser upon completion of purchase or within such
time or period as may be mutually agreed upon between the parties under this agreement.

(5) If a good and marketable title is not made out of the property and is
found to be subject to any encumbrances, attachments or charges or other claims or
demands, the Purchaser shall be at liberty to rescind this agreement and the Vendor shall
in that event and on demand by the Purchaser refund the said earnest money and shall pay
to the Purchaser a sum of Rs.5,000/- (Rupees Five Thousand only) as settled costs of
searches and investigation of the Vendor’s title and of this agreement as between party
and party.

(6) If the Vendors fail and or neglect to complete the sale after the title
being made out as aforesaid or otherwise to carry out any one or more of the obligations
on his part as hereunder provided or otherwise required by law, the Purchaser will be at
liberty to enforce specific performance of the agreement by institution of legal

proceedings or, at his option, may sue the Vendor for recovery of the earnest money with
interest costs and other relief.

(7) If on the title being found good and marketable, the Purchaser fails to
complete the purchase within the time as aforesaid which is essence of this agreement
10% of the earnest so paid by the purchaser to the Vendor shall be forfeited to the vendor
or the vendors may at their option enforce specific performance of this agreement by the
purchaser and the purchaser will also be liable to pay the cost and expenses of
proceedings for specific performance.

(8) The said Flat and or the said property and or any portion thereof is not
at present affected by any Notice or Scheme of the Municipality or any other local public
authority or body corporate. If it be found to be so affected before the execution of
conveyance deed or the completion of the sale, it shall be optional on the part of the
Purchaser to rescind this agreement and in that event the Vendor shall refund the earnest
money to the Purchaser and shall further pay to his solicitor or advocate the sum of Rs.
5,000/-(Rupees Five Thousand only) as aforesaid as settled costs of investigation of title
and of this agreement.

(9) Jurisdiction of this agreement shall be the jurisdiction of any


appropriate court or High Court in Kolkata only.

Cossipur,Dumdum,Premises Ward No.28, ALAPAN APARTMENT, under
BAranagarMunicipality, which is duly butted and bounded by:

ALL THAT the Commercial Shop being No- 19, 19 at Alapan apartment in
the ground floor and comprising an area 214.98sq.ft (more or Less). in the five storied
building (including super built). along with undivided proportionate share of land and
common areas and facilities connected thereto laying n situated at 13, T.N Chatterjee
Street ,at Present 13/R/15 . T.N Chatterjee street P.S –Baranagar P.o-Noapara Kolkata-
700090 together with right in the common areas and fecilities as describe in the schedule
‘C’ below and also the obligation as described in the Schedule ‘d “

SCHEDULE AS REFERRED TO ABOVE

1. Common passage including main entrance on the Floor landing to the 1 st Floor
and roof of the said building.

2. Stair Case of all the Floor of the said building.

3. Stair Case landing in all the Floors of the said building.

4. Water supply pump and Water Tank, under Ground reservoir, Overhead Tank and
Water Supply Line.

5. Electric Service Line and electric main line wiring electric Master for Pump
installedin the building and in the meter room.

6. Common Meter Room.

7. Drainage and Sewers.

8. Boundary Walls and Main Gate.

9. Such others common parts, areas, equipments, installations, fixtures, fittings and
space in or about the said building as are necessary space are to use occupancy of
the said Floor Flat in common.

10. Community Hall.
