1 Introduction
• Conversion of companies from one form into another is permitted under Section 18
of the Companies Act, 2013.
• Conversion shall be effected by alteration of the Memorandum and Articles of
Association.
• Any other formalities specifically given shall be followed.
• Upon submission of requisite documents, the Registrar shall close the former
registration and issue a fresh certificate of incorporation.
• Conversion of a company shall not have any effect on the obligations and liabilities
of the company.
• Provisions: Section 8 read with Rule 20 of the Companies (Incorporation) Rules, 2014.
• Conditions:
(a) has in its objects the promotion of commerce, art, science, sports, education,
research, social welfare, religion, charity, protection of environment or any such other
object;
(b) intends to apply its profits, if any, or other income in promoting its objects; and
(c) intends to prohibit the payment of any dividend to its members.
• Steps involved:
• Special Resolution: The company shall pass a special resolution for obtaining licence
under Section 8.
• Application in Form INC-12: A limited company which is desirous of being registered
under section 8, shall make an application in Form No.INC.12 along with the fee as
provided in the Companies (Registration offices and fees) Rules, 2014 to the Registrar
for a licence under sub-section (5) of section 8.
• Accompanying documents: The application shall be accompanied by the following
documents, namely:-
o MoA/AoA: The draft MoA (in Form INC-13) and AoA of the company;
