PROPOSAL BACKGROUND

PT Kodeco Agrojaya Mandiri, Indonesia hereinafter referred to as “CLIENT” is intending to set up a


1000 TPD & 1500TPD Biodiesel Plant and seek services from Desmet Ballestra (SEA) Pte Ltd
hereinafter referred to as “CONTRACTOR” for carrying out engineering, supply, site supervision
(excluding civil & structural works and erection & Installation of the process plant).

CONTRACTOR is hereby submitting the proposal which includes relevant information of the 1000
TPD & 1500 TPD Biodiesel Plant (“PLANT”).

We have focused on a reliable and optimized process design based on past experience of designing
and integrating different Technology Units aimed at meeting the selection, evaluation criteria of
CLIENT in terms of Safety, Quality, and Utilities Consumption etc.

The plant is composed by the following units:

UNIT 6153 – OIL PRE-NEUTRALIZATION

I INTRODUCTION

The Oil Pre-Neutralization section is designed to reduce the quantity of FFA and water contained in
the vegetable oil coming from storage.
The section works on the mixing of vegetable oil with glycerine phase and consecutive decantation
to pass water and fatty acids as much as possible to glycerine phase.

II ADVANTAGES

The main advantage of Desmet Ballestra Oil Pre-Neutralization is to improve the quality of
vegetable oil reducing FFA content and removing water which has a negative impact on the
following transesterification reaction making the catalyst inactive.
This is achieved using the unreacted catalyst still in glycerine phase by means of saponification reaction.

III PROCESS FLOW

Vegetable oil from storage is mixed with glycerine phase from 6163S4 in the static mixer 6153MX1
and then sent to decanter 6153S1 with a residence time of 30 minutes where two phases are
separated.
The heavy phase, containing glycerine, water, spent catalyst and soaps, is sent by gravity to
glycerine holding vessel 6163V8, while the light phase, composed by vegetable oil, residual water
and FFA, is then transferred to reactor 6163R1.
Oil Pre-Neutralization decanter is vented to Venting System.

UNIT 6163 – METHYLESTER AND GLYCERINE PRODUCTION

1. New Transesterification (Ref Dwg. 6163NT.01)

I INTRODUCTION

The New Transesterification section is designed to convert dry oil to methylester according to the
following main reaction:

The new transesterification reaction is accomplished in continuous using three stirred reactors in series
(6163R1, 6163R2 and 6163R3) operating in mild conditions and giving very low catalyst
consumption.
The catalyst used for the reaction is sodium methylate (CH3-O-Na), supplied as 30% solution with
methanol. Sodium methylate is much more soluble in the glycerine so an internal glycerine recycle from
second decanter 6163S5 to the first reactor 6163R1 is carried out in order to completely exhaust the
catalyst and thus minimize its consumption.
Methanol is fed to the reaction in a proper excess with respect to the stoichiometric quantity to
maximize the conversion of the transesterification reaction and to avoid as much as possible the
undesired side reaction of saponification.
The reaction heat is negligible so, in normal operating conditions, the heat supply from outside is not
necessary to keep the reaction mixture at the required temperature.
As methylester and glycerine are insoluble, two phases are the result of this section: a stream rich in
methylester and a stream rich in glycerine which will be deeply purified in the downstream sections
to allow the highest methylester, methanol and glycerine recovery.

II ADVANTAGES

The Desmet Ballestra New Transesterification section 6163NT is the result of many years of
improvement leading to this new advanced arrangement which allows a very effective reaction
conversion with the minimum catalyst consumption.

III PROCESS FLOW

The pre-neutralized vegetable oil coming from the upstream Oil Pre-Neutralization section 6153 is
fed to the new transesterification first reactor 6163R1 where it is mixed by the new transesterification
agitator with the methanol, the catalyst and the glycerine phase (that still contains partially active
catalyst coming from the second decanter 6163S5).
From the first reactor 6163R1 the mixture overflows to the new transesterification first decanter 6163S4,
where the reaction proceeds thanks to the residence time ensured to the bulk of liquid.
Here an interface level is established: the heavy phase, rich in glycerine together with most of the
soaps formed by side reactions and the spent catalyst is discharged by the new transesterification first
glycerine extraction pump 6163P12 (under interface level control) to the upstream Oil Pre-
Neutralization section 6153.
The light phase, rich in methylester, is instead transferred by the new transesterification first
decanter pump 6163P16 (under level control) to the new transesterification second reactor 163R2.
Thus, the methylester going into the second reactor is dosed with further catalyst and fresh methanol
and mixed by agitator. The working conditions are identical to those of first reactor 6163R1.
In the second reactor the mixture partially reacted overflows to the new transesterification second
decanter 6163S5 as well and the reaction gets completed thanks to the residence time ensured to the bulk
of liquid.
Also here an interface level is established: the heavy phase (rich in glycerine, soaps and spent catalyst)
is discharged by the new transesterification second glycerine extraction pump 6163P3 (under
interface level control) to the first reactor 163R1; the light phase (rich in methylester) is transferred
by the new transesterification second decanter pump 6163P17 (under level control) to the new
transesterification third reactor 6163R3.
The third reactor is a stirred reactor identical to the previous ones where the reaction is completed
mixing the methylester phase to the remaining portion of methanol and catalyst by means of agitator.
The reacted mixture contains the methylester product, the methanol in excess and glycerine as
reaction by-product that, together with a limited amount of soaps, is overflow to the decanter 6163S1 in
the downstream Glycerine Separation section.
The crude methylester from the gravity separator 6163S1 overflow is pumped to flash drum 6163V4
for methanol flashing.
The glycerine (heavy phase) settled at the bottom of 6163S1 (containing glycerine, active catalyst,
part of the excess of methanol and almost the total amount of soaps) is sent to the second reaction
step (to take advantage of the residual activity of the catalyst) by means of 6163P6A.

2. Methylester / Glycerine Separation (Ref Dwg. 6163.01.02)

The crude Methylester from 6163P5 is heated through a recirculation loop composed by a
recirculation pump 6163P13 and the heater 6163E1 prior sent to the flash drum 6163V4, where most of
the contained methanol is evaporated.

The methanol is condensed in the exchanger 6163E2 and sent directly to the dry methanol holding
tank 6160V2 where it can be recycled as from where it is recycled into the process.

The heavy phase contained in 6163V8 (and coming from 6163S4) is finally sent to glycerine
treatment unit 6166, by means of pump 6163P6B.

The crude methylester from 6163V4 contains glycerine traces, soaps and catalyst; these impurities are
washed in methylester vessel 163V7 with water and citric acid solution from Unit 600.

The washed methylester is sent to the Final Methylester/ Glycerine Centrifugation for further
separation.

3. Final Methylester / Glycerine Centrifugation (Ref Dwg. 6163.01.03)

The washed methylester from 6163P7 is heated in the heat exchanger 6163E3A before entering the
centrifugal separator 6163S2.

The heavy phase from centrifugal separator 6163S2 is sent to glycerine purification unit 6166. In
case of centrifuge malfunctioning the pressure control of the machine will automatically switch the
heavy phase to the off spec tank 6163V9, then by means of the pump 6163P10 will be recovered into
the methylester vessel 6163V7.

4. Methylester Double Washing (Ref Dwg.6163.01.03X)

Under certain condition, biodiesel can form a haze material during storage of the finished product or
components affecting the total contamination.

The Biodiesel Double Washing system, to be integrated in the biodiesel plant after the biodiesel washing
system, is designed to remove the haze and decrease the Total Contamination minimizing the losses.

The biodiesel to be treated (containing glycerine traces, sterol glycosides, soaps and catalyst) from
the centrifuge separator 6163S2 flows to the buffer vessel 6163V20.

From there by means of the pump 6163P20 is sent, after being heated in 6163E20, to the centrifugal
separator 6163S20 to separate the contaminants listed above.

Here the citric acid and washing water are continuously dosed from unit 6600 and blended by a high
shear mixer 6163MX20. Reaction is completed continuously in the reactor 6163R20. Heavy phase
water from this double washing step is recycled to 6163V7.

The methylester from the centrifugal separator light phase which is free of glycerine, catalyst and
soap is then send to 6163C1 for purification.

5. Methylester Purification (Ref Dwg. 6163.01.04 sht. 1 & 2)

The Methylester is heated with the dried Methylester stream outcoming the unit through heat
exchanger 6163E4 and it is sent to the drying column 6163C1 (equipped with an additional reboiling
system 6163P14/ 6163E5) and the post flasher 6163C3 where water and methanol are removed.

The Methylester coming from the drying column is transferred to storage through the pump 6163P8,
after being cooled by means of thermal recovery in the exchangers 6163E4 and final water cooling in
heat exchanger 6163E3B.

The wet methanol evaporated inside the drying column 6163C1 and in the post flasher 6163C3 by means
of the ejector 6163J1, is condensed through the condenser 6163E6 working under vacuum conditions
(by means of the vacuum group 6163P11) and it is sent to the methanol rectification unit 6160.

6. Vent Condensation (Ref Dwg. 6163.01.05)

This unit consists of a vent header and a condensing/scrubbing system. The unit is designed in order
to condense all emergency vents from the upstream production unit.

All the vents coming from the plant are collected in a header, are sent to the condenser 6163E7 and then
are recovered in methanol holding tank 6163V6.

The methanol collected in 6163V6 is sent through pump 6163P9 to the methanol rectification unit
(Unit 6160).

In order to reduce the methanol content of gaseous effluents to atmosphere down to minimum levels
the gases vented from the tank 6163V6 are sent to the scrubber 6163C2 where, with once through
water stream, the methanol is adsorbed.

The water from 6163C2, containing methanol, is sent to methanol rectification unit 6160.

UNIT 6166 – GLYCERINE PURIFICATION

1. Soap Splitting (Ref Dwg. 6166.01.01)

The purpose of this section is to acidulate the raw glycerine stream, in order to neutralize the residual
catalyst and to split the soaps formed during transesterification. Subsequently, the fatty acids derived
from soap splitting are separated and the pH of the purified glycerine is finally adjusted.

The raw glycerine stream coming from the feeding pump 6163P6B is sent to the flash drum 6166V1
to separate the methanol after heating through the recovery heat exchanger 6166E2 and the preheater
6166E1. The methanol evaporated in the flash drum 166V1 is sent to methanol distillation column
6160C1.

The glycerine coming from the flash drum 166V1 is sent, by means of the transfer pump 6166P1, to
the acidification reactor 6166V2. The quantity of hydrochloric acid is controlled with an automatic pH
controller with the aim to guarantee a pH lower than 4 inside the reactor 6166V2.

The water/glycerine phase coming from centrifugal separator 6163S2 is directly fed into reactor 6166V2.
The mixture of glycerine/fatty acid coming from 6166V2 is sent by gravity to the separator 6166S1.

The stream of glycerine separated from fatty acid (containing methanol and water), is fed by means
of pump 6166P3 to the neutralizing vessel 6166A1, where the pH is adjusted to the neutrality value
by addition of a caustic soda solution 50%. The neutralized glycerine stream coming from the
neutralization vessel 6166A1 is sent to the next step to remove the residual methanol still present.

The fatty acid stream coming from the top of the 6166S1 is sent to storage.

2. Methanol Separation (Ref Dwg. 6166.01.02)

The glycerine stream coming from neutralization reactor 6166A1 is collected in the glycerin holding
tank 6166V3 and then sent to the recovery pre-heater 6166 E3 by means of feeding pump 6166P8.
The glycerine is pre-heated by the methanol free glycerine stream coming out from the column, and
then sent to the glycerin distillation column 6166C1.

The wet methanol evaporated in the glycerin distillation column 6166 C1 is sent to methanol
distillation column 6160C1.The purified and concentrated glycerine is transferred by glycerine
transfer pump 6166P9 to storage by level control.

UNIT 6160 – METHANOL RECTIFICATION

(Ref Dwg. 6160.01.01)

The methanol coming from the upstream process units are collected in the wet methanol holding tank
6160V1. The wet methanol is fed under flow control by the pump 6160P1 to the distillation column
6160C1 operating at atmospheric pressure. The methanol vapours from 6166V1 and 6166C1 are fed
to the distillation column 6160C1 as well.

The distillation column is equipped with the reboiler 6160E3 and the bottom extraction pump
6160P5. The methanol vapor from the top of the column is condensed in the condenser 6160E2 and
partially refluxed back to the column 160C1. The rectified methanol must be able to achieved high
purity (99.8% min) to ensure smooth operation.

The rectified and condensed methanol is cooled through the heat exchanger 6160E4 and then sent to the
dry methanol holding tank 6160V2. The rectified methanol is recirculated back to the reactor loop
circuits (Unit 6163) with some top up of fresh make-up methanol from storage.

UNIT 6600 – CITRIC ACID PREPARATION

(Ref Dwg. 6600.01.01)

This unit allows the preparation of the citric acid water solution to be used in the unit 6163 by
utilizing the recovered water from the methanol rectification unit and collected in the water holding
tank 6600V1.

The required amount of citric acid is diluted in the preparation tank 6600A1 with the water from water
holding tank 6600V1 then mixed well by the agitator equipped.

The citric acid solution from the preparation tank 600A1 is sent to the holding tank 6600V2 by the
transfer pump 6600P4 and ready for citric acid dosing.

The Citric Acid solution is filtered in 6600F1 and then dosed to the 6163 unit by dosing pump
6600P2B. In case of pre-washing an additional dosing pump can be installed.

Note: The number of inputs / outputs per card may differ according to the
type of CPU model.

There is a need to perform some automated tasks who will improve safety
and repeatability, meaning better and more stable quality.

To obtain this, we will install systems who centralise the information, thus
rendering supervision and knowledge more accurate, true and easily
available. We collect maximum available information by connecting every
available instrument into a control system. All the proximity, level, pressure
and flow switches, as well as,feedback from the MCC are connected to the
digital input cards of the PLC. The interlocks will be performed by the PLC.

Concerning the analogical measurements such as temperature, flow and


pressure or level transmitters; they are connected to the analogue input cards
of the PLC.

HMI: Human-Machine-Interface:
In order to reach centralisation, the information uses a HMI (Human-
Machine Interface, which means Operator-Plant interface via one screen), a
well proven and worldwide used package.

When using such a system, enlightening mimics with lamps are replaced by
the HMI, therefore increasing the safety of the operations as well as
minimizing the maintenance of these instruments.

Finally, in order to connect the HMI systems with the PLC we propose to
install a communication network:

ETHERNET INDUSTRIAL NETWORK

On top of the advantages above, these systems allow to add afterwards


automation components, to a certain degree, for a minimum investment.

These Supervision systems consist of PC’s connected to the PLC. The PC


contains the SCADA graphic system and performs the monitoring of all
automatic or manual operations. In addition, for reporting and trends curves,
one printer is also included.

The idea of using the PC comes from the advantage of its storage capacity,
therefore the possibility to perform extensive historical reports and trend
analysis.

to be provided by the application engineer. No computer or programming
skills are required.

The package continuously communicates with control equipment on the field,


such as PLC’s, measuring instruments, and other devices. As the equipment
is monitored and the information obtained is recorded, the system responds
by sending data or instructions.

Interaction between the package operator and the package application is easy
and user-friendly.

Among the main package features, we include:

Process Visualisation
Vivid graphical images present and animate on-going control processes. The
operator can zoom in or zoom out an image whether to obtain a detailed
picture or rather an overview. As parameters in the field change, so do graphical
drawings and textual displays. For instance, if a tank is filling, the respective
tank drawing will be filled accordingly and the liquid level will be updated
numerically.

The package images are designed using a simple, yet powerful, graphic editor
that includes a variety of drawing tools.

Alert Processing
The system constantly checks for alert conditions defined by the engineer.
Alerts are collected and presented by sophisticated Annunciators, which
classify and sort them according to several categories.

Specific alert information can be assigned to each alert and an operator can
immediately retrieve that information for assistance. This eliminates the need
for tedious manuals consulting. All the alerts as well as other events defined
by the engineer are recorded for later use.

SELLER shall be responsible to provide BUYER with technical documentation for installation and
operation of the equipment. All technical documentation shall be in the English language, and all
units of measure shall be expressed in the metric system, following the International System for
Units (SI-units) wherever practical:
The following is the specific list of technical documentation provided:
a) Piping and instrumentation drawings (P&IDs) indicating for each process section, the flow
of all solids, fluids and gases interconnecting the equipment and utility sources, with
schematic representation of equipment, instrumentation and valves, and line codes to
indicate piping size, materials and insulation. Includes P&ID legend drawing, fluid
independent line specifications, P&ID report with fluid dependent valve & instrument lists,
and control valve pneumatic schematic.
b) Proprietary vessel assembly drawings indicating key design criteria, overall dimensions,
overall orientations, weight, support points, lifting points, nozzle/flange data, nozzle
projections, elevations and orientations, location of nameplate and any applicable warning
signs.
c) Third party equipment outline drawings indicating overall dimensions, weight and pertinent
connection information
d) Third party equipment manuals indicating installation instructions, operating instructions
and maintenance instructions.
e) Operating Manuals including, for each process section:

g) Layout - ground floor drawings indicating the final centerline location, support elevation,
weight and mounting details of all equipment supported on the concrete ground floor, and
location of the building columns supported on the concrete ground floor, to enable
BUYER's civil engineer to design the concrete foundations.
h) Layout - elevated floor drawings indicating the final centerline location and weight of all
equipment supported on each elevated floor, location of the building columns, location of
the main floor beams, location of the equipment supporting floor beams, stair locations, and
suggested floor areas to be covered in grating for operational and maintenance access, to
enable BUYER's structural engineer to design the steel building structure.
i) Pipe routing drawings indicating the suggested routing of piping as shown on the P&ID,

BATTERY LIMITS

Battery limits considered in this proposal are the following:

For the process unit:


Piping: 1 (one) meter outside the process unit for all the utilities, crude or neutral oil inlet,
biodiesel outlet, glycerine outlet, waste water outlet, chemical inlet, other by
products outlet.

Electrical: Engineering battery limit is the electric power feeding point to MCC panels of process
plant.
Supply of interconnecting cables between MCC room and process building is not
included (it shall be calculated and quoted only when position of MCC room is
defined)

Instruments: Engineering battery limits is the CCS system in Control Room.

GENERAL

The Proposal includes, for the Equipment related to the Proposal, 90 mandays of technical
assistance services by Seller’s specialists for supervision of:
 Either - erection works;
 And / or - pre-commissioning;
 And / or - commissioning;
 And / or - start-up;
 And / or - performance test;
 And / or - training of Buyer’s personnel.

Seller shall not be responsible for the discrepancies in the evaluation of the amount of Technical
Assistance mandays, necessary to Buyer
The services are based on the following conditions:
 technical assistance services for training of Buyer’s personnel, erection works and pre-
commissioning are provided at the discretion of the Buyer who must request the presence
of the Seller’s specialists with a prior written notice of minimum 15 days;
 technical assistance services for commissioning, start-up and performance test are always
provided by Seller, at the price stated in this Proposal;
 the specialists who will provide the services are selected by the Seller;
 the proper and timely erection and installation of the Equipment remain fully and at all
times the responsibility of the BUYER.
 all labour costs are included;
 Buyer shall provide at its expense or if provided by Seller, reimburse Seller:
♦ for facilities for the reasonable human needs of Seller's technicians, including but not
limited to suitable hotel accommodation (at European standards or equivalent), all
meals, laundry and local transport services;
♦ the round trip air ticket in economy class for any Seller's technicians;
♦ in case of illness or accident, medical assistance and related expenses for
hospitalisation, drugs and, if necessary, immediate repatriation by the quickest and
most reliable transportation means;
♦ Entry visas and/or permits and/or authorisations for the Seller’s technicians
 fields services days are considered 8 hours days; overtime rates apply to time over 8 hours
per calendar day;

The services may include such supervision as:

 tracing;
 mounting of electrical equipment;

 earthing and earthing tests;
 continuity electrical testing;
 painting;
 insulation;
 flushing of lines;
 hydraulic tests of lines.

II PRECOMMISSIONING SERVICES

The services are based on the following conditions:


 the mechanical and electrical erection activities are completed;
 the site and the building are cleaned and the scaffolding removed;
 all utilities are available without restrictions till the battery limits;
 lighting inside the building is installed and special tools are available;
 vendor’s specialists are present for the equipment supplied by the Buyer;
 sufficient Buyer’s personnel is trained and operational.

The services may include such supervision as:


 tests of tightness with water, vapor and/or compressed air;
 lubrication and check of machines (e.g. alignment, rotation, etc.);

III COMMISSIONING SERVICES

The services are based on the following conditions:


 the Pre-commissioning activities are completed and all conditions are still fulfilled;
 the control room is operational;
 the Seller and the Buyer formally agree that the Commissioning activities can be carried
out safely.

The services may include such supervision as:


 final check of erection and Pre-commissioning activities;
 pre-calibration of instruments;

 test of the software;
 no-load test (with vapor, water and electricity but without raw materials) for all process
sections and sequences in manual mode;
 for all no-load test (with vapor, water and electricity but without raw materials) process
sections and sequences in automated mode.

IV START-UP SERVICES

The services are based on the following conditions:


the Commissioning activities are completed and all conditions are still fulfilled;
all peripherals (e.g. water treatment, storage tanks, etc.) are operational;
sufficient raw material, reagents, consumables are available;
all safety devices (e.g. fire fighting system, vapor barriers, solvent traps) are operational
and approved according to all pertinent regulations;
 all permits are obtained by the Buyer;
 spare parts are available;
 laboratory facilities are operational.
 the Seller and the Buyer formally agree that the start-up activities can be carried out safely.
The services may include such supervision as:
 introduction of raw material, reagents, etc. in all process sections;
 calibration of instruments;
 operating-test (with all utilities and materials) of all process sections and sequence;
 operating-test (with all utilities and materials) of all process sections in continuous mode;
 measurement and fine-tuning of all process sections to achieve guaranteed capacity and
consumptions.

V TRAINING SERVICES

Seller’s specialists may, at the request of the Buyer, perform training of Buyer’s personnel of the
Plant operation.

PROCEDURE FOR PRE-COMMISSIONING, COMMISSIONING & START-UP

Buyer shall notify Seller in writing when he believes erection works have been achieved. Within five (5)
days of receipt of Buyer’s notice, Buyer and Seller will jointly inspect the equipment to verify that it
is substantially complete in accordance with the requirements of the Proposal.
If such erection and installation of the equipment is deemed substantially complete, the Pre-
Commissioning shall then be performed by BUYER’s operation workforce.
Actual starting and operating of equipment shall be performed by Buyer's plant operating workforce
under the supervision of Seller's technician(s).
During the Commissioning & Start-up phase, the Equipment shall be progressively put into operation
until the moment the equipment reaches a steady state of operation for production of commercially
merchantable product (as determined by the laboratory at the Plant) in accordance with the
specifications stipulated in Proposal. In the event of a difference of opinion between the Parties as to
commercial merchantability and/or compliance with the specifications, the Parties shall agree a
reputable third party verification agent to run tests, the results of which shall be binding on the
Parties.

Optional:
The Contract Price includes the fee for 90 Mandays of Supervisory Services. SELLER’s technicians
related expenses are not included and will be invoiced by SELLER to BUYER, if not directly borne
by BUYER.
All additional stay of the SELLER’s personnel, will be invoiced at the rate of 1100,00 USD per
Manday, plus SELLER’s technicians’ related expenses if not directly borne by BUYER. Such
invoices will be paid within 30 days of their issue.
The Prices do not include any taxes, customs duties, import charges, dues and levies imposed by the
Government or any other Authority in the country of destination and arising from the importation of
the Equipment or related to services rendered.
They are based on the payment conditions defined hereafter. Bank

VALIDITY OF THE PROPOSAL

30 days after the Proposal date

DELIVERY

The Equipment will be ready for shipment 6-7 months for local fabricated items and 8-9 months for
Centrifuge, rotating equipment with ex-proof motor and other imported items from the
Commencement Date of the contract.
The Equipment will be delivered on the basis of FOB Port Klang, Singapore, Europe & Shanghai
Port as per Incoterms 2010 definition.

PAYMENT CONDITIONS

DOWNPAYMENT
30 % by telegraphic or telex transfer to DESMET BALLESTRA GROUP's bank account,
within 10 days of the order.
This down payment is considered as a non-reimbursable deposit, which will be retained
by the Seller as a contribution to the expenses inherent to the Contract in case of its
cancellation for reasons other than the Seller's failure or fault
PAYMENT ON DELIVERY
70 % against shipping documents at first presentation, through an irrevocable and
transferable Letter of Credit, issued by a first class Bank and confirmed by a Belgian

1. Definitions

1.1. General definitions

Buyer
The company to which the Proposal is addressed.

Commencement Date
The date, after contract signature, on which following conditions are both fulfilled by
the Parties hereto:
1.1.1. Seller shall have received the down-payment as per payment conditions;

1.1.2. Seller shall receive on operational L/C as per payment conditions, if


applicable.

Contract
The Proposal once accepted by the Buyer.

Equipment
The goods described in the Proposal and identified as being Seller’s supply.

Plant
Process sections where the Equipment supplied by Seller is installed and
completed by the Buyer so as to allow them to operate.

Price
The amount of money due by Buyer to Seller for the Equipment, as specified in the
Proposal.

Proposal
The document in which the Equipment is offered for sale and its annexes.

Seller
The company issuing the Proposal.

Site
The location where the Equipment will be installed.

1.2. Definitions related to site activities

Erection Activities:
is defined as all activities and services performed or needed for the complete erection,
assembly and installation of Equipment and of Equipment to be supplied by Buyer,
including assembly and installation of Equipment, piping works, tracing, mounting of
electrical Equipment, mounting of instrumentation, electrical and

Mechanical Completion:
is defined as the moment when all Erection Activities performed by Buyer are
completed and the Equipment is ready for Pre-Commissioning.

Pre-Commissioning:
is defined as all the testing works related to the process Equipment being performed
after Mechanical Completion and prior to Commissioning & Start-up, for having the
process Equipment tested. It includes mechanical testing of Equipment, tightness
tests, pressure tests, electrical loop checks, input/output electrical testing, instrument
pre-calibration and testing, Equipment lubrication, water tests and/or blank tests.

Commissioning & Start-up:


is defined as all works related to the process Equipment being performed at Site after
Pre-Commissioning, from the moment where the process Equipment is ready for the
introduction of raw material and until the process Equipment are ready for the
Acceptance Tests. It includes final check of erection and pre- commissioning activities,
wet run test (with vapor, water and electricity but without raw materials) of
miscellaneous Equipment (e.g. boiler, chiller, centrifuges, conveyors, etc.), test of the
software, no-load test (with vapor, water and electricity but without raw materials) for
all process sections and sequences in manual mode, no-load test (with vapor, water and
electricity but without raw materials) process sections and sequences in automated
mode, introduction of raw material, reagents, etc. in all process sections, calibration of
instruments, operating-test (with all utilities and materials) of all process sections and
sequence, operating-test (with all utilities and materials) of all process sections in
continuous mode, measurement and fine-tuning of all process sections to achieve
guaranteed capacity and consumptions.

Performance Test:
is defined as a test of the process Equipment, performed in accordance with Article 9 of
these General Conditions of Sale and during an uninterrupted 48 hours period, with in-
specification feedstock, in order to check that the process Equipment meets the
performance guarantees stipulated in the Proposal.

Taking-Over:
occurs immediately after the successful Performance Test. A Taking-Over Certificate,
which may contain reserves compiled in a Punch List, will be immediately issued by the
Buyer and signed by the Parties.

Site Activities:
Means collectively activities constituting the Erection Activities, Pre- commissioning,
Commissioning & Start-up and Performance Test.

2. Seller's Responsibilities

2.1. Seller shall supply the Equipment, which shall be free from defects in design,
material and workmanship.

2.2. Seller shall fully comply with its obligations as specified in the Contract in a timely and
professional manner using due care to safeguard the interests of Buyer.

2.3. Seller shall deliver the Equipment in accordance with the time schedule.set forth in the
Proposal.

2.4. Seller’s obligations and delivery term start from the Commencement Date.

3. Buyer's Responsibilities

3.1. Buyer shall obtain all necessary licenses, permits and approvals for the import and
installation of the Equipment.

3.2. Buyer shall fully comply with its obligations as specified in the Proposal and these
General Conditions in a timely manner.

4. Price

4.1. The Price does not include any taxes, levies, duties or other charges or fees.

4.2. Payments required hereunder shall be paid by wire transfer to an account designated by
the Seller, free and clear of any levies, taxes or fees of any nature. The payments of the
Price shall be free from all bank charges, such as expenses for transfer, opening of the
Letter of Credit, confirmation charges of the Letter of Credit confirming bank, etc.
which are all for the Buyer's account.

4.3. If by no fault of Seller or Seller's subcontractors, Seller is delayed in the delivery of the
Equipment, Seller shall be entitled to increase the Price to reflect any actual costs
incurred because of the delay.

4.4. The Price shall be fixed and firm for the duration of the Contract; however, it shall be
adjusted to take account of any increase in cost resulting from:

(a) changes in legislation of the Country where the Site is located,


and/or
(b) the occurrence of any extraordinary event and unforeseeable event or, if
foreseeable, falling beyond the control of either Party which affects the price of raw
materials for the supply of the Equipment.
Legislation for the purpose of subparagraph (a) above means any law, order, regulation
or by-laws having the force of laws which affects the costs of the Seller in the
performance of his obligations under the Contract.
The Buyer shall also reimburse the Seller for any loss arising from currency restrictions,
and restrictions on the transfer of currency in which the Seller is to be paid which are
imposed by the government or authorized agency of the

government of the country from which any payments under the Contract are to be made.

4.5. The price for the services, including the price of the Supervisory Services, if any, has
been calculated on the assumption that Seller shall not be required to pay any non
Belgian income taxes based on net income or profit of Seller derived from this Contract.
If any of such taxes are imposed on Seller, Buyer shall indemnify Seller for the amount
of such taxes in the currency of the Contract price.

5. Payment Terms

5.1. Buyer shall pay Seller the Price in accordance with the payment schedule set forth in the
Proposal. If there is no payment schedule in the Proposal, Buyer shall pay Seller the
Price as invoiced by Seller in accordance with normal and customary practices of the
trade.

5.2. Unless otherwise specified in the Proposal, in case of delayed payment, Buyer shall pay
Seller the EURIBOR interest +2% on the amount delayed for each month of delay or part
thereof.

5.3. Transfer of funds shall be made in accordance with a mutually agreed upon procedure. If
no procedure is agreed upon, then Buyer shall transfer funds as directed by Seller in
accordance with normal and customary practices of the trade.

5.4. In the event Buyer does not comply with the terms of payment set out in the Proposal,
Seller may, in addition to any other remedies available to Seller, automatically suspend
(no notification is required) all performances until Buyer has so complied.

6. Delivery

6.1. Buyer shall be entitled to inspect the Equipment at reasonable times before shipment.
Buyer shall notify Seller of the specific items of Equipment he wishes to inspect, within
thirty days' notice.

6.2. Buyer shall bear all costs and expenses of such inspection except those expenses connected
with Seller's personnel.

6.3. Unless otherwise specified, Prices shown in the Proposal shall be deemed to apply to
Equipment delivered EXW Ex Works, unpacked.

6.4. Unless otherwise specified, the time for delivery of the Equipment shall start to run
upon the Commencement Date of contract.

6.5. Seller's ability to timely execute its obligations, including delivery of the Equipment, is
expressly contingent on the timely performance by Buyer of all Buyer's obligations in
the Proposal and these General Conditions. If Buyer fails to perform in timely fashion,
Seller shall automatically be deemed to be unable to deliver the

Equipment in a timely fashion, and Seller shall have no liability whatsoever to Buyer for
delays incurred.

6.6. If Seller fails to deliver Equipment in accordance with the time schedule, Seller may be
obliged to pay Buyer liquidated damages. Seller's obligation to pay liquidated damages
shall apply only if Seller has explicitly guaranteed delivery by a fixed date and failed to do
so by reason of Seller's sole fault.

Unless otherwise specified, such damages shall amount to a quarter (0.25) of percent
of that fraction of the Price attributable to the delayed part of the Equipment for each
full week of delay, after a grace period of 4 weeks. In no event shall such liquidated
damages exceed five (5) percent of such fraction of the Price. Such liquidated damages
shall only be applicable if the overall project completion has been negatively impacted
by the sole reason of this delay. Such liquidated damages are Buyer's sole remedy for
Seller's failure to supply the Equipment by the date guaranteed.

6.7. If Seller is unable to supply Equipment in accordance with the time schedule due to
Buyer's fault, direct or indirect, Buyer shall nevertheless pay Seller in accordance with
the payment schedule.

6.8. If Buyer is unable or unwilling to accept physical delivery of the Equipment at the time
specified in the time schedule, Seller may store the Equipment at Buyer's cost and risk. In
such an event, the Equipment shall be deemed delivered as of the date of storage for
purposes of payment, property and insurance of the Equipment.

6.9. Unless otherwise stated as part of the Services of Seller, Buyer shall promptly unpack
and inspect the Equipment at the place of delivery. Upon delivery on Site, the
Equipment shall be properly stored as well as adequately protected against deterioration
and thefts, by Buyer under Buyer’s responsibility and at his expense. Unless otherwise
agreed, packages shall be opened together with Seller and Buyer's representatives to
draw up a full inventory of the packages content. If a package is opened without a
Seller's representative, the packing list compiled by Seller shall be considered as the
inventory of content. Buyer must notify Seller within three days after the inspection of
any missing, damaged or defective items of Equipment.

6.10. In case of CFR, CPT, CIP, CIF, DAP or DDP delivery, the Buyer shall ensure
unloading, at his costs, within 12 hours from delivery. Demurrage costs shall be paid by
Buyer directly to transporter or shall be immediately reimbursed to the Seller in case it
could not be paid by Buyer directly to transporter.

6.11. In case of FOB or FCA delivery, Buyer shall provide a vessel sufficiently geared, with
free of charge use by Seller of the vessel gears.

6.12. In case of DAP or DDP delivery, the Buyer shall provide free, unobstructed and
unhindered access up to the place of unloading of the Equipment

7. Mechanical Warranties on Equipment

7.1. Seller warrants that each item of Equipment is free from defects in design, materials and
workmanship. This warranty also extends to any repairs or replacements of defective
Equipment during the warranty period.

7.2. The warranty period on each item of Equipment is twelve (12) months after its
Commissioning & Start-up but maximum eighteen (18) months after its shipment. The
warranty period for repairs or replacement parts is twelve (12) months from date of
repair or replacement.

7.3. Seller shall make good, replace or, at his option, refund the Price of any item of
Equipment found to be defective during the warranty period. This is Buyer's sole and
exclusive remedy for Equipment, which does not meet the above-specified mechanical
warranty, or any other mechanical warranty specified in the Proposal. Buyer must notify
Seller in writing of the claimed defect, immediately upon the appearance thereof.
Replaced item of Equipment becomes the Seller's property.

7.4. The warranty is exclusive of:

7.4.1. replacements due to ordinary wear and tear,

7.4.2. defect or damage to Equipment caused by or resulting from Buyer's fault or


negligence, faulty operation, poor maintenance, unsuitable warehousing before
and during the erection of the Equipment, use of material or utilities or feedstock
not complying with the requirements specified in the Quotation and

7.4.3. defect or damage caused by or resulting from abrasion if abrasion was caused by
exposure to a feedstock not meeting the requirements specified in the Quotation,
or corrosion except if corrosion occurs due to the selection by Seller of materials
which do not fit with the intended use of Equipment as per Quotation

7.4.4. any other reason beyond Seller's responsibility and/or control.

7.5. The choice of materials composing the Equipment is based on Seller’s best experience
with similar plants processing the same material, and agreed upon by the Buyer. Seller is
not responsible in case the feedstock processed by the Plant contains and releases
unexpected quantities of corrosive or abrasive components which cause unexpected
wear and/or corrosion on the Equipment.

7.6. Unless otherwise specified, Buyer shall bear the cost and risk of transport of
replacement or repaired parts of Equipment.

8. Site activities

8.1. Buyer shall do all things necessary to conduct the Site Activities and all other works and
services necessary to achieve a smooth plant operation.

Buyer is responsible for all Site Activities and shall in the shortest practicable time and
during the whole duration of Site Activities, at his own cost provide free of charge the
following services and items, continuously and in reasonably sufficient number,
constant quality and quantity:
8.1.1. factory manpower including but not limited to skilled and unskilled labour,
maintenance specialists, Equipment operators, staff, laboratory services and

8.1.2. all utilities and consumables including but not limited to electric power, steam,
fuel, water, lubricants, etc.

8.1.3. all raw materials of the same type and characteristics specified in the Contract

8.1.4. materials, tools and construction Equipment.

8.1.5. all process chemicals.

8.1.6. interpreter services in order to ensure full simultaneous translation of all


instructions or communications provided in English in the framework of the
Supervisory Services.

Buyer shall be responsible for the good performance of all Site Activities in a manner
consistent with the Seller’s design and engineering documents, using sound
construction principles, in compliance with the international standards and with all
applicable regulations. Seller’s responsibilities in connection with the Site Activities
are limited to Supervisory Activities as defined and limited at Article 8.2 of General
Conditions of Sales.
Buyer shall obtain and make available to Seller at due time all necessary permits,
approvals and/or licenses from local Authorities as may be required for the execution of
the scope of work under the Contract, including visas and work permits for Seller’s
technicians (including Seller’s subcontractors’ technicians).

8.2. Seller shall provide Supervisory Services for Commissioning & Start-up and
Performance Test.

At the discretion of Buyer and on his prior request in writing, Seller can also provide
Supervisory Services for the offloading of the Equipment, for the Erection Activities
and/or for the Pre Commissioning.
The proper and timely erection and installation of the Equipment remain fully and at all
times the responsibility of the Buyer.

Before commencement of any works and with a prior written notice of minimum 15
days, Buyer shall notify Seller of his request for forthcoming presence of Seller's
technician(s).
Unless provided otherwise in the Contract, supervisory services provided by the Seller
will be invoiced at the rate of 950,00€ per Manday, plus Seller’s technician’s related
expenses if not directly borne by Buyer. Such invoices will be paid within 30 days of
their issue. “Manday” means any one calendar day spent out of the Seller’s offices for
the purpose of performing the supervisory services by each of Seller’s or Seller’s
subcontractor’s technicians, as well as any travel day related to such works. The
Supervisory Services will be counted from the date of leaving the Seller’s offices up to
the date of the return, including the travel days. The working time of Seller’s
technicians will be 8 hours per day. Overtime will be paid pro rata the above daily fee.
If a stay abroad extends beyond 3 months, a return to Seller’s country for a rest period
of 15 days after the initial period of 3 months will be granted.
Further Buyer shall provide at its expense or if provided by Seller, reimburse
Seller:
8.2.1. for facilities for the reasonable human needs of Seller's technicians, including
but not limited to suitable hotel accommodation (at European standards or
equivalent), all meals, laundry and local transport services;

8.2.2. the round trip air ticket in economy class for any Seller's technicians;

8.2.3. in case of illness or accident, medical assistance and related expenses for
hospitalization, drugs and, if necessary, immediate repatriation by the quickest
and most reliable transportation means;

8.2.4. Entry visas and/or permits and/or authorizations for the Seller’s technicians.

8.3. Buyer shall provide for Seller’s supervisory personnel a suitable air-conditioned office
on Site. The office shall be suitably furnished and shall have facilities to keep and safeguard
all design and engineering documents, as well as special tools and measuring
instruments belonging to Seller. The Buyer will also provide Seller’s technicians with
internet connection and phone lines.

8.4. The Buyer undertakes to provide the Seller, not later than 60 days after acceptance of this
Proposal, with all the information relevant to the risks connected with the activity and
permanence of Seller’s technicians at the Site. The Buyer undertakes to enforce at the
Site all the safety measures foreseen by the local laws and regulations as well as any
additional measure as it may be necessary to adequately protect the Seller’s technicians at
the Site. The Buyer shall provide the Seller’s technicians with all the safety gear
required (goggles, gloves, helmet, etc.).

8.5. Buyer must subcontract an EAR/CAR insurance covering adequately its works on Site
and in particular Seller’s personnel and their subcontractors. Buyer will send to Seller a
copy of such policy at least one (1) month before starting the erection of the Plant.

9. Performances

9.1. Once the Equipment has reached a smooth and steady state of operation, Seller shall
notify Buyer of the readiness of the Equipment for the Performance Test, which shall be
conducted by Buyer under the supervision of Seller. The fulfilment of any Performance
shall be proven during testing of the Equipment.

9.2. The Performance Test is expressly contingent on the following conditions:

9.2.1. design, construction, Commissioning and Start-up of the Plant by the Buyer to the
satisfaction of the Seller;

9.2.2. inspection by Seller’s personnel of Equipment erection and Equipment operation


to address obvious defects which can jeopardize the Performance Test

9.2.3. formal agreement between Seller and Buyer that the Performance Test can be
carried out safely;

9.2.4. Buyer has complied with all its obligations, including those stated in article
8.1 of these General Conditions of Sale;

9.2.5. supply by Buyer of adequate human resources to operate the plant,


incoming products, consumables, utilities and facilities for analyses, in quality
and quantity to conduct the tests.

9.3. Unless otherwise agreed in writing by Seller and Buyer. Failing such agreement, the
Performance Test will be carried out as deemed reasonably appropriate by Seller and in
accordance with custom and usage of the appropriate trade or industry. The duration of
the Performance Test shall be 48h;. In case the Proposal is related to several feedstocks,
the Performance test will only be performed on the one agreed in the Performance Test
Procedure.

9.4. If for any reason not attributable to Seller, the Performance Test cannot be started or
maintained, within 12 months after the shipment of the equipment then the Performance
Test shall be deemed to have been successfully performed and the Equipment shall be
deemed as taken over. A reasonable extension of such period shall however be
negotiated in good faith in case such Performance Test cannot be started for reasons
outside of Buyer’s reasonable control.

9.5. As soon as the Performance Test is successful, the Taking-Over by the Buyer of the
Equipment occurs and the Buyer shall issue and sign a “Taking-Over Certificate” that
will set forth the date of Taking-Over and the remaining items of work (“Punch List”)
that have to be completed by SELLER, who shall complete such Punch List items with a
reasonable time.

9.6. Should the Performance Test not be successful and if such failure is attributable to Seller,
the Seller shall, within a period of no more than six (6) months as from the first
unsuccessful Performance Test (the "Make Good Period"), propose and

execute all modifications and repairs and/or replacements of defective parts as are necessary
to put the Equipment in proper working order to achieve the guaranteed performances (such
proposition and execution of modifications, repairs and/or replacement being hereafter
referred to as the “Make Good”). The Seller shall bear the costs of the remedial design, of
the repair works and of the supply of additional Equipment and materials required by such
adjustments or additions, within the limits of its scope of work.

The Buyer will give all reasonable opportunity for the Seller to inspect any defects and
provide all necessary access to the Buyer’s premises and to the Equipment. Upon
completion of the Make Goods repairs, the Performance Test shall be repeated

10. Liability

10.1. Seller shall be liable to Buyer to pay the amount of liquidated damages, if any.

10.2. Buyer's sole remedies for delays in delivery, defective Equipment and failure to meet the
Performance and all other breaches of Seller's obligations are as stated herein.

10.3. Notwithstanding any other provisions under this Contract, SELLER shall not be liable to
BUYER for any indirect or consequential damages, claims or demands or loss, including
but not limited to loss of profit, loss of production, financial loss, loss of use, loss of raw
materials, loss of contracts etc. in connection with or arising out of the purchase,
installation or use of the Equipment or out of the execution of this Contract, except in
case of Seller’s fraud or willful misconduct.

10.4. Notwithstanding any other provision, Seller's maximum aggregate liability to Buyer under
this Contract and its Annex(es) shall never exceed an amount equal to five
(5) percent of the Price.

11. Confidentiality and Restrictions

11.1. The Proposal is a confidential presentation to Buyer for its exclusive use in considering
the Equipment of Seller and shall not be disclosed to third parties without prior written
consent from Seller.

11.2. The ownership of all engineering documentation prepared by Seller in execution of the
Proposal shall remain property of Seller. Buyer is only entitled to use these documents,
and the information contained therein, solely for the purpose of facilitating maintenance,
operation and repair of the Equipment, and not for the duplication thereof, in whole or in
part. Buyer agrees not to disclose the information contained therein to third parties without
prior written consent from Seller.

12. Arbitration

12.1. These General Conditions of Sales and other documents comprising the agreement
between Seller and Buyer shall be governed by the law of the Seller's country.

12.2. Any dispute which may arise from the present contract and which cannot be settled
amicably by mutual agreement, shall be exclusively settled under the Rules of
Conciliation and Arbitration of the International Chamber of Commerce, by three
arbitrators appointed according to said Rules. Arbitration shall be conducted in English,
it will take place in the capital of the Seller’s country, and the arbitrators shall reach
their decision under the laws of the Seller’s country. The Parties expressly agree that the
Arbitration award shell be final and binding for the Parties.

13. Force Majeure

"Event of Force Majeure" shall mean any of:

13.1. Acts of God.

13.2. Fires, floods, earthquakes, lightning, hail, snow storm, inclement weather conditions or
other natural calamities.

13.3. Strikes, lockout, both whether direct or indirect, lawful or unlawful.

13.4. Acts of restraint of governments or public authorities

13.5. War, rebellion, terrorist acts, riots or insurrection

13.6. Force majeure event invoked by a subcontractor for an event listed in the present article.

13.7. Any circumstances, whether or not of the class or kind specifically named above, which
are not within the reasonable control of the party affected and which, despite the exercise of
reasonable diligence, said party is unable to prevent, avoid or remove.

Notice of Force Majeure


As soon as possible following the date of commencement of any Event of Force Majeure, the
party desiring to invoke such Event of Force Majeure as a cause for excuse from or delay in the
performance of any obligation hereunder shall advise the other party in writing of such date and the
nature of such Event of Force Majeure.

Within a reasonable time following the date of termination of such Event of Force Majeure or
the date on which it is determined that further performance is impossible, the party having
invoked such Event of Force Majeure as a cause for such excuse or delay shall submit to the
other party reasonable proof of the nature of such impossibility or delay.

The parties shall thereupon consult with one another concerning the effect of such impossibility
or delay upon the Scope of Work and shall agree upon an equitable adjustment of the Scope of
Work to take into account such effect.
The Party claiming existence of Force Majeure shall at all times use all reasonable endeavors to
minimize any delay in the performance of its obligations under the Contract as a result of Force
Majeure
Both parties shall make all reasonable efforts to prevent and reduce to a minimum and mitigate
the effect of any delay occasioned by any Event of Force Majeure including course to alternate
acceptable sources of services and supplies of Equipment.
Consequences of an Event of Force Majeure
Neither Party shall be considered in default under this Contract to the extent that performance of
its obligations is prevented by an Event of Force Majeure. The Party claiming existence of Force
Majeure shall immediately notify the other Party. Failure to give a notice of the Force Majeure
shall deprive the Party concerned of the right to claim non-liability.
Any amount of the Price which shall have occurred and become payable immediately prior to the
occurrence of the Event of Force Majeure shall be paid when due as if such occurrence had not
taken place.
If the Seller is prevented from performing any of its obligations under the Contract by Force
Majeure of which notice has been given and suffers delay and/or incurs costs by reason of such
Force Majeure, the Seller shall be entitled to an extension of the time for any such delay, if
completion is or will be delayed, and to payment of any such costs.
Adjustment of Contract Price
If the Time Schedule is extended pursuant to an Event of Force Majeure, Seller and Buyer shall
discuss and agree upon an equitable adjustment of the Price to take into account the additional costs,
which Seller demonstrates have been caused by the delay resulting from the Event of Force
Majeure.
Subcontracting
The Seller shall have the right to subcontract any portion of the scope of work to other
contractors as it may be deemed necessary by the Seller for the proper execution of its scope of
work under the Proposal, being agreed and understood that the subcontracting of any portion of
the scope of work shall not relieve the Seller of its responsibilities under the Proposal.
