CONTRACT OF LEASE
KNOW ALL MEN BY THESE PRESENTS:

This CONTRACT OF LEASE made and entered into this 19th day of May 2024 at
Rodriguez, Rizal, by and between:

Cecilia S. Quien of legal age, Filipino with residence address at #8 Alberto Subdivision
Burgos, Rodriguez, Rizal, herein referred to as the “LESSOR”;

-and-

Katrina Blanca C. Andal, of legal age, Filipino with residence address at #Blk 3 Lot 25
Montavilla PH 1, Burgos, Rodriguez, Rizal, hereinafter referred to as the “LESSEE”,

WITNESSETH: That-

The LESSOR is a registered and absolute owners of one parcel of land located at
Alberto Subdivision Burgos Rodriguez, Rizal, with an area of One Hundred Eighty (180) SQM
and covered by Transfer Certificate of Title No. 009-2021005143 of the Registry of Deeds –
Marikina City.

The LESSEE desires to lease from the LESSOR, the 180 square meters of space for the
operation of a food business.

NOW, THEREFORE, for and in consideration of the foregoing premises and of the terms and
conditions herein set forth, the parties mutually agree as follows:

1. PERIOD / DURATION OF LEASE:

The term of lease shall be for Two (2) Years, such period to begin on June 01, 2024 to June
01, 2026, subject for renewal every One (1) year on such terms and conditions as may be
agreed upon by both parties.

Upon contract signing, the LESSEE is granted Ten (10) days rent free allowance for moving in
purposes, such period to begin on May 22, 2024 to May 31, 2024.

2. RENEWAL:

Should the LESSEE wish to renew this Contract, it shall, within Sixty (60) days prior to the
expiry hereof, submit a written notice to this effect. If the LESSOR is amenable to the same,
both parties shall negotiate and discuss new terms and conditions which they may mutually
agree to govern the new lease. If no agreement is reached, LESSEE shall vacate the leased
premises within Thirty (30) days from the written notice of non-renewal.

3. RENTAL FEE:

The LESSEE shall pay every end of the month starting on June 30, 2024 a monthly rental of:

a. Amount in words Fifteen Thousand Philippine Pesos

b. Amount in figures Php 15,000

c. Escalation After every 12 Months (1 year) by 5%.

The LESSEE is to provide PDCs every 6 months of the Rental Payment. In case of delay in the
payment of monthly rental for any reason whatsoever, the LESSEE expressly agrees to pay
penalty interest at the rate of 12% per annum from due date to actual receipt of payment.

4. SECURITY DEPOSIT/ADVANCE RENTAL:

Upon contract signing, the LESSEE shall release TWO (2) MONTHS SECURITY DEPOSIT
amounting to Thirty Thousand Pesos (Php30,000) for any expenses or damages of the leased
premises or the LESSOR may incur due to the fault or negligence of the LESSEE or to any
violation of the terms and conditions of this Contract of Lease. And also, the ONE (1) MONTH
ADVANCE PAYMENT of Fifteen Thousand Pesos (Php15,000).

And as agreed upon, the LESSEE shall pay an advance security deposit of Five thousand
Pesos (Php5,000) that is deductible to the TWO MONTHS SECURITY DEPOSIT.

The next monthly payment will commence on June 30, 2024.

LESSEE shall be delivering Post-dated cheques (PDC) every 6 months. Acknowledgment


receipt will be given to the LESSEE monthly (within 5 days) after clearing of the check payment.

5. TAXES AND OTHER ASSESSMENTS:

That, the Realty Tax on the lot, charges and any special assessments imposed by the LGU on
the property shall be for the account of the LESSOR. However, realty tax imposed on the
structures/improvements introduced by the LESSEE on the Leased Premises, and all permits,
licenses, electricity, water, telephone bills and other charges and services during the effectivity
of this contract shall be for the exclusive account of the LESSEE. Likewise, all charges and
government assessments which may, at any time, within the leased period be imposed with
respect to the LESSEE’s line of business shall be for the account of the LESSEE. The LESSEE
shall obtain its own name and all required permits and licenses for the operation of its FOOD
BUSINESS.

The LESSEE hereby agrees to indemnify the LESSOR and to hold the latter free from any
liability whatsoever as regards to any failure by the LESSEE to comply with the government
laws on taxes, permits and licenses.

6. SUB-LEASE:

The LESSEE shall not enter into any sublease agreement as regards to the space within and
around its food business.

7. SALE, TRANSFER AND MORTGAGE:

In the event of sale, transfer, mortgage or any other encumbrance of the same, the LESSOR
shall inform the LESSEE of such transaction and be given the first option to buy the property.
LESSOR shall also inform the Third Party buyer or mortgagee of the existence of this Contract
of Lease and warrants that the purchaser, mortgagee, and encumbrance holder shall respect
and abide by all the terms and conditions of this Lease Agreement including the provisions for
renewal hereof.

8. WARRANTY OF LESSOR:

LESSOR warrants that he is the true and lawful owner of the leased property and has the
authority to enter into this Contract of Lease.

The LESSOR hereby warrants the peaceful possession and control of the LESSEE over the
Leased premises and shall defend the rights of the LESSEE against any and all persons
whatsoever.
