Confidentiality and Non-Disclosure Agreement


This Confidentiality and Non-Disclosure Agreement (“the Agreement” or “NDA”) is made on 26th September 2022

between:

- Sitec Engineering Ltd, (a Belcan company) (registered company no. 06426920) of Church House,
Church Road Filton, Bristol, BS34 7BD, and its wholly owned subsidiaries (“Belcan”);

AND

- Divesh Peddireddy, 8 Lincoln Street, Leicester, Leicestershire, LE2 0JT (“the Employee”);

Hereinafter referred to individually as a “Party” or jointly as “the Parties”

It is hereby agreed as follows:

1. Definitions

1.1. “Belcan”; “the Employee”; and “the Parties”; shall be given the meanings as defined above.

1.2. “Client” shall mean a client of Belcans whose work package the Employee may be working on.

1.3. “Confidential Information” shall mean all information (whether marked as “Confidential” or not) including
but not limited to, renderings; sketches; drawings; data; know-how (whether technical or not);
intellectual property not publicly known or available; and any other information in any form which is
disclosed to the Employee by Belcan or its Clients (as defined below). “Confidential Information” shall
be held to include originals and copies.

1.4. “NDA” shall mean this Confidentiality & Non-Disclosure Agreement.

1.5. “Work” means the work done by the Employee during the course of their employment with Belcan.

1.6. Any headings used in this NDA are for convenience only and should not affect their interpretation.

The Employee warrants that they:

2.1. Will keep all Confidential Information secret and confidential and not disclose Confidential Information
to any person or third party without the prior written consent of Belcan or the Client;

2.2. Will store all Confidential Information in a secure environment where such an environment is provided
by Belcan or the Client so as to ensure that access to Confidential Information is restricted and that the
Confidential Information is given the necessary protections required;

2.3. Will ensure all proprietary and confidentiality markings are reproduced on any copies of Confidential
Information made by the Employee and that they shall not add any further markings without the prior
written consent of Belcan or the Client;

2.4. Will inform Belcan immediately upon becoming aware of or suspecting any fact or circumstance which
would, if confirmed, constitute or give rise to a breach of this NDA;

2.5. Will not use, copy, record, publish, or distribute, any Confidential Information, in whole or in part,
without the prior written consent of Belcan or the Client;

2.6. Will comply with the instructions of Belcan and/or the Client with respect to the return or destruction of
Confidential Information, including but not restricted to returning any Confidential Information, including
copies, to Belcan and/or the Client upon termination of this NDA.

2.7. Will comply with the instructions of Belcan and/or the Client with respect to the return or destruction of
Confidential Information, including but not restricted to returning all Confidential Information, including
any copies thereof; and any assets and/or equipment provided by Belcan and/or the Client.

3. Non-Application

The obligations in Clause 2 do not apply to information which:

3.1. information in or that comes into the public domain through no act or omission on the part of the receiving
party; or

3.2. information rightfully disclosed to the receiving party by a third party without restriction on disclosure; or;

3.3. information independently developed by the receiving party; or

3.4. information required by law to be disclosed by the receiving party, provided the receiving party gives the
other party a reasonable opportunity to contest the disclosure and/or obtain a protective order.

Nothing in this NDA shall prevent the Employee from disclosing Confidential Information where and to the
extent that such a disclosure is required by judicial, administrative, governmental, or regulatory, process,
provided the Employee gives Belcan prior notice in writing of the reasons for and extent of the disclosure.
The Employee should also cooperate with Belcan in taking reasonable steps to, where possible, limit the
scope of the required disclosure of Confidential Information to only that which is required.

5. Assignment

5.1. All Intellectual Property and results of work, including reports, arising out of or pursuant to any work
undertaken by the Employee during their employment will be the property of Belcan or the Client and
will not be disclosed by the Employee to any third party. The Employee will hereby assign, with full title
and benefit, all arising intellectual property rights in these works now and in the future to Belcan or the
Client, including the absolute and exclusive right to apply worldwide for any patent, registered design,
copyright, or similar right, in the work and the right to take any action or other proceedings to recover
damages in connection with the misuse or disclosure without permission of the works, and will take all
reasonable endeavours to ensure that such a right is not prejudiced by their actions.

5.2. The Employee hereby waives any and all moral rights which may exist or have existed in any of the
arising Intellectual Property.

6. Termination

This NDA will be terminated only upon termination of employment with Belcan. Until then, and for a period of
10 years following the termination of this NDA, the obligations set out within this NDA must continue to be
adhered to.

7. Remedies

The Employee accepts that unauthorised breach of the obligations contained within this NDA may result in
disciplinary procedures being raised against them, and serious breaches may be held as gross misconduct,
resulting in termination of their employment as per their Contract of Service.

The Employee also accepts that a breach of the obligations under this Agreement may cause irreparable harm to
Belcan and/ot the Client for which monetary damages may be inadequate. Belcan and/or the Client will be entitled
to injunctive relief for any such breaches, threatened or actual.

8. Jurisdiction

This Agreement and any claim, whether in contract, tort, or otherwise, arising out of this Agreement shall be
governed by and construed in accordance with the laws of the United Kingdom, excluding its conflict of laws
principles.

9. Miscellaneous

9.1. The Employee shall not disclose to any person the existence or contents of this NDA, or of any
discussions or exchanges pursuant hereto without the prior written agreement of Belcan.

9.2. No variation of this NDA shall be effective unless it is in writing, refers specifically to this NDA and is
signed by a Director of Belcan and the Employee.

9.3. The Employee’s obligations contained in this NDA shall be in addition to, and not in substitution for,
their duties under Common Law.
