DACION EN PAGO / DACION IN PAYMENT

WITH CHATTEL MORTGAGE

AGREEMENT

This Dacion En Pago Agreement (“Dacion”) is made and executed by and between:

___________________, of legal age, Filipino, married to____________, with business

address at 123 Santol St., Quezon City (“Vendor ”);

- and -
______________, of legal age, Filipino, married, with business address at 1724-1736
Antonio Rivera St, Tondo Manila (“Vendee-”);

WITNESSETH: That-

WHEREAS, the Vendor is a proprietor of Dream and Purple Kitchenette located at 1 st

street fortune village 5 1442, Valenzuela City with business covering catering services
and delivery of foodstuff consumables;

WHEREAS, the Vendor will be indebted to the Vendee in the amount of

WHEREAS, the amount of ________________has been released in advance by the

Vendee. Copy of the Acknowledgement Receipt dated February 29, 2024 is herein
attached as ANNEX “A”;

WHEREAS, the Vendor is willing to settle his Obligation to the Vendee-Creditor but
is not liquid to do so;

WHEREAS, the Vendee had agreed to be paid by the Vendor through foodstuff
consumables (Christmas Ham) with a value of _______________

WHEREAS, the Vendor proposed to convey by way of dacion en pago the delivery of
foodstuff consumables (Christmas Ham) as full and complete settlement of his obligation
and the Vendee- Creditor hereby accepts the same.

WHEREAS, both parties agree that the delivery of Christmas Ham shall be made by the
Vendor on particular date to be decided by the Vendee sometime December 2024;

Terms and Agreement

1. Conveyance and purchase price

The Vendor convey by unto the Vendee by pay of dacion enpago foodstuff
consumables (Christmas Ham) as follows:

The Vendee will release unto the vendor following amounts as stated below:

3. Security Chattel Mortgage

As security for the amount of Three hundred thousand pesos (Php 300,000.00)
received from the Vendee, the Vendor hereby mortgages unto the Vendee a
certain motor vehicle, more particularly described as follows:

NOW THEREFORE, for and in consideration of the foregoing premises, the Vendor hereby
SELLS, TRANSFERS and CONVEYS, by way of DACION EN PAGO/ DATION IN
PAYMENT unto the Vendee, his heirs and assigns, the above-described foodstuff consumables
(Christmas Ham) , as well as its accessories and accessions, valued at
_________________(Php_____, free from any and all liens, encumbrances and taxes

The Vendor further warrants his ownership over the above-described Motor Vehicle and
shall defend the Vendee from any and all claims and causes of action in connection with
or arising from this transaction.
