SUPPLEMENTAL MEMORANDUM OF AGREEMENT

This Supplemental Memorandum of Agreement is entered into by and between:

The QUEZON CITY GOVERNMENT, a local government unit operating and existing
under the laws of the Republic of the Philippines, with its principal office located at
Quezon City Hall, Elliptical Road, Brgy. Central, Diliman, Quezon City, herein
represented by its Mayor, HON. MA. JOSEFINA G. BELMONTE, hereinafter referred to
as "QCG";

and

PACIFIC PAINT (BOYSEN) PHILIPPINES INC., a corporation duly organized and

existing under the laws of the Philippines, with its office located at 292 D. Tuazon St.,
Quezon City, herein represented by its President, MR. WILLY L. ONG, hereinafter
referred to as "Boysen".

WITNESSETH: That -

WHEREAS, the parties previously entered into a Memorandum of Agreement dated

October 22, 2020, for the beautification by repainting works furnishing the needed
materials and labor, for all pedestrian footbridges and other public access
infrastructures such as overpasses and tunnels within Quezon City for a period of Three
(3) Years, and has been formally expressed for continuance last October 6, 2023,
covering the same duration.

WHEREAS, the City has entered into a Joint Venture Agreement for Footbridge
Donation, Redevelopment, Monitoring & Maintenance Project (EAI Project) with
Ecobridges ADS, Inc. The project involves the construction of new footbridges;
redevelopment of existing footbridges: operations, monitoring and maintenance of the
footbridges;

WHEREAS, both parties desire to amend and supplement the original agreement to
include new terms beneficial to both parties;

NOW, THEREFORE, for and in consideration of the foregoing premises and the terms
and conditions herein set forth, the parties agree as follows:

I. AMENDMENTS TO THE ORIGINAL MOA

1. The Original MOA is amended to include that Boysen shall, at its own cost and
free of charge, undertake and complete the painting works furnishing the needed
materials and labor, for the pedestrian footbridges under its scope, following the
agreement of the City with Ecobridges ADS, Inc.
 2. In consideration of the painting works, Boysen shall adopt the approved design
layout by the City and be allowed to post its logo on conspicuous areas, the size
of which shall be mutually agreed upon by the Parties.

II. EFFECTIVITY

This Supplemental Agreement shall take effect upon signing and shall continue to be in
effect for the same duration as the original MOA unless terminated earlier by either
party through written notice.

IN WITNESS WHEREOF, the parties hereto have caused the execution of this
Supplemental Memorandum of Agreement by their duly authorized representatives on
this __________ day of ________________ 2024 at Quezon City, Philippines.
