DEED OF ASSIGNMENT OF SHARES

KNOW ALL MEN BY THESE PRESENTS:

This Deed of Assignment of Shares is entered into this 24 day of

November at Royale RDJ Navotas Office No.7 E.Rodriguezs St. Brgy. Tanza I
Navotas City by and between:

Mr.Carlito De Guzman, Filipino, of legal age, married, and with

residence at Tanza Navotas City, hereinafter referred to as the
“ASSIGNOR”;

-and-

Raymund Christopher Puso, Filipino, of legal age, married, and with

residence at Unit 106, Sevilla Bldg. Vista De Lago, Brgy. Tuktukan
Taguig City, hereinafter referred to as the “ASSIGNEE”;

WITNESSETH: That –

WHEREAS, the ASSIGNOR is a President and major stockholder of

Royale RDJ Marine Surveying Corp (hereinafter referred to as the “Corporation”),
a corporation duly organized and existing under the laws of the Republic of the
Philippines;

WHEREAS, the ASSIGNOR is the exclusive registered owner of 100

percent shares of common stock of the Corporation (hereinafter referred to as
the “Shares”);

WHEREAS, the ASSIGNOR desires to assign, transfer, and convey all its
rights, titles, and interests in and to the Shares, including all its dividend and
subscription rights, whether accrued, accruing, or which may accrue to the
Shares, in favor of the ASSIGNEE, and the ASSIGNEE accepts the assignment;

NOW, THEREFORE, for and in consideration of the foregoing premises

and the payment of the sum of Three Hundred Thousand Pesos
(Php300,000.00), the ASSIGNOR hereby assigns, transfers, and conveys,
absolutely and unconditionally, all its rights, title, and interests in and to the
Shares, including all its dividend and subscription rights, whether accrued,
accruing, or which may accrue to the said Shares, unto and in favor of the
ASSIGNEE, its successors and assigns.
 Upon presentation of this Deed of Assignment of Shares, the Corporate
Secretary or transfer agent of the Corporation is hereby authorized and
instructed to effect the necessary transfer of the Shares to and in the name of the
ASSIGNEE in the books and records of the Corporation, and any and all rights,
title, and interests in and to the Shares, including, but not limited to, the right to
vote, dividend, and subscription rights, shall thereafter pertain to the ASSIGNEE.

IN WITNESS WHEREOF, the Parties have set their hands on the date
and place as first above written.

This instrument refers to a Deed of Assignment of Shares, consisting of three

(3) pages including this page whereon this acknowledgment is written.
