In view of Party A's need to procure and install equipment for its project, and Party B's
agreement to provide the said services, both parties, based on the Contract Law of the
People's Republic of China and relevant laws and regulations, and on the principles of
equality, voluntariness, fairness, and good faith, have reached the following agreement
through friendly negotiations regarding the equipment procurement and installation:

Chapter 1: Contract Subject

Article 3: Equipment Price

Chapter 2: Equipment Delivery and Acceptance

1. After the equipment arrives at the delivery location, Party A shall conduct a preliminary
acceptance within ________ days.

3. After passing the preliminary acceptance, Party A shall conduct installation and

Chapter 3: Equipment Installation and Commissioning

Article 7: Installation and Commissioning

2. Party B shall send technical personnel to the site for installation and commissioning within
________ days upon notification from Party A.
3. Party B shall provide operational training to ensure that Party A's personnel can correctly
operate and maintain the equipment.

Article 8: Installation Site Requirements

1. Party A shall prepare the installation site according to the requirements provided by Party B

2. If the installation cannot proceed on schedule due to reasons attributable to Party A, Party A
shall bear any additional costs incurred.

Chapter 4: Payment Terms

Chapter 5: Rights and Obligations of Both Parties

assistance to Party B.
3. Party A shall prepare the installation site according to Party B's requirements to ensure the
smooth progress of the installation work.

Article 11: Rights and Obligations of Party B

1. Party B has the right to receive payment according to the contract.
2. Party B shall deliver the equipment on time as required by the contract and provide the
necessary installation and commissioning services.
3. Party B shall ensure that the provided equipment meets the quality standards agreed in the
contract and provide relevant technical support and after-sales service.

Chapter 6: Equipment Quality Guarantee and After-Sales Service

Article 12: Quality Guarantee

1. Party B shall provide a quality guarantee period of not less than ________ years from the
date of acceptance.
2. During the quality guarantee period, Party B shall provide free repair or replacement
services for faults caused by equipment quality issues.

Article 13: After-Sales Service

1. Party B shall provide lifelong maintenance services and ensure to respond within ________
hours and arrive at the site within ________ days for repairs after receiving Party A's repair
notice.
2. Party B shall conduct regular visits to understand the operation status of the equipment and
provide corresponding technical support.

Chapter 7: Breach of Contract

Article 14: Breach of Contract

1. If either party fails to perform its obligations as agreed in the contract, it shall be deemed as
a breach of contract, and the breaching party shall bear the breach of contract liability.
2. The breaching party shall pay liquidated damages to the non-breaching party, which shall
be ________% of the total contract price.
3. If the actual loss caused by the breach exceeds the liquidated damages, the breaching party
shall compensate the non-breaching party for all losses.

Article 15: Delayed Delivery Responsibility

1. If Party B fails to deliver on time, it shall pay Party A liquidated damages amounting to

demand compensation from Party B.

Chapter 8: Force Majeure

Article 16: Force Majeure

1. If the contract cannot be performed due to a force majeure event, the affected party shall

2. Force majeure events include but are not limited to natural disasters, wars, riots, and
government actions.
3. If the contract is partially performed or delayed due to a force majeure event, both parties

Chapter 9: Contract Termination and Rescission

settlement of all payments.
2. If the contract cannot be continued due to a force majeure event, both parties shall
negotiate to terminate the contract.

Chapter 10: Dispute Resolution

Article 19: Dispute Resolution

1. Any disputes arising from this contract shall be settled through amicable negotiations
between the parties.
2. If the negotiations fail, either party may bring the dispute to the people's court in the place
where the contract was signed.

Chapter 11: Miscellaneous Provisions
