Schedule A'Property having 1008.6 Square Feet Buitt-up Area along
with a share in tlle common arca of 432.4 Square Feet Built_up Area
totaling 1441 Square t'eet Built-up Area with Two Covered Car
parking Space bearing Nos. P5S6 & p557 in the residential pro-ject
known as "Pacilica Aurun" together with B5O gq.ft. of undivided
share lard in arrd out of 256650 Sq.ft. comprised in Survey Nos. 129/3
(Part), 130/1, 130/3 (Part), t3O/4lpaxt), 133/181 lpafi), t4Slt, t4Sl2,
14s13, 1,4s/4, 146, 14a/1 Pafi), 148/2, t48/3, 148/4 (part), 148/s

Village, Thiruporur Taluk, Kancheepuram District, now Chengalept
District, morefully described in the Schedule ,8, hereunder and
hereinalter referred to as "schedule ,B, property" and having purchased
the same from M/s. Pacifrca (Chennai project) Infrastructure Company
Private Limited & Others vide a Sale Deed dated 2g.]-D.2o]-4, registered
as Document No.t5276l20l{ in the office of the Sub-Registrar
Thiruporur and Construction Agreement dated 20.04.2013 entered with
M/s. Pacifica (Chennai Project) Infrastructure Company private Limited.

WHEREAS ever since from the date of purchase, the VENDOR is in


continuous and peaceful possession and enjoyment over the Schedule
'B' Property without any let or hindrance from any persons and paying
a1l necessar5r taxes to appropriate authorities.

WHEREAS the VENDOR has offered to sell and transfer the Schedule ,B,
Property free from all encumbrances to the PURCHASER for a total sale
consideration of Rs,63,OO,OOO/- (Rupees Sixty Three Lakh otrlyl and
the PURCHASER herein has agreed to purchase the

NOUI THIS DEED OF ABSOLUTE SALE WITNESSTH AS FOLI,OWS:

1. Thatin pursuance of the aforesaid presents arrd in consideration of


payment of a sum of Rs.63,OO,OOO/- (Rupees Sixty Three Lakh only)
paid by the PURCHASER to the VENDOR in the following manner:

(i) A sum of Rs.14,0O,OO0/- (Rupees Fourteen LaJ<h only) paid by


way of RTGS Ref. No.OoOOoO3 4a22339O15, dated O8.O2.2023 in
favour of Mr, Srinivasan Ramachandran, the Vendor herein;

(ii) A sum of Rs.48,37,OOO/- (Rupees Forty Eight LaLh and Thirty


Seven Thousand only) paid by way of Demand Draft No.803032,
d,ated 23.02.2023, drawn on State Bank Of India, Anna Nagar
Branch, Chennai, in favour of Mr. Srinivasarr Ramachandran, the
Vendor herein;

(iii) The PURCHASER herein paid a sum of Rs.63,OOO/- (Rupees Sixty


Three Thousand only) in the PAN Account of the VENDOR towards
TDS of 1% vide Chellan serial No.24601, dated 24.O2.2O3;

Serial No. (i) to (iii) payments, altogether totaling a sum of


RS.63,OO,OOO/- (Rupees Sixty Three Lakh onlyl being total Sale
Consideration for absolute sale of the Schedule 'B' Property free from all
encumbrances, charges ald whatsoever, and the above said amount is
paid at the instance and instruction of both the VENDOR herein afrd the
receiptof which the VENDOR doth hereby admits, agrees and
acknowledges ald hereby releases the PURCHASER from any other
fu rther payrrent thereof .

2. The VENDOR dotl hereby sells, conveys, gralts, assigns and


transfers absolutely unto the PURCHASER the Schedule

together with all drains, ditches, ridges, fence, water courses, ways,
rights, liberties, privileges easements, advaltages, appurtenances,
whatsoever to the said property and pertaining to the sarne or any of
them now or hereto before expressed to be hereby conveyed, granted and
sold unto the PURCHASER TO HAVE AND TO HOLD absolutely forever
and free from all encumbrances, charges, lien, right or demand of any
kind whatsoever.

3. The VENDOR hereby covenants with the PURCHASER that the


Schedule'B' Property hereby conveyed is free from all encumbrances,
charges, trust, interest, claims, liens, mortgages, attachments,
lispendense, quasi-judicial proceedings, third party claims ald demands
whatsoever and the VENDOR doth hereby covenant with the
PURCHASER that VENDOR herein has got good, marketable, absolute
and perfect title, indefeasible right and authority to convey t]le Schedule
'B' Property and none other than the VENDOR herein have got any kind
of right, claim, interest or title over the Schedule 'B' Property and the
VENDOR or his predecessors in title have not done or knowingly
suffered to contrary aly act, deed or things whereby the Schedule 'B'
Property were in any way encumbered, affected or impeached in title or
otherwise and the PURCHASER shall arrd may today quietly and
peacefully enter into the Schedule 'B' Property ald possess artd enjoy
the same hereby conveyed and more clearly described in the Schedule
hereunder and receive the profits thereof without any let, hindrarce,
eviction, claims, interruption or interference by the VENDOR or any
person claiming through the VENDOR.

4. The VENDOR doth hereby further assures and declares that the
VENDOR is not prevented from conveying the Schedule ,B, property
conveyed on this day to the PURCHASER.

5. The VENDOR further covenants with the PURCHASER that t-here are
no material defects in the title of the VENDOR and that the VENDOR
has not knowingly or willfully failed to disclose ary material defects in
the VENDORS'title or to his predecessors-in-title to the Schedule ,B,
Property and that the VENDOR has not done any act or deed or thing
whereby he is not prevented from conveying the Schedule 'B, hoperty to
the PURCHASER.

6. The VENDOR doth hereby assures that he has fully paid and
discharged or will duly pay and discharge all taxes, rents, statutory
claims and other outgoings, payable to Revenue ald other public
charges levied in respect of the Schedule 'B' Property hereby conveyed
up to this date and it is made very clear that the PURCHASER shall not
be liable to pay any taxes or charges up to the date of tl:.is sale to any
authoritie s.

7. The VENDOR hereby agree and undertake that he shall at a.ll times
hereafter, at the request and cost of the PURCHASER execute or cause
to be executed any documents, letters etc. to perfect the title of the
PURCHASER.

8. The VENDOR doth hereby agrees to indemnit/ the PURCHASER to the


extent to which the PURCHASER herein may suffer against any
encumbralces, charges, claim or demand in any manner from the
aforesaid nature and breach or failure of any other condjli
covenants, stipulations, declarations in this indenture of Sae-

9. The VENDOR also agrees to sign all letters, forms and deeds that the
PURCHASER may require to effect the change of ownership in the
Register of Corporation and Revenue, Electricity board and concerned
authorities and also obtain patta in the name of the PURCHASER.

10. The VENDOR has handed over the PURCHASER this day vacant
actual physical arld constructive possession of the Schedule ,8, property
together with all rights, title, claims, interest, etc. and delivered the
original Title Deeds and all other relevant documents relating to the
Schedule 'B' Property to the PURCHASER.
