Contract for the Sale and Purchase of Apartment

This Contract ("Agreement") is made and entered into on this 29th day of MAY, 2024 Effective Date by
and between:

Builder:
MR. NAEEM AHMAD SWATI Muslim, adult, is holding C.N.I.C. No. 15701-8574058-9, Resident of
Resident of HOUSE NO 60 STREET NUMBER 1 JAM SADIQ ROAD LOWER GIZRI SOUTH KARACHI
hereinafter referred to as the “BUILDER” (which terms & conditions shall mean and include his
respective heirs, executors, successors-in-interest, legal representatives, administrators, attorneys,
agents and assigns) of the ONE PART

PURCHASER:
MS. NASEEB ULLAH ISHANGI Muslim, adult, holding C.N.I.C. No. 42101-9875201-6, Resident of House
NO 24 STREET NO 11 SOHRAB GOTH MALIR KARACHI, hereinafter referred to as the “PURCHASER”
(which terms & conditions shall mean and include her respective heirs, executors, successors-in-interest,
legal representatives, administrators, attorneys, agents and assigns) of the SECOND PART

Recitals:
WHEREAS, the Builder is the developer of an apartment project known as "Dream City" located in
adjacent to Shah rah-E-Faisal, at just walking distance from Jinnah International Airport Terminal Karachi

WHEREAS, the Client desires to purchase an apartment unit consisting of 780 square yards, corner
facing, with a separate parking area in Dream City;

WHEREAS, the Builder agrees to sell and the Client agrees to purchase the said apartment unit under the
terms and conditions set forth in this Agreement.

Now, therefore, in consideration of the mutual covenants and promises herein contained, the parties
hereto agree as follows:

1. Description of the Apartment


The Builder agrees to sell and the Client agrees to purchase Apartment Unit No. 27 located on ground
floor, consisting of 780 square yards, corner facing, in Dream City, with a separate parking area.

2. Purchase Price
The total purchase price for the apartment unit is PKR 3,60,00000 (the "Purchase Price").
3. Payment Terms
Initial Deposit: The Client shall pay an initial deposit of PKR 6000000 upon execution of this Agreement.

Installments: The remaining balance of the Purchase Price shall be paid in 24 equal monthly installments
of PKR 1250000 each, starting from the 1th day of july, 2024.

Final Payment: The final payment shall be made upon completion and before possession of the
apartment unit.

4. Completion and Possession


The Builder agrees to complete the construction of the apartment unit and hand over possession to the
Client on or before the 1 day of May, 2026.
In case of any delay in completion, the Builder agrees to pay a penalty of PKR 5000 per day to the Client.

5. Specifications and Quality


The apartment unit will be constructed in accordance with the specifications and quality standards as
detailed in Annexure A attached to this Agreement.

Any deviation from the agreed specifications shall be rectified by the Builder at no additional cost to the
Client.

6. Separate Parking Area


The Builder agrees to provide a separate parking area designated for the Client's exclusive use. The
location and dimensions of the parking area are detailed in Annexure B attached to this Agreement.

7. Title and Conveyance


The Builder warrants that they have a good and marketable title to the apartment unit and that the unit
is free from any liens, encumbrances, or legal disputes.

The Builder shall convey the title of the apartment unit to the Client upon full payment of the Purchase
Price and completion of all obligations under this Agreement.

8. Taxes and Fees


The Builder shall be responsible for all taxes, fees, and charges related to the construction and sale of
the apartment unit until the date of possession.

The Client shall be responsible for any taxes, fees, and charges applicable from the date of possession.

9. Default and Termination


If the Client fails to make any payment as per the agreed schedule, the Builder shall have the right to
terminate this Agreement after providing a written notice of 30 days.

In case of termination, the Builder shall refund all payments made by the Client, less any costs incurred
by the Builder due to the Client's default.
10. Dispute Resolution
Any disputes arising out of or in connection with this Agreement shall be resolved through arbitration
conducted in accordance with the rules of the (Arbitration Body) in CLIFTON KARACHI (Location). The
decision of the arbitrator shall be final and binding on both parties.

11. Governing Law


This Agreement shall be governed by and construed in accordance with the laws of the State of
PAKISTAN.

12. Entire Agreement


This Agreement constitutes the entire agreement between the parties and supersedes all prior
negotiations, representations, or agreements, whether written or oral.

13. Amendments
Any amendments or modifications to this Agreement must be in writing and signed by both parties.

14. Notices
All notices under this Agreement shall be in writing and sent to the addresses mentioned above, either
by certified mail, return receipt requested, or by email with confirmation of receipt.

15. Miscellaneous
Waiver: The failure of either party to enforce any provision of this Agreement shall not be deemed a
waiver of such provision or the right to enforce it thereafter.

Severability: If any provision of this Agreement is found to be invalid or unenforceable, the remaining
provisions shall continue in full force and effect.

In Witness Whereof, the parties hereto have executed this Agreement as of the day and year first above
written.
