Article 1799

Prohibition of Stipulation Against Share in Losses: Any stipulation exempting a partner from
sharing in the losses is void. All partners must share both the profits and the losses of the
partnership.
Article 1800
Distribution of Profits and Losses: If there is no agreement on the distribution of profits and
losses, they shall be distributed in proportion to the partners’ contributions. If only the share of
profits is agreed upon, losses shall be shared in the same proportion.

Article 1801
Property Contributed to Partnership: The property that a partner contributes to the partnership
becomes the property of the partnership unless otherwise stipulated.

Article 1802
Reimbursement for Partnership Expenses: A partner who has advanced more than their share of
the capital or incurred expenses in the interest of the partnership shall be reimbursed.

Article 1803
Liability for Obligations: Partners are liable pro-rata with all their property for the partnership's
obligations, unless otherwise stipulated by law or by the partnership agreement.
Article 1804
Partnership Debt Satisfaction: Partnership creditors have preference over partnership property,
and personal creditors of a partner can only claim the partner’s share in the profits or surplus
after partnership debts are satisfied.

Article 1805
Management Rights of Partners: Every partner has the right to participate in the management of
the partnership, and no partner can be excluded from management without their consent, unless
stipulated in the partnership agreement.

Article 1806
Acts of Partners Binding the Partnership**: Acts of any partner for apparently carrying on in the
usual way the business of the partnership bind the partnership, unless the partner has no
authority and the third party knew about this lack of authority.
Article 1807
Admission of New Partners: No new partner can be admitted into the partnership without the
consent of all existing partners unless otherwise agreed.

Article 1808
Partner’s Share in Profits and Losses: A partner can transfer their share in the profits and losses of
the partnership, but this does not grant the transferee the right to interfere in the management
or administration of the partnership.
Article 1809
Right to Demand Information: Every partner has the right to demand true and full information of
all things affecting the partnership from any partner.
Article 1810
Partners Not Entitled to Remuneration: A partner is not entitled to remuneration for acting in the
partnership business, except as provided in the partnership agreement or if the remuneration is
for extraordinary services.

Article 1811
Mutual Agency: Each partner is an agent of the partnership and of the other partners, and any
act of a partner binds the partnership unless the partner acted without authority and the third
party knew of this lack of authority.

Article 1812
Good Faith and Fair Dealing: Partners must act in good faith and deal fairly with each other in all
matters affecting the partnership.

Article 1813Partnership Liable for Acts of Partners: The partnership is liable for any wrongful act
or omission of a partner acting in the ordinary course of the business of the partnership or with
the authority of their co-partners.

Article 1814
Joint and Several Liability: All partners are jointly and severally liable for everything chargeable to
the partnership, unless otherwise agreed.
