Validity of Proposal

• This agreement is valid for 30 working days from the date of proposal and thereafter subject to our written
confirmation.

Payment Terms & Conditions

Project Payment Stages


Will be discussed when awarding the Project

1. Note: 100% against Stage invoice; all payments shall be made within 7 days of date of invoices.
2. Invoice will be raised after completion of progress, and the Client shall acknowledge the receipt within Seven
(7) calendar days.
3. In the event of nonpayment of an invoice for 8 days, VBS may in its sole discretion, delay, suspend or place
ON-HOLD a Client’s project and related Services until payments on such account shall be brought current to
VBS's satisfaction.
4. No insurances, bonds, indemnification etc. are included in the offer until details are provided and confirmed in
written from representative of Virtual Building Studio.
5. Client responsibilities: To ensure timely access to requested documentation and information, be responsive to
review our work and provide review feedback within timelines agreed upon.
6. VBS will raise new service Level Agreement in case of revised or additional services required
7. VBS will complete the task in scheduled time line for the scope mentioned in requirement Description.
8. All taxes are excluded.
9. All fees are in USD.
10. All transaction charges for the fund transfers to be borne by the client.
11. We are able to adjust TAT as per Client's requirement

Confidentiality & Non-compete

1. To protect the business interests of both parties, both parties hereto agree as under:
2. The parties will not, from date hereof till a period of 12 (Twelve) months after the completion of this
agreement, either directly or indirectly, call upon, solicit, divert or take away or attempt to solicit, divert or
take away, any employees of the other party.

General terms

1. Both parties shall be entitled to terminate this agreement by giving 30 days written notice. During the project,
if the "under performance" or "Quality control" issue/s arises, both parties would try to resolve it. If still issue
persists, both parties would discuss and come a reasonable term with each other.
2. Both parties agree that they have read and understood the agreement/proposal and have agreed to abide by
it.

Confidentiality and intellectual property rights

1. VBS and the Client shall keep confidential all information pertaining to the services.
2. copyright for all models, presentation reports, documents and the like produced by VBS in the performance of
the services shall remain vested with the VBS but VBS shall grant an irrevocable royalty free license to the
Client to use such reports, models, documents and the like for any purpose in connection with the project.
3. VBS can show project images as depiction of our services for our case study purpose only after written
approval from the Client.

Termination

• If a party is in breach of a material term of this Agreement and despite written notice from the other party
fails to remedy such breach within 30 days or such other period as may be agreed between the parties, then
the other party shall be entitled to terminate this Agreement forthwith.

Dispute Resolution

• Any dispute between the parties that cannot be settled by mutual agreement shall be referred for final
settlement to the arbitration of a person agreed between the parties or failing such agreement appointed
upon the application of either party through the High Court and the said arbitration shall be carried out in
accordance with the Indian Arbitration Act 1940 revised in 1996 or such other version current at the time of
the referral under this clause.

Compliance with laws

• This Agreement shall be governed by and construed in accordance with the Indian Law unless stated
otherwise in the proposal for services from the Consultant.
