Accommodation and meals must be provided by the customer.
The days indicated for each task to be carried out include the travel hours of the technical staff to the plant,
that mean, 5 days for installation of inspection includes 2 days of travel (round trip) + 3 days of effective work

In case that the customer facility is near of the city only should be considered the car or bus travel hours.

Note 2: We are considering our decanter according to the technical specification on this proposal, that
means, AL has considered PLC, control panel protection and motor according to our standard

Note 3: In the case that the customer has a dry solid feed concentration of the 20%, the project will need an
additional machine model P2-805.

Note 4: The item 4 of the price table is estimative, therefore, we need to confirm this after that we receive the
VDDR from Fluor.

Note 5: Quality test like CAT and FAT are not consider in the price and we need to discuss this scope with
Fluor once we have the commercial meeting.
DELIVERY TIME

The delivery time is currently 7-8 working weeks after effective order date. The machines are in stock and AL
must make the control panel in Denmark. (Effective Order Date: date on which full clarification on technical
details and commercial terms
are in place).

Delivery time may vary depending on factory loading at time of order and will be subject to confirmation at
time of receipt of your official and complete written order.

SITE SUPERVISION, COMMISSIONING, OPERATION by ALFA LAVAL ENGINEER


For site attendance by our qualified engineers, we would charge the following rates per engineer.

4. DISCUSSION OF P2-805 DECANTER CENTRIFUGE

Alfa Laval has over 70 years of experience with decanter centrifuge technology. This includes large capacity
separation and dewatering of inorganic slurries, including tailings.

The P2-805 decanter centrifuge has been developed specially for challenging inorganic slurries. It features a
slender cylindrical/conical bowl with a relatively large length to diameter ratio. A screw conveyor fitted inside
the bowl continuously removes separated solids also known as “cake”.

How it works

Process slurry is fed into the cylindrical section, where it forms a layer - the pond - around the wall.
The thickness of this layer is established by a series of mechanical discharge levels at the end of the
cylindrical section, and through which the clarified liquid is decanted by centrifugal force. The P2 range
of decanter centrifuges feature long body and deep ponds for longer residence times and thereby
improved separation compared to old style shorter machines.

Solids, being heavier, are collected at the bowl wall, from where they are continuously removed by the
screw conveyor and transported “up” the conical section, referred to as the” beach”, and out through
the solids discharge ports at the conical end. The separation result – solids recovery, solids dryness
and liquid clarity – can be optimized during operation.

Parameters that influence the result and which are easily regulated are:
Feed rate, controlled by adjusting the feed slurry pump.
RPM and consequently G-force. The decanter centrifuge is supplied with
a VFD control panel allowing the operator to select the optimum bowl
speed for the process during operation.
Relative conveyor/bowl speed, i.e. the differential conveyor speed. This
parameter controls the volume and the dryness of solids that is being
discharged.
Pond depth can be manually adjusted by changing the power tubes
radius.
Flocculent and coagulant dose and dilution (if needed). The floc pump
flowrate can be controlled via PLUS control system.

Some details of the decanter have been improved from the previous Alfa Laval decanters using similar
design. The most important are listed below:
A: 360° Solids Discharge and Advanced Wear Protection
In our 360° solids discharge, number of spokes protrude from the small end hub comprising structural
elements connecting it to the conical section. The spokes are protected against wear by use of
"saddles" made in tungsten carbide, and the edge of the bowl is protected by use of a wear liner which
also comprises the overflow rim (solids discharge radius) in the entire tangential direction. The 360o
solids discharge is best for inorganic cake (as opposed to cylindrical bushings) as there are no
restrictions against scrolling the cake out of the bowl once it has been conveyed to the overflow rim.

B: Esbjerg Feed Zone and Advanced Wear Protection


The Esbjerg inlet system consists of Yin–Yang shaped profiles. Feed is accelerated over the surface of
the profiles and ejected through the inlet gap, into the bowl. This gives an effective acceleration of the
feed, but it is still gentle enough to minimize shear forces breaking particles, which would lead to a more
difficult separation in the decanter. As an added benefit the Esbjerg inlet on the P2 includes Alfa Laval’s
patented replaceable tungsten carbide inserts which makes replacement of the wear protection an easy
task.
C: Bowl Wall Wear Protection

Stainless steel or stellite strips on the bowl wall assist with trapping a layer of the solids on the bowl
wall. These solids protect the bowl wall from erosion. The strips also assist with efficient conveying of
solids.

D: Conveyor Flight Wear Protection

Many different levels of conveyor flight protection are used in various decanter centrifuge
designs. These range from bare metal to flame sprayed tungsten carbide, up to the high wear
protection of tungsten carbide tiles. Each is suitable in different applications, depending on the
erosion potential.

Other Materials of Construction
The decanter centrifuge bowl, cover, scroll and frame parts that are in contact with the feed are all made
from or clad in corrosion resistant AISI 316 stainless steel or Duplex.

The Alfa Laval PLUS decanter control system is an integral component of every Alfa Laval decanter
centrifuge. With an intuitive approach to usability, it provides users with quick, easy access and control
of decanter centrifuge operating parameters via the HMI.
Here are some of the features that characterize the P2-805 decanters and the dedicated Alfa Laval
PLUS decanter control system.
Fully automated, continuous operation with minimal operator attention required
after commissioning.
An intuitive user interface via a large touch screen.
Reliable controls with support and commissioning available from Alfa Laval’s
facilities.
Facility for communicating to the customer’s DCS/SCADA system for remote
monitoring and interaction.
Power-loss-ride-through function utilizes the existing energy of the unpowered
rotating centrifuge. This conveys solids out from the bowl in the event of power
blackout so it can be restarted easily when power is reconnected.
Robust gear box capable of handling the highest solids contents.
Automated flushing sequences as part of the shutdown program. This removes
the requirement for human intervention from the flushing sequence and enables
start up again without vibrations.
Connected sensors to raise an alarm or safely shut down the machine in case of
high vibration, high bearing temperature, high torque or open cover.

Alfa Laval PLUS Decanter Control System

The standard P2-805 decanter centrifuge is supplied with PLUS I/O module mounted in the decanter
frame while Core Controller and other Optional Control Modules are mounted in the Control Panel. If
the ambient temperature around the decanter frame is above 50oC, the PLUS I/O module can be
remotely mounted away from the decanter or mounted in the Control Panel together with Core
Controller.

5. COMMERCIAL TERMS & CONDITIONS
Alfa Laval standard terms and conditions are Orgalime S2012 supplemented as follows:

Lead time and delivery charges

The price quoted is at MINERA SPENCE facility.

Order Cancellation

MODEL CLAUSE ON TERMINATION FOR CONVENIENCE

The Purchaser is entitled at any time to cancel any Order fully or in part (termination for convenience).
In case an Order is terminated for convenience more than 4 weeks prior to the agreed delivery date, the
Supplier shall have no claim against the Purchaser as a result of such termination. In case an Order is
terminated for convenience less than 4weeks prior to the agreed delivery date, the Purchaser shall pay
to the Supplier a compensation corresponding to the duly evidenced amount to be paid by the Supplier
for the Purchase of raw materials and the processing thereof as well as for any claims from sub-
suppliers, whose contracts could not be terminated for convenience. No overheads of any kind shall be
payable as part of the compensation. The Purchaser shall be entitled to take over the partly executed
delivery.

Late Delivery

We limit our liability for late delivery to liquidated damages of no more than 1% per week of the
value of our contract with you to an upper limit of 7,5%. Kindly note that we shall accept imposition
of LD two weeks after the delivery dates mentioned above in our offer.

Payment Terms

Alfa Laval standard payment terms are.

40% within 30 days of receiving our bank guarantee for an equivalent amount for decanters. The
bank guarantee shall remain valid until the equipment is delivered.

60% within 30 days after simple dispatch announcement from Pune, India factory. The bank
guarantee shall remain valid until the equipment is delivered.

Overdue Payment

Payment is due for settlement within 30 days of receipt of invoice. Payments that are not received
in our account by the due date will be subject to interest payments at the rate of 1% of the overdue
amount per month or part of month.
Alfa Laval reserves the ultimate right to suspend activity if payment for this project or other projects
remains unpaid. Where this suspension causes an extension of delivery time, Alfa Laval will not
accept any claim for liquidated damages for late delivery.

Prices

Prices quoted are in Euros. Alfa Laval reserve the right to recalculate prices based on exchange
rate prevailing at time of order.

Limitation of scope

Our obligations to supply products and services are limited to that which is specifically described
as included in writing within this offer. Any item or service that is not expressly described as
included within this quotation is excluded.
Performance Guarantee

Performance liquidated damages are only accepted by Alfa Laval where we have agreed a
performance commitment in writing. Where performance liquidated damages are specified for
multiple parameters within one contract, the summation of all our liabilities for performance must
be subject to an agreed limit. In the absence of a value mentioned elsewhere within this offer, this
shall be deemed to be 5% of the value of our contract with you. For this purpose, Fluor must share
the bank guarantee format with Alfa Laval for its acceptance. Performance must be measured in
accordance with procedures that have been defined and agreed in writing prior to acceptance of
order.

Performance liabilities will only be accepted where there is an agreed procedure for resolution by
arbitration in the event of dispute.
Before liquidated damages are levied, Alfa Laval must be informed of the performance failure in
writing and must have been given a reasonable opportunity to adjust the operation of our
equipment to achieve the required performance standard.
Performance is dependent upon full disclosure of operating conditions notified to us at time of
quotation, and if such conditions have not been disclosed or have changed then any performance
commitments made by Alfa Laval will be void.

Taxes

The prices quoted does not include any customs payments or import duty that are due, and do not
include provision for Value Added Tax.

Storage

The equipment will be delivered in accordance with the agreed delivery schedule. In case that the
customer need to storage equipment in our warehouse it has a cost of 400 USD per decanter and
a crane charge of 800 USD.

Warranty

Alfa Laval undertakes to remedy any defect (either at site or at our works – as specified by Alfa
Laval) resulting from faulty design, materials or workmanship when notified in writing of failure
within 30 days from the date such a failure occurs, for a period of 18 months from delivery or 12
months from commissioning, whichever is the sooner, provided that the goods have only been
used for the use intended and described within this offer, and have been installed, commissioned
and maintained in accordance with Alfa Laval written procedures, and have not been modified.
Consequential Losses

Alfa Laval does not accept contractual liability for consequential losses, loss of production or profit
and any other similar claimed losses. Alfa Laval rejects any financial liability for costs or losses
arising from the non-availability of Alfa Laval supplied equipment.

LIMITATION OF LIABILITY

Notwithstanding anything contained in this document to the contrary or in tort, Alfa Laval shall not
be liable for any special, indirect or consequential damages or losses; or purely financial losses of
any kind such as, but not limited to, loss of profit, loss of revenue, loss of use, loss of production,
costs of capital or costs connected with or arising out of Alfa Laval’s performance of its obligations.

The aggregate liability of Alfa Laval to Fluor for any loss or damage suffered by Fluor and arising
out of Alfa Laval’s or it’s sub suppliers’/sub-contractors’ performance, shall never exceed a
maximum cumulative amount equal to 10 % percent of the agreed price. Alfa Laval shall however
always remain fully liable for damages caused by Alfa Laval’s wilful misconduct, gross negligence
or fraudulent misrepresentation and for death or personal injury caused by Alfa Laval’s negligence.
In case the limitation of liability above in any way or in any circumstance is prohibited or restricted
under applicable law the limitation above shall apply to the extent so permitted.

Bought in Goods

Where bought in equipment by a named manufacturer is included in our offer to you, Alfa Laval
offer the same terms and conditions (including warranty) as are offered to Alfa Laval by the original
equipment manufacturer.

Applicable standards, specifications and deviations

Alfa Laval declare that the equipment offered conforms to statutory requirements applicable within
the EU on the date of this quotation, but do not offer conformance with any other specification or
terms and conditions unless expressly agreed in writing in this offer.

Spares and Bought in Equipment

Our offer for the supply of spares, bought in items and optional items are valid only when
purchased in association with the capital plant order.

Pre-Contract Information

No reliance must be placed on dimensional drawings and other information provided with this
quotation or on any other occasion prior to acceptance of order.
Notification of claims

All claims must be submitted in writing to the address below:

reason for the claim. Claims for damage or loss in transit will be rejected unless Alfa Laval is
notified within 7 days of delivery.

Errors and Omissions

Whilst care is taken to make sure that all relevant technical and price information included in this
offer is correct, we acknowledge that unintended errors may be included. For this reason, this
quotation is subject to confirmation before acceptance of order.

COVID-19 Clause

As of the date of this Agreement, the Parties acknowledge that the potential development, scope
and impact caused by or related to COVID-19 is unpredictable and may affect the performance of
obligations hereunder. In consequence of this, the Parties agree that, should the Supplier’s
performance of works or obligations hereunder be impeded, hindered or made unreasonably
onerous due or related to COVID-19 (and regardless of whether or not this would constitute Force
Majeure or be considered as foreseeable), the Supplier shall be released (without any liability) from
its obligation(s) to perform such works or obligations until the time when such performance is again
reasonably possible and Supplier is able to reassume performance. Without limiting the generality
of the forgoing, such situation may, by example, occur if Supplier’s workforce is affected by
COVID-19, e.g. by way of quarantines, travel restrictions or similar circumstances, or if the Supplier
is reasonably unable to source or deliver required materials or in the event of material cost
increases due or related to COVID-19.
