DEED OF ADHERENCE

relating to

THE PRE-SCHOOL MUSIC PARTNERSHIP LLP

PARTIES

(1) The persons named in Schedule 1 of the LLP Agreement as the Board Members of the LLP (the
"Board Members");

(2) THE PRE-SCHOOL MUSIC PARTNERSHIP LLP, a limited liability partnership incorporated in England
and Wales with registered number OC440823, whose registered office is at Sterling House,
Fulbourne Road, Walthamstow, London, England, E17 4EE (the "LLP"); and

(the "New Member").

BACKGROUND

(A) The Board Members manage the provision of music education, entertainment and administration
services under the terms of the LLP Agreement (as defined below) made between them and the
other existing members of the LLP and dated [DATE]. This deed is supplemental to the LLP
Agreement.

(B) The New Member has agreed to execute this deed under which they shall adhere to and be bound
by the LLP Agreement, which agreement has been summarised by the Board Members in the letter
attached at Schedule 1 to this deed.

IT IS HEREBY AGREED

1. Interpretation

The following definitions and rules of interpretation apply in this deed.

1.1 Definitions:

"Effective Date"; the date of this deed OR [DATE]].

"LLP Agreement"; the limited liability partnership agreement made between the Board Members
and existing members of the LLP, dated 1st February 2023

1.2 Unless the context otherwise requires, words and expressions used in this deed shall have the
meaning given to them in, and shall be interpreted in accordance with, the LLP Agreement.
2. Adherence to the LLP agreement

The New Member confirms that they have been supplied with a copy of the LLP Agreement. The
New Member, the LLP and each of the Board Members, as well as all existing members of the LLP,
undertake with each other to be bound by, observe and perform the LLP Agreement as if the New
Member had been an original party to the LLP Agreement and was named in the LLP Agreement.

3. Drawings

From the Effective Date, the New Member shall be entitled to drawings under clause 11 of the LLP
Agreement.

4. Counterparts

This deed may be executed in any number of counterparts, each of which shall constitute a duplicate
original, but all the counterparts shall together constitute the one agreement.

5. Governing law and jurisdiction

5.1 This deed and any disputes or claims (including non-contractual disputes or claims) arising out of or
in connection with it, its subject matter or formation shall be governed by and construed in
accordance with the law of England and Wales.

5.2 Each party irrevocably agree that the courts of England and Wales shall have exclusive jurisdiction to
settle any dispute or claim (including non-contractual disputes or claims) arising out of or in
connection with this deed or its subject matter or formation.

This document has been executed as a deed and is delivered on the date stated at the beginning of it.
