Assignment of Proceeds

For value received, the undersigned [Exporter's Name], being the beneficiary of Letter of
Credit No. [L/C Number] (the "Letter of Credit") issued by [Issuing Bank's Name] in favor of
[Exporter's Name] for a face amount of $27,000 (Twenty-Seven Thousand United States
Dollars), hereby assigns and transfers to [Assignee's Name] (the "Assignee") all rights, title,
and interest in and to the proceeds of the Letter of Credit.

The Assignee shall be entitled to receive all monies due or to become due under the Letter of
Credit, and the undersigned hereby instructs [Issuing Bank's Name] to make payment of all
such monies directly to the Assignee.

This assignment is made in consideration of [Consideration Amount or Purpose of

Assignment], and the undersigned hereby covenants and agrees to warrant the genuineness of
all documents presented under the Letter of Credit.

The undersigned further agrees to indemnify and hold harmless the Assignee from and

attorneys' fees) arising out of or in connection with any breach of the undersigned's
warranties or representations contained herein or any other failure of the undersigned to
perform its obligations under this Assignment of Proceeds.

This Assignment of Proceeds shall be binding upon and inure to the benefit of the parties
hereto and their respective successors and assigns.
