Dear Mr. Alnyoto,

We, ALKABIR LIMITED, hereby state and represent our Buyer, a state-owned company in Shandong,
with intention to purchase and hereby confirm we are ready, willing and able to purchase the following
commodity as per the terms and conditions stated below (subject to contract):

Commodity: Indonesia Steam Coal

Origin: Kalimantan, Indonesia
Specification: NAR 5500 (ARB) [GAR5800]
*Please see Spec in Appendix A
Quantity: 50,000 MT x 3 shipments/month x 12 months
with rolls & extension
*Please provide available Quantity & Delivery Schedule
*Please also quote price for 70,000MT if there is a price difference
with 50,000MT.
Delivery: CIF ex Ship Load
After signing SPA, Buyer side will arrange onsite inspection at Jetty
Stockpile, then Buyer will issue DLC to Seller and the shipments must
arrive Discharge Port within 21 working days from Seller receipt of
DLC.

Payment Method: By Irrevocable Non-Transferrable Documentary Letter of Credit
(DLC) at Sight.
95% Payment drawdown at Loading Port,
Balance Payment based on final adjustment as per CCIC China
inspection at Discharge Port
Performance Bond: 2%
Wastage: Additional 5% of Quantity shall be loaded per shipment to cover
wastage (this 5% is not chargeable)
Inspection: Inspection by CICC Jakarta or SGS or ANINDYA at Loading Port
Final Inspection by CCIC China at Discharge Port
Shipping Documents: • Seller's commercial invoice, setting out the total quantity of Coal
shipped, the Coal Base Price with adjustment and the calculation.
• Certificate of Origin issued by the Independent Inspection Agency.
• Certificate of Ownership
• “Clean on Board” Charter Party Bills of Lading, made out to order
and blank endorsed, marked “Freight Payable as per Charter party”.
• Master Bill of Lading (after shipment disembarked)
• Authorization License and Authorization to Sale
• Certificate of Analysis issued by the Independent Inspection
Agency.
• Draft Survey Report and Certificate of Weight issued by the
Independent Inspection Agency.
• Certificate of Analysis for Parameters affecting Environment
• Certificate of Origin in Form E should be sent to Notify Party’s
address directly for custom clearance within five (5) working days
of sailing of the vessel.
• Packing List

Other Terms & Conditions are to be mutually agreed prior to signing-off the Sales & Purchase
Agreement. Please provide your company profile, 3 full sets of recent shipment documents for
reference (preferably to China), a draft Sales & Purchase Agreement and delivery schedule for our
review and internal approval purposes as soon as possible. Thank you.
