CONTRACT AGREEMENT

(Referred as Contractor hereinafter)

Project : Construction of Civil Works for Panchkhal Land Development Project

Contract agreement:

This contract is made on 20th May, 2024 between mentioned above parties.
Whereas, the Client desires to employ the services of the construction for underneath.
And whereas the Client has agreed to accept the Contractor subject to and on the terms and
conditions set forth in this contract;
Now therefore in consideration of the mutual covenant, both the parties hereto agree as
follows:

1. SCOPE OF WORK:
The Client hereby engages the Contractor to perform for the construction of the civil works for the
development works of land planning and development works of Baluwabesi Panchkhal Land
Development Project Panchkhal Municipality, Kavre, Nepal. The contract is item based contract.
2. CONTRACT PRICE:
The contract is item based contract. Detailed Rate for the item are attached separately here
with.
3. DURATION:
The Agreement shall commence on May 25, 2024 and shall continue until the completion of
the Services, unless terminated earlier in accordance with the provisions of this Agreement.

4. DELIVERABLE:
The Contractor shall deliver civil Construction works as required and directed by client, client
engineer and site condition. Also the Contractor supply the required Construction Equipment
at request by the contractor.

5. INTELLECTUAL PROPERTY:
Any intellectual property rights arising from the Services, including but not limited to copyrights,
patents, trademarks, or trade secrets, shall remain the property of the Contractor, unless
otherwise agreed upon in writing by both parties.
6. CONFIDENTIALITY:
Both parties agree to treat any confidential information disclosed during the course of this
Agreement with the utmost confidentiality and not to disclose it to any third party without the
written consent of the disclosing party, unless required by law.

7.TERMINATION:
Either party may terminate this Agreement by providing written notice to the other party in
the event of a material breach of any provision of this Agreement. The terminating party shall
specify the nature of the breach, and the other party shall have a reasonable opportunity to
cure the breach within a specified time frame.
8. GOVERNING LAW:
This Agreement shall be governed by and construed in accordance with the laws of , without
regard to its conflict of laws principles.

9.ENTIRE AGREEMENT:
This Agreement constitutes the entire understanding between the parties concerning the
subject matter hereof and supersedes all prior agreements, understandings, and representations,
whether oral or written.

14. PAYMENT SCHEDULE

14.2 PAYMENT OF WORKS :
Payment of civil works is made on the basis of running bill of contractor for every 15 days of detailed
BoQ of completed works and payment shall be made after measurement and verification of works by
site supervisor and engineer of client.
15. VARIATIONS:
The agreement should include provisions for handling variations or changes to the scope of
work. It may specify the process for submitting, evaluating, and pricing variations, as well as the
impact on the contract sum and completion time.

15 UNPUBLISHED INFORMATION
The employee will not communicate to any person, government, or other entity external to
employer and/or client any unpublished information made known to the employer by reason of
performing his duties under the terms of this contract, except as required by the assignment or
upon authorization by employer and client. This provision will survive the expiration or
termination of the contract.
