Agreement
This agreement (the “Agreement”) is made and entered into this November 25, 2022 by and
between Michael Sefa (“Artist”) and Railbed Productions, LLC. The Artist will provide the
services described below for use in connection with the Project (collectively referred to
hereinafter as the “Materials”) for use in any manner (including, but not limited to, advertising,
promotion, merchandising, licensing, etc.), in any and all media (whether existing or devised in
the future), throughout the universe and in perpetuity.

1. Contributed Works: Artist is providing “work for hire” services to the following
"Contributed Works" to the Project (as defined below). All Images, Audio, Video, Text
gathered for the project, including outtakes.

2. Project: The "Project" is the Audiovisual work entitled “Untold Story (w/t)” films and
related products.

3. Artist will:
a. Shoot one interview and b roll under the direction of Samia Khan-Bambrah
on November 28. 2022
b. Download footage to the drives provided by RB
c. Hold November 29, 2022 as a possible shoot day with determination made
on Nov 28

4. Consideration: In Consideration for the rights granted herein, Railbed Productions

agrees to pay Artist $700 per day, including camera and light kit. All expenses must
be approved in order to be reimbursed.

5. Ownership of the Project / Copyrights: The contributed works will be considered

“work for hire”. Railbed Productions shall own any and all intellectual property rights
(whether patents, copyrights, trademarks or otherwise) for the Project. Railbed
Productions can use the contributed works in any manner in perpetuity.

6. Territory and Term: The Territory of this Agreement is worldwide. The Term of this
Agreement is in perpetuity.
 7. Entire Agreement: This Agreement constitutes the entire agreement between Railbed
Productions and Artist and it supersedes all other agreements between them regarding
distribution of this project, whether oral or written, express or implied, and may not be
modified except in writing signed by Railbed Productions and Artist.

8. Relationship of the Parties: As Artist’s relationship with Railbed Productions during

the Term of this Agreement will be that of an independent contractor, Artist will not have,
and will not represent that Artist has, any power or authority to bind Railbed Productions
or to create any obligation on behalf of Railbed Productions. Nothing stated in this
Agreement will be construed as making joint venturers or partners of Railbed
Productions and Artist, nor as creating the relationship of employer/employee or
principal/agent between Railbed Productions and Artist.

9. Standard Definitions: Any terms or concepts not defined in this Agreement shall be
subject to standard industry definitions.

10. Governing Law: This Agreement shall be governed by the laws of the State of New
York without respect to its conflict of law principles.

11. Insurance: Artist is required to have insurance to cover themselves and their own gear.
If they do not they do so at their own risk. Railbed Productions is not liable for any issues
that arise during coverage.
