Terms & Conditions

1. Note: The one-time charges for onboarding, development, and integration specified in this invoice will be applicable throughout the
duration of the subscribed service. These charges are incurred once a year and may be applied during renewals along with an increase in
subscription fees, as discussed with your sales agent.
2. Delivery of software: As your software is a cloud-based solution, the software will be delivered online via the internet.
3. Upon confirmation of the subscription, a detailed implementation roadmap will be provided to the
customer outlining the steps for setting up and using the software.
4. Warranty & Maintenance: Any issues arising due to errors or bugs in the software will be addressed and
resolved by our support team free of charge.
5. Customizations and Updates: We provide regular deployments of new features to our customers based
on the prioritisation of customer requests.
6. License terms: The licensing for our software is done on a per-warehouse basis, allowing for unlimited
users in each warehouse. The customer is required to pay a subscription fee for each warehouse they wish to use the software for.
7. Intellectual property: The software and its source code are the property of M/s. Moraabh Ventures Private Limited, and any unauthorized
access, use, or copying of the software or its source code is strictly
prohibited and may result in legal consequences.
8. Confidentiality: We understand the importance of data confidentiality and privacy. Therefore, we sign a

non-disclosure agreement with our customers to ensure that any data they share with us remains
confidential and is not disclosed to any third party without the customer's prior consent.
9. Termination: In the event of non-payment of subscription fees for more than 30 days, we reserve the right to terminate the subscription.
Any outstanding payments will be required to be made in full prior to any reactivation of the subscription.
10. Governing law and jurisdiction: All disputes arising out of or in connection with this agreement shall be
governed by and construed in accordance with the laws of India and subject to the jurisdiction of the courts
of Bangalore, Karnataka. Any legal action or proceeding arising out of or in connection with this agreement
shall be brought exclusively in the courts of Bangalore, Karnataka.
11. Payment Terms: All prices quoted above are inclusive of tax. Payment to be made 100% advanced
