Contractor Agreement

This agreement is made on the 17 day of May 2022

BETWEEN

(1) XYZ Impact Investments Limited is registered in Hong Kong ("XYZ"); and

(2) LOW QI HONG, holder of Malaysian Passport No. A55848649 ("Contractor").

The parties hereby agree the following terms and conditions:

I. Position and Duties

1. The Contractor will be engaged as Legal Officer with MUNG under the Hong Kong Law Society
regulations and work remotely based out of Malaysia.

2. The duties of the Contractor will include the duties at MUNG in legal research, drafting, secretarial
duties and ad hoc projects such as organizing seminars and conferences and any other duties that
may be assigned to the Contractor by his/her superior from time to time.

II. Commencement Date

The Contractor will be engaged with an initial term of service from 17 May 2022 to 31 August
2022 ("Term").

III. Responsibilities

1. Contractor will work Mondays to Fridays from 9:00 am to 6:30 pm and it is expected that
weekends and overtime work is required where overtime hours will not be additionally
compensated for.

2. The Contractor shall act at all times in accordance with the lawful and reasonable instructions of
XYZ.

3. Within the effective period of this Agreement, the Contractor shall devote as a full time Contractor
his/ her time and attention and abilities to the job unless it is prevented by his/ her own illness, and
the Contractor shall also faithfully serve XYZ and do all acts or things within his/ her power to help
develop and promote the Contractor's business.
IV. Compensation

The XYZ shall pay the Contractor a compensation of S$3500.00 per month, payable in
arrears on the last day of each month or any specific date. Such payment will be effected
via direct banking to the Contractor’s designated bank account.

V. Sick Leave

The Contractor shall inform the XYZ shortly by phone of any absence and shall provide medical
certificate to prove the necessity of absences to the XYZ for sick leave of more than 2 days
consecutively. Contractor will not be entitled to paid sick leave.

VI. Unauthorized Absences

Contractor will not be compensated for any days of absences without the prior permission of the
XYZ.

VII. Confidentiality

1. The Contractor shall not pursuant to this agreement or at any time thereafter ( otherwise than in
the proper performance of any duties hereunder ) without the consent in writing of XYZ being
first obtained him/ herself use for his/ her own account or divulge to any person , firm or
Company ( and shall all the times use his/ her best endeavors to prevent the publication or
disclosure of ) any information concerning the business, products, know-how, technology,
accounts, finances, clients or customers of XYZ and upon termination of this agreement the
Contractor shall forthwith surrender and return to XYZ all original and copy documents,
materials or other items relating to any matters aforesaid.

2. The Contractor shall not pursuant to this Agreement or with twelve months thereafter directly
or indirectly induce, entice or solicit or attempt to induce, entice or solicit :

a) any officer employee or associate of XYZ with whom the Contractor has had the personal
dealings during the course of his/ her Term to leave such employment; or

b) the business (in competition with the XYZ) of any person, form or company that has at any
time during the Term been a client or customer of XYZ.

VIII. Termination of Agreement

1. This Agreement may be terminated by either party with one week’s prior written notice.

2. Notwithstanding anything herein before contained, XYZ may at any time terminate this
Agreement without notice or payment in lieu.

a) if the Contractor, in relation to his/her services hereunder

i. willfully disobeys lawful and reasonable instructions from XYZ

ii. misconducts himself/herself such conduct being inconsistent with due and
faithful discharge of his/her duties
iii. is guilty or fraud or dishonesty; or
iv. is habitually neglectful in his/her duties; or
 b) on any other ground on which XYZ would be entitled to terminate this Agreement without
notice at common law.

IX. Applicable Law

This agreement shall be construed and governed by the laws of Hong Kong.
