Ammonium Nitrate Nominal Capacity);
✓ Ancillary Facilities to support the process
units based on the total consumption
figures of utility
as well as all other required facilities, as
described in Annex I and II (Plant Description
and Battery Limits, respectively) and any
required process license and know how (herein
after referred to as “AN-NA Plant" or the
“Plant”, as better defined in the Definitions);
Whereas, Contractor had represented itself to
Owner as possessing the required license,
technical and financial capacity, necessary
know-how and previous experience with similar
plants as well as qualified and experienced
personnel;
Whereas, Contractor has responded to the ITB
with the desire to provide licenses, Design,
engineering (basic as well as detailed
engineering), construction (including civil
works), erection (including electro-mechanical),
Pre-commissioning, Commissioning, start-up
works (including Technical Services), training as
well as Technical Assistance after PAC and until
FA and all other services and Works necessary
for the Plant's proper and efficient operation as
further detailed herein to;
Whereas the parties have entered on 3
November 2022 into a Settlement Agreement
upon approval by the Egyptian Cabinet of
Ministers relating to the dispute arising in
connection with the KIMA Contract to execute
the KIMA Plant for the production of Urea and
Ammonia.
The Parties hereto, in consideration of their
mutual promises, therefore, have agreed on the

“Quality Assurance System” has the meaning
set out in Article 4.1.19.
“Rely Upon Information” has the meaning set
out in Article 4.1.7.
"Remedial Work" means all work required to
re-design, repair, rectify or replace a Defect
and any damage arising from them, as
applicable.
"Representative(s)" means the Owner’s
Representative and the Contractor’s
Representative, being the physical person(s)
appointed from time to time by Contractor or
Owner under Article 4 to act as such under
Contract.
"Schedule" see Execution Program.
“Schedule Tax” means the Value Added Tax
applicable to the Contract Price according to
Schedule First annexed to the VAT Law no.
67/2016, which provides for “contracting
works, building and construction works (supply
and installation)”.
"Scope of Works" means the scope of the work
to be performed by Contractor according to
Article 3.2 and Annex (X) of the Contract.
"Semi-Commercial Operation" means the
period of time between the date of
Commissioning Certificate and the start of Plant
Performance Test.
"Site" means the land in Aswan provided by
Owner for the execution of the Works as per
ANNEX (II) BATTERY LIMITS, where the Works
are to be executed and where Plant and
Materials are to be delivered;

1.2. Interpretation
1.2.1. The Contract shall be read as a whole
for the purpose of interpretation
thereof. In case of any conflict in the
interpretation of the various
documents, the priority order in
Contract shall prevail.
1.2.2. Should the same word appear in several
parts of Contract and should there be
any ambiguity in the interpretation
thereof, the word or words shall be
construed in accordance with the
context of the sentence in which the
word or words appear.
1.2.3. The headings and titles in these
Conditions shall not be deemed part
thereof or be taken into consideration
in the construing or interpretation of
Contract.
1.2.4. In Contract, except where the context
requires otherwise:
a) words indicating persons or parties
include individuals, corporations
and other legal entities;
b) words indicating one gender include
all genders;
c) words indicating the singular also
include the plural and words
indicating the plural also include the
singular;
d) provisions including the word
"agree", "agreed" or "Contract"
require Contract to be recorded in
writing, and
e) "written" or "in writing" means
hand-written, type-written, printed
or electronically made including

5.1.5 The invoices will be issued by TCM,
Orascom and TCM Egypt. However,

5.1.6 Except as provided above or
specified in the Contract, the

In any case, Contractor shall be deemed to have
satisfied itself as to the correctness and
sufficiency of the Firm Price. Unless
otherwise specifically stated in the
Contract, the Firm Price will cover all
Contractor's obligations under the
Contract and all things necessary for the
proper Design, execution and
completion of the Works and the
remedy of any Defects.

7.2.5. Contractor shall prepare for
Owner's approval a Commissioning
Certificate (herein after "CC")

Semi-Commercial Operation has
commenced. Owner may accept
the CC without or with written
reservations and may reject it if
Owner has reasonable cause to
believe that the Plant is not ready
for Semi-Commercial Operation.
7.3. Semi-Commercial Operation
7.3.1 The period of Semi-Commercial
Operation must include at least
Eight (8) consecutive Days
operation before the start of Plant
Performance Test. For a period of
five (5) consecutive Days (a day
shall be defined as any period of
twenty-four (24) consecutive
hours) during the Semi-Commercial
Operation the total output of the
Plant should equal or exceed 85%
of final products with guaranteed
specifications. The final two (2)
Days of the eight (8) Days periods
of Semi-Commercial Operation
shall be used as a Start Up to show
that the Plant is fit for the
Performance Test during which the
Plant shall operate continuously on

7.3.2 In the event that the final two (2)
Days operation (Start Up) has to be
started more than two times due to
reasons attributable to Contractor,
the Owner shall have the right to
require a further five (5) Days of

10. Liquidated Damages

10.1.2. If the Owner requires payment or
a deduction in respect of Delay

been served, the Owner shall not

11.2 Performance Bond
11.2.1 Contractor shall, as a condition to
the Start Date, provide to Owner
the duly executed Performance
Bond in form of on demand bank
guarantee equivalent to 10% (ten
percent) of the Foreign Portion,
Convertible Portion and Local
Portion of the Firm Price. If, in
accordance with the Contract, the
Contract Price is increased by more
than ten (10%), then, as a condition
to any further payment by Owner
under the Contract, the Contractor
shall deliver to Owner the duly
amended or replacement
Performance Bond covering the
Contract Price as so increased.
11.2.2 The Performance Bond shall be
held by Owner as pecuniary
guarantee for the due execution

Contract and the recovery of any

for which Contractor may become
liable to Owner under the Contract.
The cost for issuing the
Performance Bond submitted by
Contractor to Owner shall be borne

12.2. Contractor shall notify Owner at least

potential inspection or testing expected to
take place regardless of whether it is
undertaken by Contractor or any of its
Sub-Contractors, Vendors, or any other

Representatives shall be present at such
tests. In case of delays or repeated tests(s)
Contractor is allowed to inform Owner the
time of test(s) on shorthand notice not
less than seven (7) Working Days.
Notwithstanding the appointment of a
duly authorized Owner’s Representative
to witness the activities referred to,
Contractor shall be liable for the proper,
adequate and sufficient conduct of these
functions.
12.3. All equipment, machinery and work
performed in connection with this
Contract shall be available for
independent inspection by Owner or
Owner’s Representative. Contractor, its
Sub- Contractors, and Vendors shall
provide safe access for the inspection
envisaged herein to. Contractor shall
ensure that, during the normal business
hours, Owner and/or Owner’s
Representative shall be afforded full and
free access to the shops, factories, Site or
places of business of Contractor, Sub-
Contractors and Vendors or any others for
such inspection to determine the
condition and progress of work under the

For avoidance of doubt, the

suppliers to Contractor in relation
to Supplies and services.
15.1.4. Should either party be required at
any time to pay any amounts to
either the Egyptian or Italian tax
authorities which would result in
double taxation in contravention of

management of both Parties have

Majeure situation.
18.3 Duty to Mitigate and Consult
The Party Affected by Force Majeure shall use
reasonable efforts to continue to perform its
obligations under the Contract which are not
affected by the Force Majeure event (if
applicable), and to mitigate the effects of the
Force Majeure Event, including the payment of
reasonable sums based on the likely efficacy of
such mitigating measures. The Parties shall
consult with each other to develop and
implement a plan of remedial and
reasonable alternative measures to remove
the Force Majeure and to determine the
reasonable measures to be implemented to
minimize the losses of each Party resulting from
Force Majeure. In the event the Affected Party
by Force Majeure fails to use reasonable efforts
to mitigate the effects of the Force Majeure
Event including failing to notify the other Party
and/or provide such evidence as required, the
Affected Party shall be obliged to bear the other
Party's reasonably incurred extra costs.
18.4 Force Majeure Effect
18.5.1 Any delay or non-performance

is to be resolved, then either Party
may give the other a written notice
of termination of the Contract, and

terminated without the need for
