DEED OF ASSIGNMENT AND TRANSFER OF RIGHTS

KNOW ALL MEN BY THIS PRESENTS:

This deed, made and entered into this ___ day of __________, 20__ at the City of Cavite,
by and between:

_________, Filipino Citizen, of legal age, widowed, with residence and postal
address ___________ hereinafter referred to as the "ASSIGNOR."

-and-

___________, Filipino Citizen, of legal age, single, with residence and postal
address at ________________, hereinafter referred to as the "ASSIGNEE."

WITNESSETH that -

WHEREAS the ASSIGNOR is the current stall holder in Bacoor Market with location
address _______, in the Grocery Section of Bacoor Public Market Zapote IV, Bacoor City,
Cavite;

WHEREAS, the ASSIGNOR has offered to assign all her rights, title and interest over the
above stall in the market, as referred in this contract and the ASSIGNEE hereby accepts the
assignment in accordance with the terms herein set forth as follows:

1. The ASSIGNEE will be primarily responsible to ensure renewal of the permit

and shoulder all the necessary payments in relation thereto such as
Goodwill/Rights Payment and will comply with all the rules governing the use of
the stall;

2. The ASSIGNEE will not hold the ASSIGNOR liable for the revocation of the
license on any grounds that may arise after execution of this contract and cannot
demand the return of the payment made to the ASSIGNOR, provided that that
ASSIGNOR has ensured that all necessary payment or dues of the stall has been
duly paid before turn-over to the ASSIGNEE;

3. The ASSIGNOR should provide the ASSIGNEE a copy of the documents

showing that the stall has no dues and is cleared of financial liability.

NOW, THEREFORE, for and in consideration of the foregoing premises and the sum
of TWO HUNDRED THOUSAND TWENTY THOUSAND PESOS (220,000.00),
PHILIPPINE CURRENCY, which the ASSIGNOR hereby acknowledged to have received
from the ASSIGNEE, the ASSIGNOR hereby assigns, transfers and conveys unto the
ASSIGNEE, all her rights, title and interest to the aforementioned stall and the ASSIGNEE by
these presents hereby accepts the assignment and agrees to be bound by the terms and conditions
of this contract and the rules and regulations, and restrictions pertaining to the use of the stall.
 IN WITNESS WHEREOF, the parties have hereunto set their hands on the date and
place first above written.
