InCorp Indonesia - General Business Proposal
InCorp Indonesia (formerly Cekindo) is an Indonesian-based consulting firm specializing in business expansion
services. These services include but are not limited to company registration, product registration & licensing, business
process outsourcing, HR services, and compliance & secretarial services.

SCOPE OF WORK / SUMMARY OF REQUIREMENTS
SCOPE OF SERVICES / FEES
The scope of Services shall include the following:
1. INCORPORATION
1.1 Foreign-Owned Company Registration (PMA)
The only form of company allowed for foreign investment is Limited Liability Company – Foreign Direct Investment (in
Indonesia called PT PMA).

● Indemnity Agreement
For additional, InCorp Indonesia (formerly Cekindo) could also arrange a Professional Service Agreement including
its Indemnity Letter (if needed) both for Director and Commissioner position with additional cost of USD 500.
2. LICENSES
2.1 VAT PAYER CERTIFICATE
InCorp Indonesia assists our client in registering the company as VAT payer company (PKP) to the tax office. PKP is
mandatory for companies which have turnover above IDR 4,800,000,000; however, the company could apply as PKP
if required, although the turnover has not reached the minimum amount yet.
2.2 TRADEMARK
InCorp Indonesia assists our client in protecting their company and product logo and brand by registering a
trademark, valid for 10 years.
3. EXPATRIATE SERVICES
3.1 BASIC REQUIREMENTS
InCorp Indonesia assists our client in arranging the overall process in obtaining a work and stay permit (KITAS) in
Indonesia.

Additional fees for clients from People’s Republic of China 100/ person

InCorp Indonesia assists our clients in managing KITAS ex WNI for foreigner who had an Indonesian passport
before.
InCorp Indonesia assists our clients in managing KITAS for expatriates who already have a social or business visa
in Indonesia.

in Indonesia.
4. HR SERVICES
4.1 PAYROLL PROCESSING AND OUTSOURCING
InCorp Indonesia provides payroll processing and outsourcing for client’s employees before and after establishment
of a legal entity in Indonesia.
The package of payroll processing as follows:

4.2 RECRUITMENT
InCorp Indonesia assists our client in recruitment / head hunting of employees in Indonesia or hiring Indonesian
employees for our client’s office overseas. We assist our clients to source the most suitable candidate for their
employee, from the staff level, supervisor level, managerial level and the director level. Each of position have a
different timeline, you can see the detail below:
If the clients have a specific requirement, we need more time to look for the best candidate. We also can provide the
offering letter to clients when the clients already decide who will be their employee. It takes 1 – 2 days of working day

6. TERMS OF PAYMENT
• Formal service agreements are to be executed between In.Corp and the Company post the acceptance of this
proposal letter by way of email.
• Additional fees will be charged for services rendered in connection with matters outside the scope of services
outlined above and for services rendered where time costs exceed the fees quoted above.
• Our fees are based on current regulations and market practices. Should there be changes which impact our
scope of services or effort involved, we will be pleased to discuss them with you to arrive at a mutually agreeable
solution.
TERMINATION
• Either Party may terminate the above-mentioned services with one (1) month’s prior written notice thereof. In
the event that this engagement is terminated, we shall still be entitled to our fee and out-of- pocket expenses
accrued up to the date of the end of service.
MISC TERMS
• Our professional name who is appointed as the Company Secretary of the Company shall be indemnified by the
Company against any actions, proceedings, costs, charges, losses, damages and expenses incurred by him/her
as Secretary of the Company. He/She shall cease to be Company Secretary of the Company upon termination
by the Board of Directors or upon his/her giving written notice of resignation to the Company at its registered
office.
• We are to be advised as soon as there is a need to file any of the returns required under the Companies
Act and Regulations relating to the matters which are not within our knowledge.
• All out of pocket expenses reasonably incurred by us on your behalf will be borne by your Company, where prior
consent will be obtained from you. The fees and expenses do not include Goods and Services Tax (“GST”). The
GST (if applicable) will be included in our invoices as a separate item.
GOVERNING LAW
• This Letter shall be governed by and construed in accordance with the laws of Indonesia and the parties hereto
shall opt for arbitration in accordance with the provisions of Arbitration in Indonesia Law No. 30 of 1999 to the
Badan Arbitrase Nasional Indonesia/BANI (Indonesian National Board of Arbitration) over any disputes, which
may arise out of or in accordance with it.
