MEMORANDUM OF UNDERSTANDING

This Memorandum of Understanding (“MOU”) is made and entered into as of _________, by

RECITALS

WHEREAS, the Owner is the legal owner of the land located at Govardanagiri Village,
Raghunathapally Mandal, Jangaon district, Telangana State,legally described as absolute
Sy.no.232 A-c 8-16 Gts, Survey No. 233- Ac 5-34 Gts. &Sy no. 234 / A A-c 00-22 Gts Totally
admeasuring Ac 14.32 Gts., Situated at Govardanagiri Village, Raghunathapally Mandal,
Jangaon district, Telangana State, having purchased the same under a registered Sale Deed
Vide Document No. 4050 of 2016 Dtd: 31-03-2016 (the “Property”); and

WHEREAS, the Owner desires to grant the Facilitator exclusive authority to sell the
Property; and

WHEREAS, the Facilitator is willing to accept such authority and to perform the necessary
services to facilitate the sale of the Property.

NOW, THEREFORE, in consideration of the mutual promises and covenants contained


herein, the parties hereto agree as follows:

1. Exclusive Authority:
 The Owner hereby grants the Facilitator the exclusive right and authority to sell
the Property for a period of 3 months commencing on [Start Date] and ending on
[End Date], unless extended by mutual written agreement of the parties (the
“Term”).

 During the Term, the Owner shall not engage any other Facilitator, broker, or third
party to sell the Property.

2. Duties of the Facilitator:


 The Facilitator shall use their best efforts to market and sell the Property.
 The Facilitator shall prepare all necessary marketing materials, list the Property on
appropriate platforms, conduct viewings, and negotiate terms of sale.

 The Facilitator shall keep the Owner informed of all significant developments
regarding the sale process.

3. Commission
 In the event of a successful sale of the Property during the Term, the Owner agrees
to pay the Facilitator a commission of 6% of the gross sale price of the Property.

 The commission shall be payable at the closing of the sale.

 In the event of the Owner directly approaching/negotiating with a potential client


during the course of this exclusive MOU, the Owner has to pay the Facilitator a
commission of 2% of the gross sale price of the Property.

4. Owner’s Obligations
 The Owner shall provide the Facilitator with all necessary information and
documentation concerning the Property.

 The Owner shall allow the Facilitator reasonable access to the Property for
marketing and showing purposes.

5. Termination
 This MOU may be terminated by either party prior to the end of the Term by
giving 30 days written notice to the other party.

 In the event of termination, the Owner shall reimburse the Facilitator for any out-
of-pocket expenses incurred by the Facilitator up to the date of termination.
6. Governing Law
 This MOU shall be governed by and construed in accordance with the laws of
India.

 The Courts at Hyderabad shall have the exclusive jurisdiction.

7. Entire Agreement
 This MOU constitutes the entire agreement between the parties and supersedes all
prior understandings, agreements, or representations, whether oral or written,
regarding the subject matter herein.

8. Amendments
 This MOU may only be amended by a written agreement signed by both parties.

9. Post Dated Cheques


 The Owner shall hand over a postdated cheque amounting to Rs______________
as a security deposit with the Facilitator for the duration of this Agreement.

IN WITNESS WHEREOF, the parties hereto have executed this Memorandum of


Understanding as of the day and year first above written.
