Re: Associate General Counsel

Job Requisition ID: 110582

Dear Office of the Vice President & General Counsel,

The Associate General Counsel position was recommended to me by my colleague and John
Hopkins staff member, [Name Redacted], who suggested that I might be a good fit for this role. The
vacancy listing provides a position description that very closely mirrors my current professional role. I
am a Maryland licensed attorney, currently serving as the Legal and Compliance Lead Counsel for an
administrator of ERISA healthcare plans and retirement funds. I am the company’s sole in-house
counsel overseeing all legal and compliance matters. This is an Executive-level position. I also serve as
the company’s Chief Compliance Officer and Privacy Officer, and compliance liaison for our parent
company. My role requires extensive knowledge of the federal and state healthcare regulations
impacting the medical industry, as well as the employment and labor law industry and DOL regulations.
The Associate General Counsel position specifies three duties which align with my current role:

1. “Advise the university on legal issues related to a wide range of compliance matters.”

Similarly, I perform the following:

• Advise on regulatory and corporate compliance matters and develop compliance strategies for
operational compliance.
• Continuously monitor state and federal regulations, advise C-suite executives and business units
of necessary steps to implement new laws into business operations.
• Assess the impact of forthcoming regulations on operational activities; resolve compliance
challenges.
• Draft regulatory and compliance summaries and notices, create compliance action-logs, track
progress with implementation deadlines.
• Oversee all regulatory reporting and respond to compliance inquiries from government
agencies, clients, healthcare issuers (Carefirst, Aetna, Cigna, etc.), pharmacy benefit managers,
and business associates.
• Conduct regular internal compliance audits and risk assessments.

2. “Work with senior university and divisional staff…to review, revise and manage all university policies.”

Similarly, I perform the following:

• Coordinate with directors and senior staff across ALL departments on operational compliance
and department-specific policies and procedures.
• Draft, review and annually update all company compliance policies, privacy policies and security
policies.
• Provide interpretive legal explanations to impacted teams; convey complex legal terminology
into clear, simple terms; advise key staff of required procedural changes.
• Collaborate with our parent company on broader legal and compliance policies.
• Work with HR and Operations on compliance policies that overlap with operational policies and
human resources policies.
• Work with the Chief Information Officer on all matters of IT Security and Cybersecurity
compliance.
• Collaborate with external legal counsel, business partners, consultants, vendors and service
providers.

3. “Oversee and manage the operation of the university’s compliance hotline, including supervising
the dissemination of complaints to the appropriate officials as deemed necessary.”

Similarly, I perform the following:

• Handle all stages of incident response for privacy/security incidents and legal complaints (both
internal and external): Identifying incidents, investigate (fact gathering and interviews), devise a
plan of action, mitigate and correct violations.
• Maintain a confidential log of all incidents and breaches, including detailed incident reports.
• Handle calls from external law firms and regulatory agencies on a wide range of matters.
• Respond to any privacy/security inquiries and complaints from clients, vendors, state and
federal authorities or individual consumers.

I am a Baltimore native and former Johns Hopkins University graduate student, where I obtained my
Master’s of Science Writing before earning my Juris Doctor from Penn State Dickinson School of Law. I
am an excellent self-starter and I excel at productive time-management, turning around work efficiently
without sacrificing accuracy. I believe proactive communication is the key to progress, and I am not
hesitant to call meetings, develop connections, talk through business objectives, coordinate efforts and
push work forward. Consistent with the Office of General Counsel’s mission, I am a strategic thinker and
a constant problem solver. I aim to always be one step ahead of matters involving compliance, in line
with your Office’s mission to practice preventative law. I became instilled with the University’s strong
values as a graduate student, and I would love to foster these institutional values by giving back in a
professional capacity. Although I am happy in my current role, I would choose an opportunity with
Johns Hopkins University because it would be an honor to contribute my professional energy towards
defending the University’s interests with the Office of General Counsel.

I thank you for taking the time to review my candidacy.

Sincerely,

Katrina Shank
