AGREEMENT

KNOW ALL MEN BY THESE PRESENTS:

This AGREEMENT, made and executed by and between TEODORA ALFONSO

TOLENTINO, of legal age, Filipino, widow, and with residence at 142 A. Mabini St., Brgy.
Santa Rosa, Cainta, Rizal hereinafter known as the PARTY OF THE FIRST PART, and
EMMANUEL CALLOS ALFONSO, of legal age, Filipino, married, and with residence at 20
Pablo St., Villa Alfonso, Bambang, Pasig City, hereinafter known as the PARTY OF THE
SECOND PART;

-WITNESSETH –

1. That the PARTY OF THE FIRST PART shall give and entrust unto the PARTY OF THE
SECOND PART the business known as “LITTLE MADAM” located at 13 Alfonso St.,
Rosario, Pasig City, consisting of a Coffee Shop and a Laundry Shop, together with the
business name(s) and assets thereof enumerated in ANNEX “A” of this Agreement,
which the latter hereby acknowledges the receipt for administrative purposes;

2. That the PARTY OF THE SECOND PART shall hold in trust the said business, its
business name(s) and assets, for the PARTY OF THE FIRST PART and shall have an
obligation to return the same immediately upon termination of his administration or upon
demand by the PARTY OF THE FIRST PART;

3. That the PARTY OF THE FIRST PART may at any time cancel this trust and take
possession of the business and all assets and/or proceeds thereof wherever they may be
found and the PARTY OF THE SECOND PART acknowledges full ownership of the
former thereto.

IN WITNES WHEREOF, we have hereunto affixed our signatures, this 11 th day of

September, 2019 in Pasig City, Philippines.

ACKNOWLEDGMENT

BEFORE ME, a Notary Public, this 11th day of September 2019 in Pasig City, personally
appeared TEODORA ALFONSO TOLENTINO and EMMANUEL CALLOS ALFONSO,
known to me and to me known to be the same persons who executed the foregoing instrument
which they acknowledged before me as their free and voluntary act and deed.
