Esclarecimento sobre notícia veiculada na mídia

São Paulo, 23 de junho de 2024 – SMARTFIT ESCOLA DE GINÁSTICA E DANÇA S.A.

(“Smart Fit” ou “Companhia”) considerando a matéria divulgada no jornal Brazil
Journal, em 21 de junho de 2024, com o título “SmartFit na reta final para comprar a
Velocity”, e em resposta ao Ofício 480/2024-SLS emitido pela B3 S.A. – Brasil, Bolsa,
Balcão, em 21 de junho de 2024 (“Ofício”), que se refere à notícia veiculada no jornal
Estadão Broadcast+, na mesma data, com o título “Radar da Imprensa: Smartfit está perto
de fechar compra da Velocity por R$ 180 milhões”, a Companhia vem prestar os
esclarecimentos a seguir. Para melhor compreensão desta manifestação, o trecho do
questionamento consubstanciado no Ofício segue em anexo a este comunicado (“Anexo
I”).

A Companhia esclarece que está constantemente avaliando oportunidades e potenciais

investimentos alinhados com sua estratégia e, nesse sentido, está em negociações para
uma potencial aquisição das ações do capital social da Velocity Academia de Ginástica
Ltda., rede de estúdios fitness de spinning e estúdios voltados ao treinamento funcional
(“Velocity” e “Potencial Transação”, respectivamente). A Potencial Transação está
sujeita, entre outros fatores, à negociação de suas condições contratuais.

A Companhia manterá o mercado em geral informado sobre desdobramentos ou

deliberações acerca das informações fornecidas neste comunicado ao mercado, nos
termos das normas expedidas pela CVM e legislação aplicáveis.

Em notícia veiculada pelo Estadão Broadcast+, em 21/06/2024, sob o título “RADAR

DA IMPRENSA: SMARTFIT ESTÁ PERTO DE FECHAR COMPRA DA VELOCITY POR
R$ 180 MILHÕES”, constam, entre outras informações, que:

• A SmartFit está perto de adquirir a Velocity por, aproximadamente, R$ 180

milhões, segundo fontes ouvidas pelo site. Focada no público classe A e B, a Velocity
é uma rede de 71 academias focadas em spinning e dona da Kore, especializada
em treino funcional. No ano passado, a Velocity faturou R$ 63 milhões.

Solicitamos esclarecimentos sobre os itens assinalados, até 24/06/2024, com a sua

confirmação ou não, bem como outras informações consideradas importantes.”

Clarifications on media report
(Response to Official Letter 480/2024-SLS)

São Paulo, June 23, 2024 – SMARTFIT ESCOLA DE GINÁSTICA E DANÇA S.A. (“Smart
Fit” or “Company”), considering the article published on June 21, 2024, in the Brazil
Journal, with the title “SmartFit na reta final para comprar a Velocity”, and in response to
Official Letter 480/2024-SLS issued by B3 S.A. – Brasil, Bolsa, Balcão on June 21, 2024
(“Official Letter”), which refers to the news published on the Estadão Broadcast+
newspaper, with the title “Radar da Imprensa: Smartfit está perto de fechar compra da
Velocity por R$ 180 milhões”, the Company provides the following clarifications. For a
better understanding of the clarifications provided here, the excerpt from the question
contained in the Official Letter is attached below (“Annex I”).

The Company clarifies that it is constantly evaluating opportunities and potential

investments aligned with its strategy and, therefore, is in negotiations for a potential
acquisition of the shares of the share capital of Velocity Academia de Ginástica Ltda., a
network of spinning fitness studios and studios focused on functional training (“Velocity”
and “Potential Transaction”, respectively). The Potential Transaction is subject, among
other factors, to the negotiation of its contractual conditions.

The Company will keep the market in general informed about developments or
deliberations about the information provided in this notice to market, in accordance with
the rules issued by the CVM and applicable legislation.

da Imprensa: Smartfit está perto de fechar compra da Velocity por R$ 180 milhões”
it is stated, among other information, that:

SmartFit is close to acquiring Velocity for approximately R$ 180 million, according

to sources cited by the website. Focused on the A and B classes, Velocity is a network
of 71 spinning-focused gyms and the owner of Kore, which specializes in functional
training. Last year, Velocity had revenues of R$ 63 million.

We request clarifications on the highlighted items by June 24, 2024, along with
your confirmation or any other relevant information.”
