SUBCONTRACTING SERVICE AGREEMENT

KNOWN ALL MEN BY THESE PRESENTS:

This SUBCONTRACTING SERVICE AGREEMENT is made and entered into this

ABC a Corporation duly organized and existing by virtue of the laws of the
Republic of the Philippines with postal address
_______________________________________________, and represented herein by
___________________, hereinafter referred to as the “FIRST PARTY”
-And-
XYZ , a Company duly registered and existing by virtue of the laws of the
Republic of the Philippines with postal address at _______________ and
represented herein by its General Manager _________________________,
hereinafter referred to as “SECOND PARTY”.
WITNESSETH:

WHEREAS, the FIRST PARTY by virtue of a Construction Agreement is the

General Contractor of ________________PROJECT (Project);

WHEREAS, under the Construction Agreement the FIRST PARTY is authorized

to construct the Structural Design and Rough -in of a Five Storey Building
Commercial Building with Two Basement;

WHEREAS, the SECOND PARTY has offered its services to the FIRST PARTY;

WHEREAS, FIRST PARTY agrees to engage the services of the SECOND PARTY
for Steel, Formworks, Concreting Works and Rough-in for the Project subject to the
terms and conditions of this Agreement;

WHEREAS, the SECOND PARTY warrants that it is a registered business in the

Republic of the Philippines to provide Steel, Formworks and Concreting Works and
other Engineering Services, and represents itself to be skilled, competent, capable, and
qualified to undertake and complete the construction works herein provided;

WHEREAS, on the basis of the warranties and representations made by the

SECOND PARTY, the FIRST PARTY has accepted the offer of the SECOND PARTY to
undertake the Steel, Formworks and Concreting Works for the Project under such
terms and conditions stipulated herein;

NOW THEREFORE, for and in consideration of the foregoing premises, the

parties agree as follows:

ARTICLE I
AGREEMENT DOCUMENTS

The following documents shall constitute and be deemed integral parts of this
Agreement and the terms and conditions embodied therein shall be deemed
reproduced herein by reference and/or incorporation:

1. SECOND PARTY's program of works and schedule;

2. Steel, Formworks and Concreting Works Proposal;

3. Technical Specifications and Cost Estimates;

4. Performance / Surety Bond In favor of the First Party.
