Whereas the Seller, who shall hold all rights and all licenses of exporting the commodity
mentioned below as required by the relevant Indonesian laws and Indonesian authorities, agrees
to sell and the Buyer agrees to buy the commodity according to the specifications below and on
the following terms and conditions:
鉴于卖方应持有印度尼西亚有关法律和印度尼西亚当局要求的出口下述商品的所有权利
和所有许可证，卖方同意按照下述规格和下列条款和条件出售而买方同意购买该商品。

1.Commodity(商品): Indonesian Steam Coal in Bulk, sold by Seller. (“Coal”)

印度尼西亚散装动力煤，由卖方出售。("煤")

2.Quantity of Coal Specification(煤的数量规格): Trial Shipment 50,000 MT

试装 50,000 吨
Base quantity for Coal shall be 100,000 MT +/-
10%。
煤炭的基本数量应为 100,000 吨+/-10%。
Annual demand: 1,200,000 MT
年采购量：1,200,000 吨

3. Laycan(受载期): Coal shall be loaded into the vessel stated in the clause 10. The
laycan for the vessel shall be max 45 days after the both parties sign the official
contract.
Laycan(受载期):煤炭宜装入第 10 条所述船舶。 停期为订合同后最多 45 日。

煤炭应被装入第 10 条所述的船只。该船的受载时间为正式合同签署之日起 45 天内。

4. Quality(质量):The quality of Coal to be supplied hereunder shall be based on the f

ollowing typical specifications, which is determined and analyzed as per ASTM standards
or ISO standards(at Buyer’s option).
根据本协议供应的煤炭质量应基于以下典型规格，规格应根据 ASTM 标准或 ISO 标准（
由买方选择）进行确定和分析。

1. PRICE (价)
(a) The Base Price of Coal sold and delivered by the Seller and purchased by the
Purchaser under this Agreement shall be subject to the price adjustment as specified
in Clause 4.
(a) 卖方以本协售付买方煤炭本价应受第 4 条价格调整约束。

The Base Price of Coal for the Contract Quantity for delivery during the Contract Term
(b)
shall be on FOB MV + Mother Vessel basis. Make up by below Formula: FOB MV
(USD) USD 92 at the loading port XXX, Indonesia, based on the Net calorific value of
5,500 kcal/kg (NAR).
(b) 合同期内交付的合同数量的煤炭基本价格应以 FOB MV + 母船为基础。按以
下公式计算： FOB MV (USD) 在印度尼西亚 XXX 装货港按净热值 5,500 kcal/kg
(NAR) 计算 92 美元。
6. Weight Determination(重量的确定):
The draft survey shall be subject to Anindya inspection at the loading
port. The draft survey report so determined shall be final and binding
on both parties. The weight determined in the report shall be reflected
in the weight certificate and the gross weight of the bill of lading. The
expenses incurred according to this clause shall be borne by the Buyer.

按草案當受 Anindya 於装货港。 如此者调查报告草案当为终报,皆

有约束力。 告之重者,重书提单毛重中。 以本条所生之费应由买
方任之。

7. Sampling/Analysis(取样/分析):
Sampling and analysis shall be conducted by Anindya at the loading
port according to ASTM or ISO ") issued by Anindya. is final and
binding on both parties. The expenses incurred according to this clause
shall be borne by the Buyer.

取样、析 Anindya 以 Anindya 发 ASTM、ISO")于装货港。 卒有约

束力。 以本条所生之费应由买方任之。

The Seller shall have the right at any time to cause its designated
personnel to attend and observe the determination of the quality and
weight at the loading Port at the expense of the Seller. In such event,
the Buyer shall cooperate with such attendance and observation.
买方有权在任何时候让其指定人员参加并观察卸货港的质量和重
量测定，费用由买方承担。在这种情况下，买方应配合这种出席
和观察。

8. Quality Adjustment(质量调整):

(a) Gross Calorific Value (GCV)

If the NET Calorific Value (ARB) is more or less than …….. kcal/kg but
still above the rejection limit, the unit price will be adjusted as follows:

NAR adjustment = (Actual GCV kcal/kg – ……….. kcal/kg)

If the actual ash content (ADB) exceed 10% as stated in the surveyor's
certificate at the discharging port, the CFR price shall be reduced by
USD 0.50 PMT for each 1%, fraction prorate, until rejection limit.

如果实际灰分含量（ADB）超过卸货港检验证书数额的9%，CFR价
格应调整为每超出1%减少0.50美元/公吨，按比例减少，直至达标。

(c) Total Sulfur（ADB）

If the actual Total Sulfur (ADB) exceed 0.9% as stated in the surveyor's
certificate at the loading port, the CFR price shall be reduced by USD
0.50 PMT for each 0.1%, fraction prorate, until rejection limit

如果实际全硫含量（ADB）超过卸货港检验证书数额的 0.9%，CFR
价格应每 0.1%减少 0.50 美元/公吨，按比例减少，直至达标。

9. Rejection（拒收）: Notwithstanding any other provisions of this Agreement to the

contrary, Buyer shall have the right, but not the obligation, to reject
the cargo with parameters which exceed the Rejection Limits set forth

in Clause 4 as evidenced by the Certificate of Sampling and Analysis
issued by independent surveyor at Loading Port. Buyer may elect to
purchase the Coal of the rejected shipment with renegotiated price.
尽管本协议有任何其他相反的规定，买方有权（但非义务）拒绝参
数超过第 4 条规定的超出达标限制的货物，这一点由独立检验员在
装货港出具的取样和分析证书来证明。买方可以选择以重新协商的
价格购买被拒货物的煤炭。

10. Maritime Conditions（海事海商情况）:

(a) Loading Port（装运港）

The Seller guarantees one safe berth/ one safe port or one safe
anchorage in XXX, Indonesia always afloat and accessible at the
Loading Port which is suitable for loading a vessel of the size notified
to the Seller in the Nomination.

卖方保证在印度尼西亚 XXX 的一个安全泊位/一个安全港口或一

个安全锚地始终处于漂浮状态并可在装货港进出，该港口适合装
载提名中告知卖方尺寸的船舶。

Loading port shall be XXX, Indonesia (“Loading Port”).

装货港为印度尼西亚 XXX（“装货港”）。

Port of discharge 卸货港：Qinzhou Port 钦州港

(c) Loading of Coal at the Loading Port（在装货港装货）

Coal shall be loaded accordingly to the most recent IMSBC code and
trimmed at the Seller’s own cost and free of expense, risk and liability
to the Buyer and the vessel (except in the case of negligence or willful
misconduct).
煤炭应根据最新的 IMSBC 规范进行装载，并由卖方自费进行修整
，买方和船舶不承担任何费用、风险和责任（过失或故意不当行
为除外）。

the Seller shall continuously supply coal to permit loading of the

nominated vessel at the Loading Rate.
卖方应持续供应煤炭，以满足指定船舶在装运港的装运率。

(d) Loading Rate（装载率）

the Seller guarantees the Loading Rate as stated in the table for a
vessel except 7 Major Indonesian holidays: Idul Fitri (2 days), one day

each of Idul Adha, one day each of good Friday, Independence Day (17
August), Christmas day (25 December) and New Year’s Day (1 January).
卖方保证表中规定的船舶装载率，印尼 7 个主要节日除外：开斋
节（2 天）、每个古尔邦节一天、耶稣受难日一天、独立日（8 月
17 日）、圣诞节（12 月 25 日）和元旦（1 月 1 日）各一天。

(e) Laytime（装卸时间）
Laytime for loading shall commence on the earlier of:
装货时间应从以下较早者开始：

(A) 12 (twelve) hours after the Notice of Readiness and free pratique
granted at the Loading Port

(B) The actual commencement of loading and shall end after

completion of loading once the Seller submits the export
document to the shipping agent.

（A）发出准备就绪通知和得到装运港自由通行证后 12（十二）小
时。
（B）如果卖方向装运代理提交出口文件，按实际开始装货时间并
在装货完成后结束。

Laytime allowed shall be calculated by dividing bill of lading quantity

with the loading rate specified in this Agreement.
通过提单货物数量除以本协议规定的装载率来计算允许的装卸时
间。

Any laytime incurred shall be calculated as the number of calendar

days, pro-rata, rounded to the nearest minute, based upon the total
quantity of coal recorded in the applicable Bill of Lading divided by the
Loading rate. Any delays caused by a vessel shall not count as laytime
used.
Laytime shall cease upon completion of mother vessel loading, Final
draft survey shall not counted as a laytime. the Seller shall have 12
hours (“Grace Period”) to arrange export documents on board failing
which, laytime shall start to count upon the expiration of the Grace
Period until export documents received by shipping agent.
装卸时间应根据提单中记录的煤炭总量除以装载率，按日历天数
按比例计算，四舍五入至最接近的分钟。船舶造成的任何延误不
应计入所用的装卸时间。
母船装载完成后，装卸时间应停止，最后的水尺检量不应计入装
卸时间。卖方应有 12 小时（“宽限期”）安排装船出口单证，如超

Once on demurrage always on demmurage

一旦滞期，永远滞期

after Vessel being on demurrage, all time lost shall continuously count
as demurrage except loading stoppages due to the Vessel requirement
船舶滞期后，应持续计算滞期时间，因船方要求而停止装货的情
况除外。

Time lost by the following causes shall not count as laytime:

以下原因造成的时间损失不应计入滞留时间：

1. Delays due to the Vessel’s requirement

由于船方的要求而造成的延误。
2. Breakdown or failure of the Vessel to comply with the require
ments or regulations of the Loading Port or Indonesian Authori
ty that cause delay or restriction of loading or hindering Loadi
ng Port operation.
船舶发生故障或未能遵守装货港或印尼当局的要求或规定，导致
装货延迟或限制或妨碍装货港的运作。
3. Shifting time due to Vessel’s requirement. Shifting time due to
Seller’s requirement shall count as laytime;
由于船方的要求导致的转移时间。因卖方要求而发生的转移时间
应计入装卸时间。
4. Shifting time from waiting anchorage to first loading berth or f
irst working anchorage, unless vessel is already on demurrage;
从等待锚地到第一个装载泊位或第一个工作锚地的转移时间，除
非船舶已经处于滞期状态。
5. Excess time resulting from the vessel arriving at the Loading Port
prior to the Laycan (or any agreed narrowed Laycan) provided
however that in case the Seller can arrange to load prior to the
Laycan (or narrowed Laycan), only time actually used for loading
shall count as laytime;
船舶早于受载期提前到达（或受载期经协商被缩短）而导致
的超时，但是，如果卖方可以早于受载期（或缩短的受载期
）安排装货，实际用于装货的时间应计入装卸时间。
6. Time lost due to Force Majeure Event as defined in clause 15
laytime shall cease to count upon giving of a Force Majeure

declaration until that Force Majeure event ceases, unless vessel is
already on demurrage;
由于第15条中定义的不可抗力事件而损失的时间，在发出不
可抗力声明后应停止计算，直到不可抗力事件停止，除非船
舶已经处于滞期状态。
7. Actual time used in making draft checks including initial and final
draft survey will not count as laytime unless vessel is already on
demurrage;
进行水尺检量的实际时间，包括开始、最后的水尺检量，将
不计入装卸时间，除非船舶已经处于滞期状态。
8. If on berthing / arrival at the appropriate anchorage the vessel is
found not ready in all respects, time lost from discovery till vessel
again ready to load or if loading commenced, pro-rata for rejected
holds.
如果在停泊/到达适当的锚地时，发现船舶在没有全方位准备
好，那么从发现到船舶再次准备好装货所耽误的时间，或者
如果开始装货，按比例计算遭拒剩余装货所耽误的时间。
9. Time lost due to bad weather (heavy rain or swell) unless vessel is
already on demurrage
由于恶劣天气（大雨或海浪）造成的时间损失，除非船舶已
经在滞期。
10. Stevedores to be appointed and paid by the Seller to work under
supervision of master. The stevedores shall be considered as the
Seller’s servants and the Seller's is to be responsible for any
negligence, default or error in judgment of the stevedores and /or
the barges/lighters/ floating crane employed in loading the
vessel(s).
装卸工人由卖方指定并支付，在船长的监督下工作。装卸工
应被视为卖方的职员，卖方应对装卸工和/或装船时使用的驳
船/打火机/浮吊的任何疏忽、失误或判断错误负责。
11. Any dispute between Vessel Owner and Charterer that caused
delay of loading process or Vessel Sailing operation, shall not be
counted as laytime.
船东和租家之间的任何争议导致装船过程或船舶航行操作的
延误，不应计入装卸时间。
12. Other delays attributable to the Vessel or Agents, Servants or
Independent Contractors from Buyer shall not count as laytime.
其他可归因于船舶或买方的代理、职员或独立承包商的延误
不应计入装卸时间。

Any disputes regarding stevedore damage to be settled directly

between shipowner and stevedores. The Seller will assist where
practically possible in the resolution of any dispute between
stevedores and owners.
任何有关装卸工人损伤的争议将在船东和装卸工人之间直接解决
。卖方将协助解决装卸工人和船东之间的争议。

Any stevedore damage affecting vessel’s seaworthiness to be repaired

immediately and any time thereby lost will count as laytime or time on
demurrage.
任何被装卸工人影响船舶适航性的损坏应立即修复，由此损失的
任何时间都将计入停工期或滞期时间。

All delays due to this stoppage of work from stevedores / or

stevedores damage shall be on seller’s account.
由于装卸工人的停工/或装卸工人的损坏而造成的所有延误都由卖
方负责。

the Seller to ensure there is sufficient and proper Yokohama fender

and not vehicle tires during the ship-to-ship transfer operation to
avoid arising damage to the mother vessel.
卖方应确保在船对船转移过程中，有足够和适当的护舷，而不是
车辆轮胎，以避免对母船造成损害。

(f) Demurrage, Despatch and Dead Freight 滞期费、托运费和空舱费

If the Seller fails to complete loading of a vessel within the permissible
laytime as calculated using the Loading Rate, the Seller shall pay to the
Buyer demurrage calculated at the demurrage rate for all time lost
after expiration of the permissible laytime.
如果卖方未能在使用装载率计算的允许停泊时间内完成船舶的装
载，卖方应向买方支付滞期费，滞期费按允许停泊时间到期后的
所有时间计算。

If the vessel has completed the loading within the permissible laytime,
the Buyer shall pay to the Seller despatch monies for the laytime saved
at the rate which is one half (1/2) of the demurrage rate.
如果船舶在允许的停泊时间内完成了装载，买方应按滞期费率的
二分之一的费率向卖方支付节省的装卸时间的运费。
It is the Seller’s best interest to make arrangement to load the exact
tonnage as per the stowage plan basis stowage factor provided by the

Buyer. In case Seller short load the vessel, Seller is obligated to
compensate the Buyer for short loading the Coal by paying the dead
freight. The dead freight shall be calculated basis the stowage plan and
the freight rate.
卖方的最佳利益是根据买方提供的堆放计划基础堆放系数安排装
载准确的吨位。如果卖方短装船舶，卖方有义务通过支付空舱费
来补偿买方短装煤炭的损失。滞留运费应根据积载计划和运费率
来计算。
Any demurrage or despatch or dead freight shall be paid by the Seller
to the Buyer within thirty (30) calendar days after completion of
loading.
卖方应在装船完成后的三十（30）个日历日内向买方支付任何滞
期费、发货费或空舱费。
Dead Freight Money= 空舱费=
Freight as per Charter Party x (Final Stowage Plan - Actual Coal Loaded)
按租船合同规定的运费 x (最终装载计划 - 实际装载的煤炭)
Demurrage/Despatch rates to be as per the governing Charter Party
during vessel nomination.
滞期费/发运费将按照船舶指定期间的租船合同的规定进行。
Once Vessel under demurrage but still no Coal loaded onto the Vessel,
if vessel owner asks for canceling voyage and agreed by Seller, Buyer
reserves right to claim any further losses hereby, included but not limit
to the deposit for chartering vessel, Owner’s further claim as per
Charter Party and etc. Seller has to pay to Buyer within 7 banking days
after received Buyer’s written notice.
一旦船舶处于滞期状态但仍未装上煤炭，如果船东要求取消航行
并得到卖方的同意，买方有权在此要求任何进一步的损失，包括
但不限于租船押金、船东根据租船合同的进一步要求等。卖方必
须在收到买方的书面通知后的 7 个工作日内向买方付款。

11. Impurities(杂质): the Seller has to maintain the purity of the Coal. Seller has to
guarantee that the Coal is clean and not contaminated by stone, wood,
etc.
If the Seller delivers the Impure Coal in which the metal pieces, stone,
mud, dust, sticky issue, foreign substance, or spontaneous combustion
found to be originated from the shipper as shown by sufficient and
valid evidence, and caused any of direct loss or cost while discharging
in concerned with discharging equipment or any of direct loss during

production in the end user’s plant, Buyer shall have the right to lodge a
claim against Seller against certified. No claim shall be made without
sufficient and valid evidence regarding the Impure coal as above
mentioned.
卖方必须保持煤炭的纯度。卖方必须保证煤炭是干净的，没有被石
头、木材等污染。
如果卖方交付的不纯煤中有金属片、石块、泥土、灰尘、粘性物质
、异物或自燃，并有充分有效的证据表明来自卖方，并且在有关卸
货设备的卸货过程中造成任何直接损失或费用，或者在最终用户的
工厂生产过程中造成任何直接损失，买方应有权向卖方提出索赔。
如果没有关于上述不纯煤的充分和有效的证据，则不得提出索赔。

12. Payment(付款): The Buyer will issue a L/C to the Seller Irrevocable Confirmation at
Sight letter of credit MT700 from a First Class Bank, covering 100% of
the total quantity and quality of the cargo. The LC will allow to
withdraw the LC according to the complete FOB documents, so the LC
can be disbursed at the receiving bank。

买方将信用证于卖方,即期不可罢,可转让,信用证 MT700,涵盖货总
量质之 100%。 信用证将许据完 FOB 文件提取信用证,故信用证可
于收款行支付。

Non PB (PERFORMANCE BOND), 2% of the contract amount.

非 PB(履约保证金),同金额之 2%。

LC shall be issued 07 Calender days prior to first day of the agreed

laycan.
信用证应在商定的受载期的第一天之前的 7 个日历日内签发。

Draft LC shall be settled within 03 days upon signing contract.

信用证草稿应在合同签署后 3 个自然日内确认。

LC shall only issued by the Buyer to the Seller, not from a third party
outside the agreement.
信用证只能由买方开具给卖方，不能由协议之外的第三方开具。

Against presentation of the following documents:

3/3 set of “clean on board” ocean Bills of Lading made out the
consignee and notify party both are SUMEC blank endorsed, marked
freight payable as per Charter Party and signed by the Master or its

named authorized agent in three (3) originals and three (3) non-
negotiable copies.The bill of lading shows this contract number and the
commercial invoice number.
- 3/3 收货人和通知方均注明的一套“清洁装船”海运提单，均由
苏美达空白背书，标明运费按租船合同应付，并由船长或其指定
授权代理人签署，正本三 (3) 份，三 (3) 份正本 3）不可流通的
副本。提单上显示此合同号和商业发票号。
- Signed Commercial Invoice issued by the Seller in one (1) original
and one (1) copy showing details of price adjustment (if any) based
on the calculation sheet approved by applicant.
- 由卖方出具的签名商业发票，一（1）份原件和一（1）份复印件
，显示根据申请人批准的计算表进行价格调整的细节（如有）。

- Certificate of Sampling and Analysis issued by Anindya at the

discharging port in one (1) copies.
- Anindya 于卸货口签取样析证,一(1)分。

- Certificate of Weight issued by Anindya at the discharging port in

one (1) copies.
- Anindya 于卸货口签重证,一(1)分。

- Certificate of Origin (form E) with valid HS Code issued by the

authorized Department of Trade, Chamber of Commerce and
Industries or relevant government authority 。
- 由授权的贸易部、工商会或相关政府机构签发的带有有效 HS 编
码的原产地证书原件（中国-东盟自由贸易区优惠原产地证实书
）的原件。

13. Taxes(税费)： The Seller shall pay all taxes, duties on the shipment and any other
charges imposed on or in respect of the shipment in Indonesia. the
Buyers shall pay all taxes, duties on the shipment and any other
charges imposed on or in respect of the shipment outside Indonesia.
卖方应支付所有税款、货物的关税以及在印度尼西亚对货物征收
的任何其他费用。买方应支付所有的税款，货物的关税和任何其
他费用，或就印度尼西亚以外的货物征收的费用。

14. Title/Risk(风险): Title of the good shall pass to Buyer as soon as

payment has been made by Buyer pursuant to article 12 hereof. Risk
of loss shall pass from Seller to Buyer progressively as the good are
placed on board of the Buyer’s vessel at the Loading Port.
一旦买方按照本合同第 12 条规定付款，货物的所有权就应转移给
买方。货物灭失的风险应在货物被放置在装货港的买方船只上开
始逐步从卖方转移到买方。

15. Force majeure(不可抗力):Neither Seller nor Buyer shall be liable in damages or otherwise for
any failure or delay in performance of any obligation hereunder other
than obligation to make payment, where such failure or delay is
caused by Force Majeure, being any event, occurrence or
circumstance reasonably beyond the control of that Party and
including the coal source mine company, including without prejudice
to the generality of the foregoing, failure or delay caused by or
resulting from acts of god, strikes, fires, floods, wars (whether
declared or undeclared), riots, destruction of the material, delays of
carriers due to breakdown or adverse weather, epidemic or pandemic,
perils of the sea, embargoes, accidents, disruptions or breakdowns of
production, restrictions imposed by any governmental authority
(including allocations, priorities, requisitions, quotas and price
controls). The time of Seller to make or Buyer to receive delivery
hereunder shall be extended during any period in which delivery shall
be delayed or prevented by reason of any of the foregoing causes, up
to a total of thirty (30) days. The Force Majeure and duration shall be
substantiated through certification by a government body (e.g.
Ministry of commerce/industries) or the chamber of the country
where the event of Force Majeure has occurred. If any delivery
hereunder shall be so delayed or prevented for more than 30 days,
either Party may terminate this Agreement with respect to such

delivery upon written notice to the other Party. The Parties agree and
acknowledge that the following events are not considered as Force
Majeure events 1) an inability to fulfill any obligations, including
payment obligations, under any contract or agreement binding to any
of the Parties; 2) bankruptcy, or any process relating to the bankruptcy
process; 3) liquidation or dissolution.
卖方或买方均不对任何未能或延迟履行本协议项下的任何义务（
付款义务除外）承担损害赔偿或其他责任，如果这种未能或延迟
是由不可抗力造成的，即合理地超出该方控制的任何事件、事故
或情况，包括煤源矿公司，包括但不影响前述的一般性。由天灾
、罢工、火灾、水灾、战争（无论是否宣布）、暴乱、材料破坏
、承运人因故障或恶劣天气造成的延误、流行病或大流行病、海
上危险、禁运、事故、生产中断或故障、任何政府当局施加的限
制（包括分配、优先权、征用、配额和价格控制）所造成的失败
或延迟。在因上述任何原因而导致交货延迟或无法交货的任何期
间，卖方进行交货或买方接受交货的时间应予延长，但总共不得
超过三十（30）天。不可抗力和持续时间应通过政府机构（如商
业/工业部）或发生不可抗力事件的国家的商会的证明来证实。如
果本协议项下的任何交付被延迟或阻止超过 30 天，任何一方都可
以在书面通知对方后终止与该交付有关的本协议。双方同意并承
认，以下事件不被视为不可抗力事件：1）无法履行对任何一方有
约束力的合同或协议下的任何义务，包括支付义务；2）破产，或
与破产程序有关的任何程序；3）清算或解散。

16. Arbitration(仲裁): Any dispute arising out of or in connection with this Agreement,
including any question regarding its existence, validity or termination,
shall be referred to and finally resolved by arbitration under the
Singapore International Arbitration Centre (SIAC) which rules are
deemed to be incorporated by reference into this clause. The number
of arbitrators shall be three. The seat of arbitration shall be Singapore.
The language to be used in the arbitral proceedings shall be English
and the governing law of the Agreement shall be Singapore Law.
由本协议引起的或与之有关的任何争议，包括有关其存在、有效
性或终止的任何问题，应提交新加坡国际仲裁中心（SIAC）仲裁并
最终解决，该中心的规则被视为已纳入本条款。仲裁员人数为三
人。仲裁地点为新加坡。仲裁程序中使用的语言为英语，本协议
的管辖法律为新加坡法律。

17. Liabilities(责任): In no event shall Buyer or Seller be liable for indirect or consequential
damages or for specific performance.
在任何情况下，买方或卖方都不承担间接或间接损害或具体履行的
责任。

18. Assignments(转让): Neither Party may assign or transfer this Agreement or any rights or
obligations thereunder without the prior written consent of the other
Party, which consent shall not be unreasonably withheld.
未经另一方事先书面同意，任何一方不得转让或转让本协议或本协
议项下的任何权利或义务，该同意不得被无理拒绝。

19. Liquidation Clause(清算条款): Without limiting any other rights that may be available to the
liquidating Party (as hereinafter defined), in the event that a Party
hereto (the “Defaulting Party”) is the subject of a bankruptcy,
insolvency or other similar proceeding or fails to pay its debts
generally as they become due, the other Party hereto (“Liquidating
Party”) shall have the right, exercisable in its sole discretion and at any
time, to liquidate this Agreement.
在不限制清算请求方（以下定义）可获得的任何其他权利的情况下
，如果其中一方（“违约方”）为破产、资不抵债或其他类似程序主
体，或未能偿还到期债务，另一方（“清算请求方”）有权在任何时
候由其自身决定清算本协议。

The outstanding between the Parties (whether the Liquidating Party is

the Seller or Buyer thereunder) by declaring any or all such contracts
terminated (whereupon they shall become automatically terminated,
except for the payment obligation referred to below), calculating the
difference, if any, between the price specified therein, and the market
price for the relevant commodity (as determined by the Liquidating
Party in a commercially reasonable manner at a time or times
reasonably determined by the Liquidating Party) and aggregating or
netting such market damages to a single liquidated settlement
payment that will be due and payable upon demand therefore.
双方之间（无论清算方是卖方还是买方）未偿付金额，通过宣布
任何或所有此类合同终止（这些合同将自动终止，除以下支付义
务除外)，计算其中规定的价格与相关商品的市场价格之间的差异(
由清算请求方合理确定的时间内以商业上合理的方式计算)，并将
该市场损失合计或净额计入单一清算结算付款，该款项将到期应
付。

20. Other Conditions(其他条款):

If Buyer, for any reasons decides to unilaterally cancel or terminate the
contract after signing the contact, the Seller is entitled to an amount of
compensation from the Buyer to the Seller for the cancellation or
termination of the contract 20% from the total amount of the LC or the
shipment value.

如果买方在签署合同后出于任何原因决定单方面取消或终止合同，
卖方有权要求买方就取消或终止合同向卖方支付信用证总金额或装
运总货值的 20%的赔偿金。

Compensation payment FROM the Buyer TO the Seller shall be made 3

(three) workings days after contract cancellation or termination
statement issued.
买方支付给卖方的赔偿金应在合同取消或终止声明发布后的三个工
作日内进行

If Seller, for any reasons decides to unilaterally cancel or terminate the

contract after signing the contact, the Buyer is entitled to an amount of
compensation FROM SELLER TO the Buyer for the cancellation or
termination of the contract 20% from the total amount of the LC or the
shipment value.
如果卖方在签署合同后出于任何原因决定单方面取消或终止合同，
买方有权要求卖方就合同的取消或终止向买方支付信用证总金额或
装运总货值的 20%作为赔偿金。

Compensation payment FROM SELLER TO the Buyer shall be made 3

(three) workings days after contract cancellation or termination
statement issued.（卖方对买方的赔偿金应在合同取消或终止声明
发出后的三个工作日内支付。）

21. ANTI-CORRUPTION(反腐败):
The parties to this Agreement each agree and undertake to the other
that in connection with this Agreement, they will each respectively
comply with and act in a manner consistent with all applicable laws,
rules, regulations, decrees and/or official government orders of the
governments applicable to the parties relating to anti-bribery and anti-
money laundering. If one party reasonably believes that the other
party is in breach of any of its obligations under this clause, the non-
breaching party may terminate the Agreement forthwith upon written
notice (supported by reasonable evidence) to the other party without
prejudice to the non-breaching party's rights under this Agreement or
generally.
本协议双方各自同意并向对方承诺，就本协议而言，他们将分别
遵守政府有关反贿赂和反洗钱的所有适用法律、规则、条例、法
令和/或政府官方命令，并以这种方式行事。如果一方有理由相信
另一方违反了本条款规定的任何义务，非违约方可以在向另一方
发出书面通知（有合理证据支持）后立即终止协议，而不影响非
违约方在本协议下的权利或一般权利。

21. Entire Agreement(完整协议):

This Agreement contains the entire agreement between the Parties
with respect to the subject matter hereof and all proposals,
negotiations and representations with reference thereto are merged
herein.
本协议包含了双方之间关于本协议主题的全部协议，所有与之相
关的建议、谈判和陈述都合并在此。

23. Notices(通知): Any notice required or permitted by this Agreement shall be in writing
and in the English language and may be delivered personally or may be
sent by e-mail, facsimile, prepaid registered mail, commercial courier,
or internationally recognized overnight delivery service addressed to
the Parties, as follows (or to such other address as they notify each
other):

affiliates of the parties and appropriate governmental entities, unless

25. Counterpart(副本): This Agreement may be executed in any number of counterparts, with
each counterpart to be deemed as a valid copy of the Agreement,
having the same effect if the signatures on the counterparts were on
single copy of this Agreement. Electronic mail transmission of
counterpart signatures to this Agreement shall be acceptable and
binding.
（本协议可以在任何数量的副本文件中执行，每个对等文件都被视
为本协议的有效副本，如果对等文件上的签名是在本协议的单一副
本上，则具有同等效力。本协议的对等签名的电子邮件传输应被接
受并具有约束力。）

26. Language(语言): This Agreement is made in English and Chinese. In event of any discrepancy
of the two versions, the English version shall prevail. （本协议以英文
和中文书就。若两个版本之间存在任何不一致之处，应以英文版本
为准。）
