MEMORANDUMOFUNDERSTANDING

This MOU is made this 24th December, 2023 in respect of RED MERCURY for
sale in Abuja at the rate of N6m naira less 1M naira (Six million naira Less One
million Naira per Drop).

BETWEEN hereinafter refer to as the “SELLER” where the expression shall

where the context admits include their heirs, assigns, -in- title, executors and legal
personnel representative of the first part
AND
Hereinafter refer to as the “BUYER” where the expression shall where the context
admits include their heirs, assigns, -in-title, executors and legal personal representative
of the second part

AND

FACILITATOR’S, hereinafterrefer to as the “BENEFICIARIES” where the

expression shall where the context admits include their heirs, assigns, -in-title, executors
and legal personal representative of the other part.

Whereas the Buyer has expressed interest to purchase the said quantity of Red
Mercury and has the capacity to purchase.

PROCEDURE: The Red Mercury will be extracted in the presence of the

buyer. This extraction will be done by the sellers and his team.

There will be test carried out on the extracted product by the buyer’s team
(the testing can also be done by the seller’s team).

After successful extraction and testing of the 500 drops then payment will
be made by the buyer.

NOTE: The buyer will not pay any money for the extraction of the Red
Mercury.

It is here by agreed that the buyer will pay 1m naira for every drop of Red
Mercury bought. This payment goes to the facilitators for this deal.
The seller side facilitators will share 500thousand Nara for every drop of Red
Mercury, which is 50% of the commission money.
The buyer side facilitators will share 500thousand Nara for every drop of Red
Mercury, which is 50% of the commission money.

This payment guarantee made this day stated above supersedes any other
Agreement or Understanding ORAL, WRITTEN, EXPRESS OR
IMPLIED IN RESPECT OF THE TRANSACTION of the Sales of 500
Drops of Red Mercury

WHEREAS:

The 1m naira per drop payment commission from buyer is to be paid, to

facilitators and should be paid along with the payment for the
Commodities and the money shall be shared and transferred into the
facilitators’ beneficiary coordinates stated below. In event of successful
confirmation of products is processed in an agreed location, Buyer will
conduct a test of the Red Mercury and after confirmation, Buyer will
transfer by swift(MT103) the total money value for the commodities into
the Sellers’ account or any form of payment agreed,
