GENERAL INSTRUCTIONS TO THE TENDERERS

E- TENDER No.: GNFC/KISHAN DRONE/23-24/01

DETAILED, TERMS AND CONDITIONS AND SCOPE OF WORK

Sub : Hiring of 136 Nos. Kishan Drones & drone pilots for demonstration in
the state of Gujarat (134), Dadra & Nagar Haveli/Daman & Diu (2) by Gujarat
Narmada Valley Fertilizers & Chemicals Limited (GNFC) & Gujarat State
Fertilizers & Chemicals Limited (GSFC)

Drones are widely adopted across various sectors such as agriculture, health care,
infrastructure, surveillance, and mining. Recognising the immense potential of
drone technology, the Government of India has announced significant initiatives to
boost the domestic drone industry such as the liberal drone policy, a production-
linked incentive scheme, subsidies for agricultural drones and a liberal export
policy. The widespread adoption of drones has become a catalyst for innovation,
redefining the way traditional industries operate. These developments are
significantly impacting agriculture, wherein agriculture drones, more commonly
known as ‘Kishan Drones’ have emerged as a game-changing technology. Drones
are now being used to spray fertilisers and pesticides to support farmers. Kishan
drones have seamlessly integrated into farm mechanisation and farmer support
programs, empowering the agricultural community by automating labour-intensive
tasks. In line with the goal of increasing the popularity of Kishan Drones and
sensitising farmers across the country, GNFC & GSFC, are planning to conduct
drone demonstrations and are looking to hire Kishan drones, as a part of Vikasit
Bharat Sankal Yatra to be organized by GoI for two months in various Indian
States.

1.0 Deployment Period

The contract is for Hiring of 136 Nos. Kishan Drones & trained/certified drone pilots
for demonstration. The bidders must deploy the required quantity allocated to them
within a period of 7 days of the date of award of the contract. The term of the
deployment contract shall be tentatively for 2 months and may vary depending on
actual requirement. The contract period be extendable by 1 month as per
requirements. The hiring shall be tentatively start from 20.11.2023 for 60 days. The
same may vary and change depending upon GoI’s requirement and directives.

2.0 Scope of work

Scope of work includes following

No guarantee can be given as to any definite volume of work, which will be

entrusted to the contractor at any time or during the period of contract.
However, the rates finalized for this tender will be applicable for the entire
period of contract and the contractor has to perform work for the entire
contract period regardless of quantity.

2. The operation, maintenance, performance and transportation of hired


Agricultural Drone on rental basis shall be in the scope of contractor. The
contractor shall be responsible for deploying each drone with drone pack
(Appropriate spares, chargers, batteries and other relevant equipment)
along with DGCA approved drone pilot for conducting minimum of 5
demonstrations per day.
3. The contractor scope includes the complete management of the drone
demonstration, including transportation to the location, arrangement of the
spray material and maintenance of the drone. The contractor shall be
responsible for maintaining the uptime of the drone throughout the hiring
period.
4. The complete job is operation, maintenance, performance and
transportation of Agricultural Drones on rental basis for 60 Days (Mid
Nov.’23 to Mid-Jan.‘24) along with vehicle and DGCA certified pilot
accompanying the drones for demonstration during the Vikasit Bharat
Sankalp Yatra in Gram Panchayats in the aforementioned State/UTs. The
period of deployment from Mid Nov.’23 to Mid-Jan.’24 is indicative.
5. The contractor shall deploy drones as per the schedule and locations
provided by the GNFC/GSFC and shall be responsible for coordination
with the nodal officers appointed for each demonstration.
6. The contractor shall showcase proof of deployment and demonstration to
the authorised officer of GNFC/GSFC including attendance records and
flight logs and generate invoices on fortnightly basis.
7. The contractor shall solely be responsible for complying with all applicable
rules and regulations and shall undertake to follow the law.
8. The drone pilot should be trained as per the rules and regulations
specified by the Ministry of Civil Aviation and DGCA and shall carry a
remote pilot certificate. The bidder shall submit the list of drone pilots.

9. The contractor shall be responsible for all warranties, guarantees, and
ensuring uptime for the entire duration of the contract for which drones are
being hired. Any defect during this demonstrations period will also be the
responsibility of the Contractor for rectification at their own cost.
10. The contractor must comply with all statutory provisions and fulfil legal
obligations under various industrial/labour laws.

3.0 Major Technical Specifications of Drones

1. Payload – Sprayer with min. tank capacity of 10 Ltr/10 Kg


2. Medium category UAS class drone approved by DGCA.
3. At least 4 Port Chargers with four battery packs.
4. Other essential specifications of Agriculture Drones
a. The pilot should have spraying experience in fields
b. The range of drone should be at lease of 500 meters and should be
able to spray in manual and auto mode.
c. Should have BIS approved Batteries of 27000 mAh with BMS (Battery
Management System)
5. The proposed Kishan drones to be deployed by the bidder should be of small
or medium class as per Drone Rules 2021.
6. The proposed Kishan drones to be deployed by the bidder should have GNSS
and Return to Home (RTH) features along with mission planning capabilities.
7. Drones with inbuilt camera shall be preferred.

4.0 Eligibility Criteria:

1. Bidders should have a minimum of 2 years of operational experience in the


field of manufacturing, providing services or any other trade in the drone
industry. (copy of executed order to be submitted). The company, however,
on its own discretion may accept bidders with lesser experience.
2. Bidders should have a minimum turnover of 1 crore in any one of the last 3
financial years. In case the bidder is registered under the Startup India
scheme or has a valid MSME registration, then the requirement of minimum
turnover shall not be applicable. (copy of Audited Balance Sheets and P&L
accounts of 2020-21, 2021-22 or 2022-23. In case, audited balance sheet /
P&L account of 2022-23 is not available, turnover certificate duly certified by
C.A. with UDIN to be submitted. Valid certificates to be submitted by bidder
registered under startup India Scheme or MSME registration). The company,
however, on its own discretion may accept bidders with lesser turnover.
3. Bidders shall submit the list of Kishan drones (agriculture spraying drones) to
be deployed for the project along with the Unique Identification Number (UIN)
of the drone and the manufacturer’s serial number.
4. Bidders shall submit valid and active proof of ownership or lease agreement
for the drones that they plan to deploy. In case the bidder plans to use drones
of a partner or a subcontractor, then they shall submit the proof of
ownership/lease agreement along with a letter of authorisation from such
partner.
5. The proposed drone pilots should be trained as per rules and regulations
specified by the Ministry of Civil Aviation and DGCA and shall carry a valid

Remote Pilot Certificate from a DGCA approved RPTO. The bidder shall
submit the list of drone pilots and the pilots under training as part of bid.
6. The bidder shall bid for a minimum of 1 lot of 5 drone UINs and a
maximum of unlimited lots.
7. Bidder or Drone Manufacturer should not be blacklisted on GeM Portal & Any
other E- Procurement Portal. Bidders shall not be under
Ban/Blacklisting/Debarment for corrupt and fraudulent practices or for lack in
performance by any Government/Semi-Government entity, as stipulated in
Clause 48 /Section II (GIB). All bidders should provide an UNDERTAKING to
this effect in their “Contract Form‟ (Section IX), submitted as part of their
Techno-Commercial (Unpriced) Bid.

5.0 Submission of Bids


I. Technical Bid:
Technical Bids includes following:
a) EMD : Demand Draft towards the payment of interest free Earnest Money
Deposit (EMD) of Rs. 1,00,000/- (Rs. One Lac only).
The Demand Draft towards the payment of EMD shall be drawn on any
Nationalized Bank payable at Bharuch in favour of ‘Gujarat Narmada Valley
Fertilizers & Chemicals Limited’.
b) Self-attested copy of GST Registration Number (In case bidder does not
have a GST Registration, a declaration on letter head may be uploaded and
original may be sent by courier)
c) Self-attested copy of PAN Card
d) 'GST Annexure - IV' (As per attachment) duly signed and stamped by bidder,
as a prior undertaking.
e) Details of Tenderers as part of Technical Bid as per Annexure - II

II. Price Bid:


a) Price Bid is to be submitted in the format as per Annexure - III

Interested parties may submit the Bids (Technical & Price) in Sealed Envelope
super scripted with words “Hiring of Kishan Drones & drone pilots” and to be sent to
following address by 05/11/2023.

6.0 Earnest Money Deposit (EMD):

As a condition for the consideration of the tender, requested to submit the EMD of
Rs. 1,00,000/- through Demand Draft of any Scheduled Commercialized Bank
only, in favour of “Gujarat Narmada Valley Fertilizers & Chemicals Limited”,
payable at BHARUCH.

No interest shall be payable on the Earnest Money Deposit. DD towards Earnest


Money of the unsuccessful tenderers shall be returned after the award of work to
the successful bidder. EMD of successful tenderer shall be kept as Security
Deposit till the work is completed.

7.0 Allocation of Job

The total quantity of the drone is mentioned as per scope of work (Sr No 2) is only
indicative and Company reserves right of increasing/decreasing the quantity. The
work shall be awarded to bidder arriving at L1 rates. Further, the Company
reserves the right to get the jobs under the contract, in full or in part, done through
other sources, if so desired, during the period of the contract. The parties given
the contract shall have to go for trial/dry run. Upon successful dry run, the
award of contract shall be done. The Company shall have the sole right and
discretion to decide on the manner of allocation of work to any contract or which
shall essentially be based on the performance, workmanship and timely execution
of assigned job.

You shall not sublet the work assigned to you under this contract to any sub-
contractor.

8.0 Submission of Proof and execution of Order

You shall have to undertake the job, exactly as per the specifications given. No
deviations of these specifications shall be allowed. Further the final date of
completion would be as per schedule given by us from time to time.

9.0 Substitution and wrong supply

In case, if the work is not done as per our requirement, as per specifications and
found incorrect, the company reserves its right to reject/hold payment of job. If it
comes to notice that the quality of items does not match with that of the
specifications, the Company also reserves right to reject the contract.

In the event of partial or total rejection of the drones/pilots, GNFC shall be entitled
to get the job done through any other source at your risk and cost. However,
GNFC reserves its right to accept such drones at reduced rates, if so
desired.

10.0 Acceptance of the Material

Acceptance of the items shall be subject to certification with regard to the quality
and quantity of items & Work Completion Certification by the Marketing
Department of GNFC. Deviations from specified quality of items as mentioned in
specifications of final items, shall result in rejection of the items and no
compensation shall be payable in such cases.

11.0 Payment

On carrying out the job as per required specifications, we shall release payment as
per the agreed rates and as per the submission of invoices/bills. Company reserves
the right to make payments only after completion of entire job as awarded. You will
have to Submit two copies of invoices in favour of GNFC/GSFC as per work orders
issued.

Invoices to be submitted on fortnightly basis for completed work during respective


fortnight and Payment against these invoices shall be released by e-payment on
15th day from the date of receipt and acceptance of the Invoice/bill at Corporate
Office Bharuch.

12.0 Security Deposit:

The Earnest Money Deposited by the successful tenderer shall be retained


towards Security Deposit for fulfilment of the Contract as provided hereunder but
shall be forfeited if the successful tenderer denied taking over the job. The Security
Deposit shall not bear any interest and will be refundable on satisfactory
completion of the work in terms of the Contract and only after payment of the final
bill and any amount outstanding against you shall be recoverable from the Security
Deposit.

13.0 Penalty for delay in execution of jobs

In the cases where orders/jobs are not executed within the time limit specified or as
per our requirement, penalty equivalent to half percentage of the total value of the
job shall be levied for every day delay, subject to a maximum five percentage and
the same shall be recovered from your invoices. In case if the work is not executed
within the specified period and as per our requirement, the Company also reserves
the right to get the work done elsewhere at the cost and risk of the contractor
without prejudice to our right to claim damages for the breach of contract. The
Company shall have the right to deduct penalty amounts from the bills /Security
Deposit of the contractor. The right to levy / recover the amount and nature of
penalty from the party will rest with the Officer in charge, whose decision will be
final and binding to the party.

14.0 Termination of Contract

GNFC/GSFC reserve the right to discontinue the contract with immediate effect in
the event of unsatisfactory performance by the vendor without assigning reasons
or compensation. SD shall also be forfeited in such cases. The contract may also
be terminated in case of no further requirement of the job and in such cases
security deposits shall not be forfeited.

RESOLUTION OF DISPUTES:

• All disputes or difference(s) whatsoever which shall at any time arise


between the parties hereto touching or concerning the works or the
execution or maintenance thereof of this Agreement/ Contract/ Work
Order/ Purchase Order/ Service Order or the rights touching or
concerning the works or the execution or maintenance thereof of this
Agreement/ Contract/ Work Order/ Purchase Order/ Service Order, of
the construction meaning operation or effect thereof or to the rights,
liabilities of the parties or arising out of or in relation thereto whether
during or after completion of the Agreement/ Contract/ Work Order/
Purchase Order/ Service Order or whether before or after
determination, foreclosure or breach of the Agreement/ Contract/ Work
Order/ Purchase Order/ Service Order, shall be referred by the
disputing Party, in writing to the other Party, within 30 days of
occurrence of such event, to resolve any such dispute or difference.

• If such dispute mentioned above is not resolved amicably by direct


informal negotiation, within a period of 30 days, then such dispute/
difference shall be referred to the Additional General Manager of the
concerned department of GNFC, who shall give decision within 60 days
of the reference of the dispute.

• If the Additional General Manager fails to deliver decision within


prescribed time period or either Party is dissatisfied with the decision,
the dispute shall then be referred to the Managing Director, who shall
give decision within 90 days of the reference of dispute. The decision so
given shall be acceptable unconditionally to both the parties.

ARBITRATION:

• For the purposes of this Arbitration Clause, the Managing Director,


Gujarat Narmada Valley Fertilizers and Chemicals Ltd. shall be the
Appointing Authority.

• If any Party serves an Arbitration Notice in respect of any dispute to the


Appointing Authority, the dispute shall be finally settled by arbitration
under the Indian Arbitration and Conciliation Act, 1996 (Act) and all
statutory amendments, modifications thereof and the rules made there
under, or any other corresponding law for the time being in force, by the
Sole Arbitrator to be appointed as hereinafter provided.

• Within 30 days of receipt of Arbitration Notice, the Appointing Authority
shall appoint the Sole Arbitrator, who shall be a retired employee of
GNFC, not below the rank of General Manager and who shall be
qualified to be appointed as an Arbitrator under the law in force at the
relevant time.

• The provisions of the Indian Arbitration Act, 1996 and all statutory
enactments and modifications thereof and the rules made there under
shall apply to all such arbitrations.

• The Arbitration proceedings shall be conducted in English and the


venue and seat of the Arbitration proceedings shall be at Bharuch and the
Courts at Bharuch shall have exclusive jurisdiction.

• The governing substantive law shall be Indian laws.

The bidders are advised to sign all the pages of this ‘Terms & Conditions’
document as a token of acceptance of all the terms & conditions and to be
sent to above mentioned address of Bharuch.
