Subject: Acknowledgement of US Export controls and sanction laws related to Xinjian Production and Construction
Corporation (“XPCC “) and Xinjiang Uyghur Autonomous Region (XUAR)

Dear Valued Supplier/ Vendor,


CFL Enterprise Ltd. is committed to complying with United States ("U.S.") laws and ensuring that all manufacturing
done on behalf of our Customers are carried out in a legal and ethical manner. As you know, the CFL Vendor Agreement
enquires all vendors to comply with all applicable laws and regulations as well as the CFL Enterprise Code of Conduct.
In 2016, the U.S. government enacted the Trade Facilitation and Trade Enforcement Act. This law prohibits the
importation of goods made with forced, indentured or convict labor. In addition to U.S. legal requirements, the CFL
Enterprise Code of Conduct specifically states that no forced labor shall be used in the production of goods.
Recently U.S. Customs and Border protection issued a Withhold Release Order barring the importation of goods
produced in, or with raw materials from, China’s Xinjiang Uyghur Autonomous Region (XUAR). Businesses operating
in this region have been accused of cultivating and producing raw materials through forced/prison/child labor. As
such, use of cotton or fabric raw materials grown or made in this region may violate the CFL Enterprise Code of Conduct
and is thus strictly prohibited.
In order to continue working with CFL Enterprise Ltd, we are requiring all Suppliers / Vendors to confirm the following
information by signing and returning this acknowledgement:
1. Confirm your understanding of the CFL Enterprise Ltd. requirements above.
2. Confirm that your organization will not utilize operations or materials in or from China’s XinjiangUyghur
Autonomous Region in the production of CFL Enterprise goods.
3. Confirm your organization has processes and procedures in place to ensure compliance with the
requirements set forth in this agreement.
