AUXILIARY ITEM LEASE AGREEMENT

KNOW ALL MEN BY THESE PRESENTS:

This Lease Agreement made and executed by and between:

FIRMWALL SYSTEM INC., a Corporation duly organized and existing under Philippine laws with
address at 2063 Nuestra Señora Guadalupe, Nuevo Makati City, represented by DAEWIN MAMAUAG
PAMITTAN, hereinafter referred to as the “LESSOR”; and ELAINE LAZARO, Filipino, of legal age,
and of legal age hereinafter referred to as the “LESSEE”; may be individually referred to herein as a
“Party” or collectively as the “Parties.”

Section 1: LEASED AUXILIARY ITEM


LESSOR does hereby award LESSEE the REFRIGERATOR from February 12, 2024 to March 12, 2024
(the “Lease Term”).

Section 2: DURATION
The Agreement shall be effective for a period of ONE MONTH (1), from February 12, 2024 to March 12,
2024 (the “Lease Term”).

Section 3: RENTALS
The monthly rental for the Leased Auxiliary Item shall be ₱600.00 to be paid every 1st of the month.

Payments shall be made by check payable to the LESSOR. Should the LESSEE issue Post-dated Checks,
the LESSEE must date each and every instrument on or before the __day of every month (the “due date”),
which checks must be fully funded on or before the due date.

Towards this end, the LESSEE warrants that Check No. __________, _____________, ____________
and ______________ are from ______________ with account number _______________ and signed by
________________. Further, the LESSEE shall submit government issued IDs of the signatories.

Alternatively, rentals may be settled through bank transfer as follows:

The LESSEE shall be provided a five (5)-day grace period from the due date within which to settle the
monthly rentals, subject to one hundred pesos (Php 100.00) late payment fees per day. Failure to settle the
payment after the grace period shall be a ground for the termination of this Agreement unless otherwise
agreed by the parties.

Section 4: REPAIRS AND MAINTENANCE


The LESSEE shall, at his/her own expense, maintain the Leased Auxiliary Item in good order and
condition. Save for extraordinary repairs, all ordinary repairs that may arise from the daily use of the
Leased Auxiliary Item shall be chargeable to the LESSEE. The corresponding fees, as provided under
Annex C of the principal lease contract, shall be settled within five (5) days from the issuance of a written
notice by the LESSOR.

The LESSEE shall report to the LESSOR any damages to the Leased Auxiliary Item through the Tenant
Services Form (TSF) within 24 hours.

Section 5: IMPROVEMENT OR ALTERATION


The LESSEE shall NOT make improvements and/or alterations in the Leased Auxiliary Item. Any form
of alteration is strictly prohibited. Any and all damages resulting from such improvements and/or
alterations shall be borne by the LESSEE, including any cost of repairs.

Section 6: FORCE MAJEURE


Neither party shall be liable to the other for damages, loss, injury, or failure to perform or deliver due to
fortuitous events or acts of God such as typhoons, earthquake, flood, riots, etc., which are beyond
reasonable control.

Section 7: RULES AND REGULATIONS


The LESSEE shall comply with any and all the rules and safety regulations which have been issued or
may be issued from time to time by the LESSOR for the administration and use of the Leased Auxiliary
Item. The LESSEE understands that compliance with such rules is a prerequisite to the continued
enjoyment and possession of the Leased Auxiliary Item.

Section 8: TERMINATION
Should the LESSEE breach any provision, the LESSOR may terminate the Agreement by mere written
notice of fifteen (15) days and without the need of court order or litigation. Upon such termination, the
LESSEE expressly agrees to return possession of the same unto the LESSOR.

Notwithstanding the immediately preceding paragraphs, the LESSOR may pre-terminate this Agreement
at any time, subject to prior consent of the LESSEE, which consent shall not be unreasonably withheld.
All payments made by the LESSEE (if any) shall be returned by the LESSOR (less damages, fines, and/or
penalty charges on account of the LESSEE’s violation of any provision of this Agreement) without
interest.

This Agreement shall also be deemed terminated upon the termination of the principal Contract of Lease
between the parties
Section 9: AMENDMENTS TO THE AGREEMENT
This Agreement may not be modified, amended, added to, or otherwise varied except by a document in
writing signed by each of the Parties.

Section 10: GOVERNING LAW AND REGULATION


This Agreement shall be governed by, and construed, and interpreted in accordance with, the laws of the
Republic of the Philippines. In the event of any dispute arising from this Agreement, the Parties undertake
to resolve such dispute amicably and in good faith. In the event of any unresolved dispute between the
Parties, the venue for such unresolved disputes shall be the relevant courts of Makati City, to the
exclusion of all other courts elsewhere situated.

IN WITNESS WHEREOF, the Parties have hereunto signed this Agreement on the date and at the place
above written.
