Professional Services Contract

Hereinafter and when referred to jointly, THE PARTIES , enter into this Professional Services Contract, based on
the following CONSIDERATIONS and AGREEMENTS:

FIRST (THE MUSICIAN/THE MUSICIANS) It is a group that is dedicated to the professional performance

promotions, media and live presentations; consisting of ____ members.

SECOND THE OWNER is a company that owns all the operating licenses of a bar of the same name; that
seeks to provide its end clients with original, welcoming entertainment and with the proper
General EL organization of live performances by national and international musicians, of all genres; as well as
DUEÑO/BAR artistic expressions of all kinds.
"Customer"
THIRD EL MUSICO /LOS MUSICOS owns the Administrative Rights of the musical band called

ONE JAM ________________________ of music ___________________________________, as well as EL

MUSICO /LOS MUSICOS also maintains (an) original musical production(s), of its own authorship.

ROOM EL MUSICO /LOS MUSICOS offers the following services for the participation

Services of__________________ on the ____________ day of ___________________, 2014 starting at

(_________) pm. Tentative start time and for approximately ___________________:

a) Presentation of the Musical Group uninterrupted, except for a break of _______________

minutes maximum.
b) The performance at that time of ____________ THE MUSICIAN / THE MUSICIANS will
perform various musical themes.
c) The Musical Themes and execution will be in charge of THE MUSICIAN/THE MUSICIANS at
all times at the agreed time or at the time agreed upon verbally on the date of the event.

FIFTH THE OWNER contracts the services of THE MUSICIAN / THE MUSICIANS and the latter in turn

musical group's presentation has concluded or FIVE (5) WORKING days after the event has ended.

s To guarantee the previously stipulated price THE OWNER /BAR undertakes the following:
THE BAR
OWNER
a) Pay the AGREED PRICE, on the same day of the event or on the agreed date.
b) EL DUEÑOPANAMA recognizes that EL MUSICO /LOS MUSICOS is the owner of all images,
photographs and general coverage of the event on the designated day, for dissemination
both in the media, EL DUEÑOPANAMA web or Facebook pages and on the social networks
that decided to use THE MUSICIAN/THE MUSICIANS. As well as all rights to images that
may be used to promote other future events.
c) THE OWNERPANAMA guarantees that the total box office for the sale of tickets at a price
of __________________ DOLLARS WITH 00/100 ($0.00) corresponds to THE
MUSICIAN/THE MUSICIANS in a ________________- percent (_________%).
d) THE MUSICIAN / THE MUSICIANS is not responsible for the interruption of service due to
power outages, force majeure or suspension of activity by order of a competent authority
or the occurrence of an accident.
e) EL DUEÑOPANAMA will allow the placement of a table with phonograms (CDs) of national
artists for sale, without EL DUEÑOBAR being responsible for their custody or collection.
This product table should be subtle and located at the entrance, in a place that does not
disturb the customers attending the bar.
f) THE OWNERPANAMA will grant THE MUSICIAN /THE MUSICIANS the necessary audio
equipment for the presentation and performance of THE MUSICIAN /THE MUSICIANS as
musicals, with a minimum of requirements that will be listed in an Annex signed by both
parties.
g) In the event that the event cannot be carried out for reasons beyond the responsibility of
THE MUSICO /LOS MUSICOS or the hired music band, THE MUSICO /LOS MUSICOS will
have the right to receive, as damages, the amount equivalent to TWENTY-FIVE PERCENT
(25%) of the sum agreed upon for event cancellation or extension during the week
following the failed event.

Both PARTIES agree that good faith prevails within this contract and that anything that has not

been addressed within it must be communicated prior to the provision of the service to make the

Both parties accept the terms of this Contract and the fact that a part of it is considered
inaccurate or annulled by a competent authority does not entail the nullity of the rest of the
clauses that remain in force. The fact that one of the parties allows the occasional non-
compliance of the other party should not be interpreted as a waiver of the rights to demand
compliance through negotiated or legal means.

This Contract is governed by the laws of the Republic of Panama and for proof, two originals of
the same tenor and content are signed.
