The payment will be released by PRD or its authorized representative on the basis of submission of the material inspection report to be done by representatives * BREDA & PRD, Govt. of Bihar and Dispatch Instruction (DI) issued by BREDA. b) Commissioning Payment: -Forty (40) percent of the particular work order value against submited invoiee on issuance of satisfactory Joint Inspecton-Cum-Commissioning Repost JICR) Format-12 along with work completion cum performance report (Format 10) by representatives of BREDA & PRD or th authorized representative ©) Payment of commissioning shall be made after deduction of delay penalties (Liquidated Damages) if * as applicable in line with Eol terms & conditions, 4) Comprehensive Maintenance Contract Payment: - Balance Thirty (30) pereent ofthe work order value shall be paid in 10 half yearly installments (.e. 3% half yearly in the eyele month of October and Apri towards Comprehensive Maintenance Contract against submitted invoice on (a) Routine Maintenmce feport certified by representatives of BREDA and (b) Performance Report to be preferably generated from an automated Remote monitoring system (as por prescribed format) of the installed Solar Stret Light Systems to be submitted by the executing agency. 6), Payment of CMC shall be made on pro-rata basis towards the numberof solar treet light systems working satisfactorily (ie, iFupto 97.99% of the systems of the particular work order is ettfied tobe in satisfactony working condition, then 97.99% of the CMC payment shall be done). However, if 98% of the system is certified to be in satisfactory working condition, then 100% of the CMC payment shall be done (.e. ir 98% factory working condition, then 100% of the systems of the particular work order is certified to be in satis of the CMC payment shall be done). ) Payment of CMC shall be made after deduction of delay penalties (Liquidated Damages) if any, as applicable in line with Eol terms & conditions. Article - 9.0 — Penalty/ Liquidated Damages @ Delay in Commissioning: The delivery of the material in time is the essence of the contract and for ensuring the commissioning of alloted SSLS works within 6 months (180 days) which is guaranteed under this penalty clause. Incase, the éxecuting agency fails to complete the alloted work within the time period specified inthis Eol / Contract / Work Order the penalty clause shall be imposed. The usual term of penalty is at the rate of 2% of the Contract, Price per month of delay, subject to maximum upto 10% of the Contract Price unless Extension of Time (EoT) is allowed by PRD or its authorized representative, Once the maximum penalty reaches, PRD or its authorized representative may consider for termination of the work order of such works and further necessaryaction as deemed fit may be initiated. For the purpose of calculation, one month means a period of 30 calendar days i) Delay in CMC: ‘The CMC obligations under this contract is the essence for ensuring the proper functioning of the ——— Ss, = Clause. In ease, the executing agency fails to cary out the obligations of the CMC within the time perie) specified in this Eo / Contract the penalty clause shall be imposed. Article* 10.0 ~ Service Centre 1) The scope of work also includes mandatory opening of Service Center in the bidder's name at relevan locations in concerned distievs through which servicing and maintenance should be provided as stipulated in Bid document. The maintenance shall include detailed testing for fault identification & its rectification shal include replacement! repair of any damaged parts to restore the system in working condition. Apart from this, any complaint registered/ service calls received /IVRS / faults notified inthe report generated by the RMS any other legal means should be attended and rectified within 72 hours, b) The executing agency shall be required to establish at east one Service Centre in each distrit with aueq manpower and at least two mobile number with WhatsApp for registering the complaints and its redressal nn sufficient numbers of critical components (Spares & Consumables) should be available. ¢)_ The service centers are required to maintain a service log book for complains redressal of the beneficiary per the format attached. Article - 11.0 ~ Transfer of Ownership + The Ownership of the Solar Street Light System and Equipment shall be transferred in working condition to BRD or its authorized representative, when Comprehensive Maintenance Contract (CMC) is complete successfully of the commissioned Solar Street Light System on the Site. Article - 12.0 - Arbitration and Jurisdiction * Any dispute between the PRD or its authorized representative and Executing Agency arising out of this Contract will first be resolved amicably between the both Parties, In such eases where dispute is not resolved between the Parties, then the Parties may mutually agree to appoint an arbitrator under the provisions a Arbitration and Conciliation Act, 1996. © Any disputes arising shall be subject to the jurisdiction of the High Court of Pat + Whenever required BREDA shall provide assisiance in arbitration with respect to interpretaion of the EOL clauses, + The provisions relating to Arbitration and Jurisdiction are specified in Bol document, In ease of any- conflict amongst Contract Agreement Documents, the decision of the PRD or its authorized representative shall be final & biding on the Executing Agency.
