PARTNERSHIP AGREEMENT

DIGITAL MARKETING EXECUTIVE

THIS PARTNERSHIP AGREEMENT shall commence on _____ (day) of __________ 2024.


BETWEEN ARIFF HUSNI BIN KAMAL (NRIC: 960626-43-5283) a REAL ESTATE
NEGOTIATOR registered with the Board of Valuers, Appraisers, Estate Agents and Property
Managers (BOVAEP) incorporated in Malaysia (hereinafter referred to as “the Company or
ARIFF HUSNI BIN KAMAL (NRIC: 960626-43-5283)) of the one part;
AND
MUHAMMAD DANISH ZIKRY BIN MOHD SHAHRULNIZAM (NRIC: 001222-10-0803), an
individual of Lot 155, Lorong 3, kg. Sungai Kandis, Seksyen 36 Shah Alam, 40460 Selangor
(hereinafter referred to as “the DIGITAL MARKETING EXECUTIVE”) of the other part. Agreeing
to this partnership will result in the DIGITAL MARKETING EXECUTIVE to provide Marketing
Tool Development, Semi-Professional Photography, Video Content Creation, Website Design,
Social Media Management services or any other professional services at the request of the
Company.

IT IS HEREBY AGREED AS FOLLOWS:-

1. PROFESSIONAL FEES (SALES)


a) The professional fees chargeable by the DIGITAL MARKETING EXECUTIVE shall be as per
agreement with the Company. When the DIGITAL MARKETING EXECUTIVE collects any fee
for services rendered from a successful sales conversion made by the Company, the Company
shall pay a prescribed professional fee from a maximum amount of 10% per sale to the
DIGITAL MARKETING EXECUTIVE based on the nett sales commission collected by the
Company (after deducting any unpaid service tax and/or referral fees) for services rendered by
the DIGITAL MARKETING EXECUTIVE or a minimum amount of RM2,000 (two thousand
Ringgit) per sale. In the event of a dispute over the payment of commission, the Company shall
arbitrate and decide on the quantum and the decision of the Company shall be final.
b) In the event of the Company failing to generate any sales in a year due to inactivity, then the
Company will automatically be subjected to pay the DIGITAL MARKETING EXECUTIVE a
professional fee amount of RM15,000 as compensation for that year.
c) In the event of the DIGITAL MARKETING EXECUTIVE resigning or terminated during the
process of a sales conversion, whilst having completed his/her duties throughout the case prior
to termination or resignation, then the Company will be compiled to compensate the DIGITAL
MARKETING EXECUTIVE a professional fee amount of 80% per successful case.
2. EXPENSES
a) The Company shall be liable by the DIGITAL MARKETING EXECUTIVE for any expenses
incurred by him/her or for any of his/her acts during the course of executing the role of DIGITAL
MARKETING EXECUTIVE for and behalf of the Company.
b) Travelling expenses will be disclosed and agreed upon beforehand between the
Company & the DIGITAL MARKETING EXECUTIVE prior to the execution & departure.

3. WORKING HOURS
a) The DIGITAL MARKETING EXECUTIVE is expected to perform his/her duties full-time in
service to the Company and is required to work at least 45 hours a week, encompassing a total
of 5 working days in a week. The standardized working days would be Monday, Tuesday,
Wednesday, Thursday and Friday.
b) The DIGITAL MARKETING EXECUTIVE may also be required to work on Saturdays and
Sundays (given that the working hours of the DIGITAL MARKETING EXECUTIVE has not
exceeded 45 hours a week in accordance to the Employment (Amendment) Act 2022) in
case of emergencies.
c) The DIGITAL MARKETING EXECUTIVE may request/plead with the Company to have
his/her service be pardoned early despite not having fulfilled the 45 working hours per week
quota. The agreement however, is subjected to the Company’s approval.
d) Any additional working hours extended by the will of the DIGITAL MARKETING
EXECUTIVE to or for the Company shall be taken into the DIGITAL MARKETING EXECUTIVE
account alone and the Company shall not take responsibility of the extended hours committed
by the DIGITAL MARKETING EXECUTIVE.

4. AUTOMOBILE
a) The DIGITAL MARKETING EXECUTIVE in his/her course of work is expected to use his/her
own automobile in the performance of this agreement and any expenses incurred in the use of
the said automobile shall be at the sole expense of the DIGITAL MARKETING EXECUTIVE.

5. TERMINATION / RESIGNATION
a) The Company may terminate the services of DIGITAL MARKETING EXECUTIVE by
providing a 24 hours’ notice in writing if satisfied that the DIGITAL MARKETING EXECUTIVE
is guilty of misconduct or of conduct detrimental to the Company or having committed any
offence or breached the contract of this PARTNERSHIP AGREEMENT.
b) The Company may terminate the services of the DIGITAL MARKETING EXECUTIVE by
giving one (1) months’ notice in writing in the event Clause 6 have not been achieved by the
DIGITAL MARKETING EXECUTIVE.
c) In the event either party wishes to terminate this contract for service, either party shall be
required to give one (1) months’ notice to terminate in writing to the other. The DIGITAL
MARKETING EXECUTIVE shall hand over his/her necessary documents created & developed
during his/her period of service upon leaving the Company.
d) Upon the effective date of such termination or resignation, the DIGITAL MARKETING
EXECUTIVE shall not make any representation whatsoever that he/she is a representative of
the Company and shall discontinue the use of all trademarks, service marks, designs, logos,
and business methods of the Company.
e) All equipment(s), supplies and reference materials bought by the Company are considered
the Company’s property. As a result, all equipment(s), supplies and reference materials
belonging to the Company must be immediately returned to the Company and the DIGITAL
MARKETING EXECUTIVE shall not use to his/her own advantage or to the advantage of any
other person or corporation any information gained from the files or business of the Company.

6. CONFIDENTIAL RECORDS
All the records of the Company shall be treated as confidential information including the names
and addresses of the Company’s clients, will and shall remain the property of the Company at
all times during the continuance of this contract and after resignation/termination thereof.
Neither such records nor any part of them are to be removed by the DIGITAL MARKETING
EXECUTIVE from the premises of the Company either in its original form or in duplicated or
photocopied form and other information in such records are not to be transmitted verbally or in
writing by the DIGITAL MARKETING EXECUTIVE except in the ordinary course of conducting
business for the Company. All of the said records or any part of them are the property of the
Company and shall be treated by the DIGITAL MARKETING EXECUTIVE as confidential
information of the Company.

7. DUTIES & RESPONSIBILITIES

a) Marketing Tool Development (Image/Video Templates)

I. The DIGITAL MARKETING EXECUTIVE is responsible for developing advertising image


templates for the Company (at least 4 per assigned property).
II. The DIGITAL MARKETING EXECUTIVE is responsible for developing property
marketing video templates for the Company (2 per assigned property).
III. The DIGITAL MARKETING EXECUTIVE is responsible for designing daily (Monday /
Tuesday / Wednesday / Thursday / Friday/ Saturday / Sunday) motivational or
greeting quote templates for Instagram/Facebook/Tiktok/Whatsapp stories. (At least 5
templates for each day).
IV. The DIGITAL MARKETING EXECUTIVE is responsible for designing a ‘Happy
Weekend’ motivational story template for weekly postings (at least 5 templates).
V. The DIGITAL MARKETING EXECUTIVE is responsible for designing yearly religious &
national celebratory images (at least 1 template per event).
VI. Liaise with ARIFF HUSNI BIN KAMAL (NRIC: 960626-43-5283) to ensure alignment in
marketing tools development.

b) Semi-Professional Photography (Portrait & Projects)

I. Liaise with ARIFF HUSNI BIN KAMAL (NRIC: 960626-43-5283) prior to professional
photo-shoots.
II. The DIGITAL MARKETING EXECUTIVE is responsible for capturing professional photos
of assigned projects & landscape digital marketing purposes.
III. The DIGITAL MARKETING EXECUTIVE is responsible for conducting professional
photo-shoots of key-areas such as city views, attraction points and other places of
interest in correlation to the assigned project for digital marketing purposes.

c) Video Content Creation (Editing Included)


I. Be present on site during working hours for property video shoots.
II. Be present on site during working hours for educational video content production.
III. Liaise with ARIFF HUSNI BIN KAMAL (NRIC: 960626-43-5283) to ensure goal and
production alignment.
IV. The DIGITAL MARKETING EXECUTIVE is responsible for editing recorded videos
related to work professionally to submit to ARIFF HUSNI BIN KAMAL (NRIC: 960626-
43-5283) for weekly social media postings.

d) Website Design (Logos & Banners)


I. The DIGITAL MARKETING EXECUTIVE is responsible for developing & designing a
professional website that promotes ARIFF HUSNI BIN KAMAL (NRIC: 960626-43-5283)
services as a Real Estate Negotiator.
II. The DIGITAL MARKETING EXECUTIVE is responsible for creating a professional
branding logo to be used for the official website and other social media platforms.
III. Liaise with ARIFF HUSNI BIN KAMAL (NRIC: 960626-43-5283) to ensure accurate and
effective productivity in professional branding.
IV. The DIGITAL MARKETING EXECUTIVE is responsible for developing & designing
banners or other branding products that correlate with web graphic designs.

e) Social Media Management


I. Manage Instagram business page daily story postings effectively.
II. Manage Tiktok business account daily story postings effectively.
f) Miscellaneous
I. Work closely & on site with ARIFF HUSNI BIN KAMAL (NRIC: 960626-43-5283)
especially during production hours.
II. Work extended hours for video production if necessary.
III. Travel interstate & intercity alongside ARIFF HUSNI BIN KAMAL (NRIC: 960626-43-
5283) for video production or photoshoot purposes if necessary (expenses will be
discussed and agreed upon both parties beforehand prior to departure).
IV. The DIGITAL MARKETING EXECUTIVE is required to be present on site with the
Company during viewing appointments if deemed necessary.
V. The DIGITAL MARKETING EXECUTIVE is required to work even on the weekends
subjected to the request of the Company in case of emergencies.
VI. All equipment(s) and items belonging to the Company that are entrusted to the DIGITAL
MARKETING EXECUTIVE are to be handled and managed with care. Any damages
done to the equipment(s) and items or loss of said items shall be replaced with new
ones that are of the same brand as the damaged/lost ones at the expense of the
DIGITAL MARKETING EXECUTIVE.

8. DIGITAL MARKETING EXECUTIVE’S COVENANT:


The DIGITAL MARKETING EXECUTIVE covenants as follows:-
a) To familiarize himself/herself with the duties and responsibilities of a professional digital
marketing executive.
b) To comply with all statutory requirements in respect of this practice;
c) To conduct his/her services in a professional manner;
d) Not to do any act or use any language which may bring any individual, or the Company into
dispute;
e) Not to make any statements or do any act which is a misrepresentation or misleading or
contrary to the terms of any transaction between the DIGITAL MARKETING EXECUTIVE and
the Company to anyone else;
f) To carry out the responsibility of designing, developing, video recording, photo-shooting,
developing websites, and other duties stated in Clause 7.
g) To hand in all assigned projects or marketing tools to the Company and to give the Company
a daily/weekly report/update of the project.
h) To develop and maintain good rapport with the Company’s clients should the opportunity
presents itself.
i) To meet the minimum requirements of the Company KPIs (agreement will be discussed and
disclosed between the DIGITAL MARKETING EXECUTIVE and the Company) as set out;
This PARTNERSHIP AGREEMENT shall supersede any previous agreement(s) and or
agreements between the undersigned DIGITAL MARKETING EXECUTIVE and the Company
and shall be binding forthwith on both parties.

IN WITNESS WHEREOF the parties hereto have hereonto set their hands on the day and year
first above written.
