GENERAL CONDITIONS AND TECHNICAL SPECIFICATIONS

GENERAL CONDITIONS
1. INTRODUCTION
THE SERVICE will be executed in accordance with the terms and conditions provided in the bidding
document and specifications. PDVSA and THE CONTRACTOR will work together to guarantee the

availability and continuity in THE SERVICE: PROPOSAL FOR THE REPAIR OF 500
ROTATION HEADS OF DIFFERENT BRANDS FOR WELLS IN THE ORINOCO
HUGO CHÁVEZ OIL BELT WITH THE OBJECTIVE OF INCREASE CRUDE OIL
PRODUCTION , SUITABLE FOR THE EXPORT MARKET . Along with the presentation of
its offer, THE CONTRACTOR must provide the unit price analysis of the items to be executed, indicating
the costs for labor, materials, equipment, administrative expenses and profits.

2. AIM
The purpose of this specification is to define the scope and guidelines of work corresponding to the
REPAIR OF ROTATIONAL HEADS , to achieve optimal quality work, during the predetermined
execution time, through work practices that have added value to the current objectives of PDVSA.

3. SCOPE AND DESCRIPTION OF WORK


The scope of the ROTATIONAL HEAD REPAIR works, through the supply, manufacturing and repair of
parts and components, will be subject to, without being limited to, what is described below:

Supply of parts and/or equipment necessary to guarantee the operational continuity of 500 rotational
heads of different brands, including if necessary the total or partial repair of the electric motors
associated with this equipment. The parts and/or equipment to be supplied must be accompanied by the
quality certificate as well as the dimensional specifications, tolerances and type of material used in the
manufacture of parts, if applicable. These specifications will be supplied by the representative of PDVSA
PETRÓLEO SA ., and may be accompanied by a sample or drawing of the piece. It is important to
highlight that before being accepted, the pieces must be approved by the representative of PDVSA
PETRÓLEO SA .

The disassembly, initial evaluation, repair and assembly of the rotational heads will be the responsibility

of PDVSA PETRÓLEO SA and THE CONTRACTOR according to the instructions of the PDVSA
REPRESENTATIVE, and will be carried out at the facilities of the Morichal District, San Tome District or
another PDVSA facility when corresponds to it, and in the contractor's facilities when appropriate
according to the instructions of the PDVSA REPRESENTATIVE.

The maintenance, evaluation, and repair of the equipment carried out in the CONTATISTA workshops
must be carried out in accordance with the procedures mentioned below and according to the
manufacturer's technical specifications and/or specifications issued by the representative of PDVSA
PETRÓLEO SA.

Repairs of electric motors, supplies of parts and/or equipment will be carried out strictly in accordance
with the procedures determined by the related technical manuals for the REPAIR OF ROTATIONAL
HEADS. These standards will be used as guides and THE CONTRACTOR will be responsible for
verifying and determining all the information necessary for the correct execution of the service.

THE COMPANY : Refers to PDVSA, Petroleum , Exploration and Production Business Unit
represented by the Morichal District Maintenance Management, THE CONTRACTOR : Company
participating in the process with which the CONTRACT that will govern between the parties for the
execution of the activities contemplated in these specifications.

COMPANY REPRESENTATIVE : This is the person who, on behalf of THE COMPANY, will give
instructions and make operating agreements with THE CONTRACTOR.

THE WORKS : These are all the activities inherent to these specifications and consist of all the repair
activities that are necessary to carry out.

CONTRACT : It will refer during the bidding process to the specifications of the activities to be executed
and once this process is completed, to the operational, financial and administrative contractual
conditions to be established between the parties, without exempting the parties from compliance with
regulations. , laws and regulations that may be general or specific in nature and that influence the
activities that are the subject of the CONTRACT .

4. EXECUTION TIME
This contract will have a duration of Three Hundred and Sixty-Five (365) days from the signing of the
initiation document. In the event that THE CONTRACTOR determines that it will not comply with the

execution deadline for THE SERVICE established by PDVSA, due to fully justified causes and/or force
majeure; You must submit an extension at least thirty (30) days in advance of the contract termination
date, explaining the causes that caused the delay.

Along with this request, a new work program (mandatory) must be attached in which the rescheduling of
the activities pending on that date is indicated so that THE SERVICE can be completed within the new
planned period.

5. SERVICE LOCATION
The repair and/or manufacturing work will be carried out in the Venezuela Workshops of the Carabobo
and/or Ayacucho Division as well as in the workshops of THE CONTRACTOR. It is the responsibility of
THE CONTRACTOR to supply the necessary spare parts to be used and installed in the head
equipment repaired by PDVSA's own personnel.

THE CONTRACTOR must have Facilities and Workshops that ensure the provision of the services
object of the CONTRACT with all the resources (technology, equipment, labor, materials, spare parts,
among others), that allow it to provide an efficient and timely response during the execution of this.

6. SERVICE REQUEST
All work related to the REPAIR OF ROTATIONAL HEADS will be carried out following a service request
issued solely and exclusively by the Morichal District Maintenance Management, and coordinated with
the Inspectors of said Organization, who will strictly control the quantities of equipment and materials
serviced. used in the service, without forgetting close communication with the CONTRACT
ADMINISTRATOR.

THE CONTRACTOR must not accept work, much less execute work under this contract, coming from
any other PDVSA Organization or subsidiary, without the due authorization of the Maintenance
Management, Morichal District, Carabobo Division. In this sense, the Management of

Maintenance is not responsible for work carried out by THE CONTRACTOR without the respective
approval of the COMPANY REPRESENTATIVE of this Organization, nor will it be responsible for the
expenses generated by work carried out without its prior knowledge and consent.

In those cases in which THE CONTRACTOR executes activities not included in the contract without the

written approval of the COMPANY REPRESENTATIVE , it will be under its own responsibility, leaving
PDVSA exempt from any payment for the work performed.

7. LABOUR
THE CONTRACTOR will provide specialized labor and supervision in its workshops, in accordance with
the demands of the work covered by this CONTRACT and will oblige its personnel to work strictly
following the applicable standards. They must be qualified with a technical degree, familiar with the use
and handling of standards, manuals and manufacturing plans, equipment and measuring and testing
instruments relating to the REPAIR OF ROTATIONAL HEADS.

The personnel who will carry out the work covered by this contract must have proven and certified
experience of at least one (1) year and certification of having received training in the area of REPAIR OF
ROTATIONAL HEADS (certificates of courses taken in the area or similar). or similar activities that
ensure the correct execution of the CONTRACT .

THE CONTRACTOR 'S personnel who carry out any welding work must be duly qualified and have
current certification from a recognized entity (INCE, among others), in accordance with the specifications
of the PDVSA standard No. PI-06-06-01 . It will not be allowed to carry out any type of welding work
when the test is not valid, or even if it is valid it is proven that it has been inactive for six months or more;
In this case you must present new evidence. THE CONTRACTOR must present to the COMPANY
REPRESENTATIVE the annual record of the welder's activities, indicating the latest work performed.

The personnel designated to carry out the inspection work must be duly qualified and certified by the
same company as suitable to carry out these works.

THE CONTRACTOR 's personnel who carry out any non-destructive testing work must be duly qualified
and have current certification, and must have at least level 2 as a non-destructive testing inspector
(ultrasound inspection, penetrating dyes, industrial radiography).

8. PARTICULAR CONDITIONS
8.1. EXECUTION
THE CONTRACTOR must carry out each and every one of the activities framed within this process, with
the greatest speed, diligence and quality, using as many work fronts as necessary.

For the successful execution of this contract, THE CONTRACTOR and THE COMPANY will establish
effective communication channels.

8.2. SERVICE CONTROL


THE CONTRACTOR, in common agreement with THE COMPANY REPRESENTATIVE, must plan the
sequence of activities and maintain strict control of the quantities carried out, which must be quantified in
formats designed according to what is defined between both parties, once THE CONTRACT has begun.

THE CONTRACTOR will deliver to the COMPANY REPRESENTATIVE a report in which all the
aforementioned information is compiled, all for the purpose of discussing and evaluating the status of the
manufacturing progress of the parts.

THE COMPANY REPRESENTATIVE WILL HAVE THE RIGHT TO STOP THE WORK WITHOUT
PRIOR NOTICE IF HE OBSERVES THAT THE CONTRACTOR IS NOT COMPLYING WITH
EVERYTHING REQUIRED HERE TO CONTROL THE ACTIVITY. THE TIME LOST FOR THIS
CONCEPT WILL BE ATTRIBUTABLE TO THE CONTRACTOR.

Upon completion of some of the requested work, THE CONTRACTOR will deliver the final report to the
COMPANY REPRESENTATIVE . This report must have attached all the reports and records that were
generated during the performance of the activity, as well as the quantities executed to compile the
corresponding information. THE COMPANY REPRESENTATIVE must guarantee THE CONTRACTOR
that all reports of services executed will be evaluated and

signed within a period of three (3) business days, and if discrepancies are found, they will be returned to
THE CONTRACTOR , of which the respective minutes will be drawn up, where the date and reason will
be established, for review and discussion, and correction in if necessary.

8.3. SUSPENSION OF WORK


THE COMPANY reserves the right, prior notice to THE CONTRACTOR , to temporarily or permanently
suspend THE WORK referred to in these specifications. In the case of definitive suspensions THE
COMPANY will notify THE CONTRACTOR about this interruption 15 calendar days in advance.

In both cases, the works that are in process will be completed, leaving THECOMPANY committed to
paying the amounts corresponding to their execution.

8.4. ASSESSMENT
THE COMPANY REPRESENTATIVE will evaluate the work carried out by THE CONTRACTOR
according to its performance, as specified in the RNC system administration procedures manual, from
the point of view of:
^Quality
^Delivery Time
^Technical Aspect and Quality
^Support and Management
^SIHO/A Industrial Safety, Occupational Hygiene and Environment
^Industrial Safety
^Impact
^Labor Aspect
^Commitment and Social Responsibility.

8.5. INSTRUCTIONS AND GENERAL CONDITIONS


8.5.1. THE CONTRACTOR must have trained personnel and provide the necessary support to take the
required measurements according to the manufacturer's norms, standards and specifications. It is the
responsibility of THE CONTRACTOR to verify that the measurements obtained must meet the
manufacturer's standards to guarantee the correct execution of THE WORK.

8.5.2. THE CONTRACTOR will execute the service tasks efficiently and within the stipulated period of
time in accordance with the specifications and instructions of this contract. THE CONTRACTOR will be
exclusively responsible for the methodology to be followed in each job and the direction of its workers
will also be exclusively under its charge and responsibility. No person employed by THE CONTRACTOR
will be considered an agent, employee or dependent of THE COMPANY .

8.5.3. It is clearly understood that THE CONTRACTOR will execute minor activities that are not
expressly indicated in these specifications and that implicitly correspond to the correct completion of
THE WORK.

8.5.4. THE CONTRACTOR will allow free access to the work sites at any time to the COMPANY
REPRESENTATIVE or to the Inspectors designated by THE COMPANY . The lack of supervision of any
part of THE WORKS by THE COMPANY REPRESENTATIVE or the latter's absence from the site of
THE WORKS does not release THE CONTRACTOR from its obligation to execute top quality work.

8.5.5. THE COMPANY reserves the right to increase or decrease the amount of contracted work
without there being any right to claims on the part of THE CONTRACTOR.

8.5.6. THE CONTRACTOR is obliged to provide the necessary safety equipment to its workers, as well
as ensure their use while they are in THE COMPANY facilities.

8.5.7. THE CONTRACTOR is obliged to abide by the rules and guidelines of THE COMPANY during
their stay at the facilities.

8.5.8. THE CONTRACTOR undertakes to observe, respect and comply with the legal provisions and
regulations on Industrial Hygiene and Safety; as well as the regulations established by PDVSA in this
regard, in addition to keeping its personnel updated, regarding the safety aspect, work environment or
industrial environment, among others.

8.5.9. THE CONTRACTOR will deliver to THE COMPANY the volume of the work executed according
to agreements with THE COMPANY REPRESENTATIVE .

8.5.10. THE CONTRACTOR will have the responsibility of informing the PDVSA supervisor about any
details that arise during the execution of the work, not provided for in the contract specifications.

8.5.11. THE CONTRACTOR must guarantee that the work carried out meets the quality levels required
by PDVSA and to their complete satisfaction.

8.6. COMPANY SUPERVISION


THE COMPANY will provide the number of Inspectors that it considers necessary to ensure the correct
execution of the activities that are the subject of the CONTRACT, who will supervise that all the
specifications and conditions of the CONTRACT are met, maintaining a direct relationship with the
supervisor(s) of THE CONTRACTOR , to provide the necessary support to operations and with the
intention that the objective set forth in this CONTRACT is fully met.

THE COMPANY REPRESENTATIVE responsible for the inspection may verify at any time the work
related to the contract in question in addition to the traceability of the materials and/or equipment
supplied and/or used by THE CONTRACTOR, as well as compliance with these specifications, in
addition as well as verifying the quality of the service executed according to the established conditions
and specifications, for which THE COMPANY REPRESENTATIVE must carry out inspections of the

physical conditions of the parts and/or equipment at the time of receiving them once the manufacturing
work has been completed. and/or armed.

PDVSA will be responsible for reviewing and verifying that all equipment used for the activities of the
service to be contracted meets the appropriate operating conditions for the execution of the work. In this
regard, THE COMPANY may object to the personnel, equipment or tools that it considers inadequate in
the execution of the contract, without the use of this right implying any additional cost to the established
prices.

9. JOB SPECIFICATIONS
9.1. SPARE PARTS PROCUREMENT TIME
The CONTRACTOR undertakes with THE COMPANY to have those imported materials, equipment
and/or consumables necessary for the REPAIR OF ROTATIONAL HEADS , within a period of no more
than 30 business days.

9.2. WORK PROGRAMS AND PROCEDURES


THE CONTRACTOR must present to the COMPANY REPRESENTATIVE the execution program of the
work to be carried out for approval, where all the activities that will be carried out are observed, this with
the purpose of evaluating and guaranteeing an efficient distribution of time, of the resources and comply
with repairs and/or fabrications in the required time, efficiency and quality required.

9.3. LOGISTICS BY PDVSA


THE COMPANY REPRESENTATIVE will fill out a form for receiving pieces, parts, accessories,
components and/or equipment upon receiving them.

9.4. SERVICE CONTROL


The COMPANY REPRESENTATIVE will authorize with his signature on the initial technical sheet the
scope of the same, defining the items to be canceled subsequently; THE CONTRACTOR will deliver the
original to the COMPANY REPRESENTATIVE and will keep a copy. THE CONTRACTOR must present
a weekly report indicating the completed activities, schedule of planned activities and their progress, real
time of the activities executed and the metric calculations used in the contract.

9.5. WARRANTIES AND ACCEPTANCE OF THE SERVICE


THE CONTRACTOR who executes the REPAIR OF ROTATIONAL HEADS Service will have a
guarantee of good execution. In this regard, it is established that neither the acceptance of the work by

the COMPANY REPRESENTATIVE nor the payment thereof will release THE CONTRACTOR from its
responsibility for defective work due to causes attributable to it. The Contractor will guarantee the work
executed for six (06) months from Installation or twelve (12) months from the date of delivery to THE
COMPANY , whichever occurs first. If a failure occurs during this period, THE CONTRACTOR must
send a technician to evaluate the equipment and determine with THE COMPANY REPRESENTATIVE
the repairs that may be required. It is important to highlight that the CONTRACTOR 's personnel who
are going to attend to these guarantees must not enter any PDVSA facility without the corresponding
permit, in addition to carrying out the ART of the activities that will be carried out in the field. In the event
of failure of the equipment once installed, for reasons attributable to the contractor, determined through
a joint technical meeting, THE CONTRACTOR undertakes to replace and/or carry out any repairs that
may arise and any damage that is also a consequence of said defects. . PDVSA is not done

responsible for extra subcontracting expenses by THECONTRACTOR to carry out any additional work.

The provisions of this Section do not replace or limit the responsibility of THE CONTRACTOR provided
for in Art. 1637 of the Civil Code.

Note : All warranty claims will be notified in writing to the contractor with a defect report.

Below are the technical specifications for the REPAIR OF ROTATIONAL HEADS

GAME Nº 1. GENERAL REPAIR OF THE ROTATION HEAD.

SCOPE:

This item includes the disassembly, evaluation, cleaning, installation of parts and pieces,
painting, assembly and testing (it does not include the repair of the head shaft) of the
rotational head.

MEASUREMENT:

This item will be measured per unit (UND) of component supplied by the contractor, according
to the scope established in the technical specifications.

WAY TO PAY:

Payment will be made per unit (UND) of component supplied by the contractor and released,
according to PDVSA standards and procedures to the complete satisfaction of the PDVSA
REPRESENTATIVE.

GAME Nº 2. REPAIR OF THE ROTATIONAL HEAD SHAFT

SCOPE:

This item includes the contribution of material and machining of the shaft up to the standard
operating measurements or indicated by the PDVSA REPRESENTATIVE as the case may
be.

MEASUREMENT:

This item will be measured per unit (UND) of component supplied by the contractor, according
to the scope established in the technical specifications.

WAY TO PAY:

Payment will be made per unit (UND) of component supplied by the contractor and released,
according to PDVSA standards and procedures to the complete satisfaction of the PDVSA
REPRESENTATIVE.

GAME Nº 3. SUPPLY OF COMPONENTS FOR REPAIR OF KUDU ROTATIONAL HEADS

SCOPE:

This item includes the supply of materials and components necessary to carry out the
maintenance of the rotational heads used in the operational areas for the extraction of crude
oil. THE CONTACTOR must guarantee having the specialized equipment and personnel to
carry out the Initial evaluation. of the KUDU brand rotational heads in conjunction with the
Venezuela workshop personnel of the Carabobo and/or Ayacucho Division, preparation of a
list of damaged parts and/or equipment to be replaced to replace so that the heads remain
operational, the CONTRACTOR must consider the transfer of the damaged Parts and/or
equipment that are required, from the CONTRACTOR's warehouses to the Carabobo Division
and/or Ayacucho Division, likewise the CONTRACTOR must guarantee the availability of
specialized personnel to carry out the activities that cannot be completed in the PDVSA
workshops of the Carabobo and Ayacucho Divisions. .

MEASUREMENT:

This item will be measured per unit (UND) of component supplied by the contractor, according
to the scope established in the technical specifications.

HEADS

SCOPE:

It includes the supply of materials and components necessary to carry out the maintenance of
the rotational heads used in the operational areas for the extraction of crude oil. THE
CONTACTOR must guarantee having the specialized equipment and personnel to carry out
the Initial evaluation of the WHEATERFORD brand rotational heads in conjunction with the
personnel of the Venezuela Carabobo and/or Ayacucho Division workshops, preparation of a
list of damaged parts and/or equipment to be replaced to replace so that the heads remain
operational, the CONTRACTOR must consider the transfer of the Damaged parts and/or
equipment that are required, from the CONTRACTOR's warehouses to the Carabobo Division
and/or Ayacucho Division, likewise the CONTRACTOR must guarantee the availability of
specialized personnel to carry out the activities that cannot be completed in the PDVSA
workshops of the Carabobo and Ayacucho Divisions. .

MEASUREMENT:
