Background Statement:

IQVIA needs to work with a third-party vendor called Quickwork Services Ltd., who have been
contracted by IQVIA to provide the following services: “Developing and distributing patient
questionnaires”. The budget for the Services is US$ 10,000.00. The services undertaken by
Quickwork Services Ltd will start on 10 February 2021. The IQVIA entity signing the vendor
Work Order should be IQVIA RDS Inc., with address at 4820 Emperor Boulevard, Durham,
North Carolina, 27703, USA. The project number is ABC12345.

IQVIA has a Master Services Agreement (“MSA”) with Quickwork Services Ltd. dated 01
September 2020 which is specific for the afore-mentioned services. Per the terms of the MSA,
the parties need to issue Work Orders when working on any project. This is the tenth Work
Order under the MSA. A sample Work Order format as agreed in the MSA is given on page 2.
The MSA covers all legal and commercial terms and hence no additional legal terms are required
in the Work Order. The payment terms in MSA is of 60 days. The term of this Work Order
starts/Work Order becomes effective when the services undertaken by Quickwork Services Ltd
begin.

Based on the sample Work Order format, the vendor has drafted a Work Order (given on page 4
onwards). As a member of IQVIA’s Lead Contracts Negotiators team, you have been assigned to
review the Work Order with Quickwork Services Ltd.

UK (“IQVIA”) and relates to the Master Services Agreement dated 24 September 2020 (the
“Master Agreement”). Pursuant to the MSA, IQVIA has agreed to perform certain services in
accordance with written statements of work, such as this one, entered into from time-to-time.

The parties hereby agree as follows:

1. Statement of Work. This document constitutes a “Statement of Work” under the

Master Agreement, and this Work Order and the services contemplated herein are subject to the
terms and provisions of the Agreement.

2. Services and Payment of Fees and Expenses. The specific services contemplated
by this Statement of Work (the “Services”) and the related payment terms and obligations are set
forth on the following attachments, which are incorporated herein by reference:

5. Additional Terms:
a) IQVIA shall indemnify, defend and hold harmless Vendor and its affiliates, and its and their
directors, officers and employees (each, a “Vendor Indemnified Party”), from and against any
from and against any and all losses, damages, liabilities, fines, reasonable attorney fees, court
costs, and expenses (collectively “Losses”), resulting or arising from any claims, actions,
proceedings, investigations or litigation relating to or arising from or in connection with the
Agreement or the Services contemplated herein.

 b) Audits. During the term of this Statement of Work, IQVIA will permit Company’s
representatives to examine or audit the work performed by IQVIA hereunder.

Payment Schedule

1. Budget

In consideration for the Services performed and expenses incurred in accordance with the
Agreement and Work Order, Company will pay IQVIA for the amount in the budget
specified below. All other provisions of this SOW, notwithstanding, the total sum payable
under this Work Order shall not exceed $12000 (Twelver Thousand US Dollars) (inclusive of
all fees, costs, expenses and other amounts) without IQVIA’s prior written consent.

IQVIA shall make the payment within 30 days of receipt of the invoice.
