TSA - TANK STORAGE AGREEMENT


This Tank Storage Service Agreement is dated as of JUNE 27, 2024, for the storage of
200,000 MT of EN590 and 2,000,000 BBLS of JET FUEL A1,

1. SCOPE OF THE CONTRACT
1.1. We undertake the receipt, storage, inventory, rental, and packing of 200.000 MT
of EN590 & JET A1 2,000,000 BBLS (hereinafter – the “petroleum product”), by this
agreement on the provision of services for storing and keeping petroleum products,
and customer:

agrees to accept and pay for these services rendered promptly and within the terms
set forth herein.
1.2. The customer shall pay for the provided services in the amount, manner, and subject to
the conditions stipulated in this agreement.
1.3. Acceptance, storage, and delivery of petroleum products made by the LESSOR is in
accordance with applicable laws, rules, and regulations establishing procedures for
admission storage, release and accounting of oil and tank farms, bulk items, and filling
stations using rules of natural attrition, which are excluded from the total amount of the
product taken for safe keeping. In the rules of natural loss summarized included norms
of natural loss of petroleum products at a reception in the tanks, the rules of natural
wastage during storage as well as the norms of natural loss during loading. Norms of
natural loss accounted for and to be estimated on a monthly/daily basis in the card’s
records storage and oil tank farms, bulk items, and filling stations application of the rules
of natural attrition, which are excluded from the total amount of the product taken for
safe keeping.

2. RIGHTS AND OBLIGATIONS OF THE PARTIES


2.1. The LESSOR agrees to:
2.1.1. To take custody of customer-owned petroleum products in terms stated in this present
agreement at the loading port (in the on-shore or floating storage.

2.1.2. Timely receipt and shipment of petroleum products to the customer, as well as shipment
to other customers based on duly executed by customer and administrative documents.
2.1.3. Loading of product and deposition of the petroleum products demand (distribution list)
according to the schedule of the customer supplying vessels authorized representative

of the customer on the testimony of coastal counters. In case of failure counter, it is
allowed to make measurements of the volumetric method for shore tanks. In shipping
documents, the level of the tanks of the vessel must be shown, the temperature and
density of the petroleum product in the vessel’s tank.
2.1.4. Provision of storage for petroleum products in the proper fire safety and security
conditions, guarantee the quality and safety of petroleum products.
2.1.5. Transmitting to the customer payment in the rates of natural loss in the cards records
storage, provide the customer for review and signing of the Certificate of Completion
and services rendered after all proper checking and payments.

2.2. The LESSEE agrees to:


2.2.1. Transfer petroleum products in the terms and in the amounts as agreed in writing format
in this present contract.

2.2.2. It is the duty of the buyer to enter different contracts with the carriers of the productfrom
the refinery to the tank storage facility and pay for their services as agreed with the
carrier in transporting the petroleum products to the storage site facility. During
transportation to the storage tanks of petroleum products by rail. The own or (rented)
tank shipper (carrier) be the customer shall return the tank to the station address of the
consignor in the registry at full shipping details.
2.2.3. Timely payment for services rendered by paragraph 3.1 of thisagreement.
2.2.4. Notification must be made to the LESSOR of all banking, shipping and vessel details,
address, phone, all data concerning the loading of the product, the company(s) that will
be responsible for all loading and shipping of the goods from our tank storage facility to
the buyer’s destination port.
2.2.5. Ensure the filling of tanks on the vessel with oil cargo seals.

3. PAYMENT TERMS AND CONDITIONS / METHOD OF PAYMENT


3.1. The LESSEE shall pay for the ex-shore tank to be in use in receiving and storing the
petroleum product within less than 24 hours after the LESSOR has issued the invoice.
3.2. The LESSEE will inform the LESSOR of the date of issuing the invoice according to the
LESSEE’s contract with his supplier of the petroleum product. The invoice will be valid

only after the LESSEE will inform the LESSOR to remit the invoice.
3.3. The LESSEE shall pay for the ex-shore tank to be in use in receiving and storing
petroleum products in Euro (€) via SWIFT MT103/TT directly into the fiduciary/onshore
or nominated bank account provided in the invoice as issued to the LESSEE company
by the LESSOR, duly signed and sealed by the general manager.
3.4. The total amount, to be paid by the LESSEE for the temporary storage of the petroleum
product in an ex-shore tank for one (1) day, is the amount of the rate by the quantity
stored per month; otherwise, the standard tariff will apply for receiving and storing of
the petroleum product in our tank storage facilities at Rotterdam / ARA ports / floating
storage.
3.5. Upon remittance of the payment for the number of days, the LESSEE intends to store
the petroleum product in the ex-shore tank; the storage period shall start counting from
the day the petroleum product is injected into the ex-shore tank.
3.6. The accepted payment method is USDT/ SWIFT MT103 wire transfer of Telegraphic
Transfer (TT).
3.7. REFUND POLICY: The payment for the storage will become effective and count upon
the first drop of the petroleum product or injection into the tank. In the case whereby the
allocated tanks remain unused “clean and empty,” the LESSEE is liable to request for
a refund, which the storage company is liable to refund to the LESSEE upon receipt of
the request for a refund by the LESSEE.

4. ACCEPTANCE OF PETROLEUM QUANTITY AND QUALITY


4.1. Customer LESSEE for acceptance of petroleum products from the carrier acts as the
cargo with all the rights and duties established by this agreement and applicable law.
The LESSOR provides technical support in the process of receiving the petroleum
product into the tank farm and they are responsible for the correctness and timely
processing of the claim by documents but does not enter into compliance between the
customer and the shipper.
4.2. The LESSOR shall accept petroleum products in quality according to the passport
quality and copy of the certificate (declaration) of compliance by sampling for analysis
in the laboratory of the LESSOR in accordance with ISO or relevant international
standards of quality on the accompanying documents. In case of non- quality products

received in accompanying documents on the results of the analysis carried out in the
laboratory of the LESSOR, acceptance of the products is suspended and shall be drawn
up and addressed the issue of the acceptance of products at a lower quality.
4.3. Acceptance of petroleum products deposited on the number of tanks and serviceable
and intact seals shipper carried out by successive opening and measurement of each
tank of the party received in given density, the actual temperature of the petroleum
product and the amount of produced water.
4.4. After receiving the petroleum products and the necessary documents of the customer,
the contractor shall draw up and accept the deposit of the actual amount of the product
as defined by a body-mass method using measurements, passed the state verification,
signed by the responsible persons of both parties.

5. RESPONSIBILITIES OF THE PARTIES


5.1. For any failure to perform an obligation under this agreement, the parties shall be liable
by the applicable law and terms of this agreement otherwise LESSOR or LESSEE can
cancel the present agreement by E-mail.

5.2. In case of late payment of the cost of services of trans-shipment, storage, as well as
additional services (railway services, the cost of the return tank wagons, etc.) the
LESSEE shall pay the LESSOR at the option of the last penalty in the amount of 0.2%
of the total payment amount for each day of delay of fine of “as per standard tariffs”
(amount in figures (as per tariff) Euros, as well as to compensate for losses to the extent
not covered and words) by forfeit.
5.3. The contractor shall not be liable for the qualitative and quantitative safety of the
petroleum products after filling the vessel with petroleum product seals customer cargo.

6. FORCE MAJEURE
6.1. About this agreement, all rules of the International Chamber of Commerce, to force
majeure.
6.2. Neither of the parties shall not be liable for the total or partial failure to fulfill its
obligations if such failure is the result of force majeure, such as fire, flood, strike, war
(whether declared or not declared), riots, embargoes, accidents, restrictions imposed

by any governmental authority (including protectionism, quotas, price controls) or any
circumstances beyond the control of the contracting parties, arising after the conclusion
of the contract.
6.3. If any of the above circumstances directly affect the fulfillment of the obligations in the
period determined in the contract, the term is to be extended accordingly for the
duration of the force majeure.
6.4. The party who fails to perform his/her obligations under the contract must immediately
notify the other party in writing format of the alleged from the beginning, duration or
respectively of the cessation of the circumstances that hinder the implementation of
these commitments.
6.5. In the circumstances specified in paragraph 6.2 of this agreement, a party that fails to
perform its obligations under this agreement, shall within five (5) calendar days, notify
the other party in writing format.

7. DURATION OF THE AGREEMENT, THE BASES AND PROCEDURE FOR


AMENDMENT AND TERMINATION OF THE CONTRACT
7.1. All changes and additions to this agreement shall be valid in the case of registration in
writing and signed by both parties.
7.2. Parties are entitled to terminate this contract by mutual agreement.
7.3. This TSA is valid until JUNE 27, 2025.

8. DISPUTES
All disputes arising between the parties on the performance of obligations under this
agreement shall be settled through the Court of Law in Rotterdam. In this case, the substantive
law to resolve disputes under this agreement shall be the law of the Netherlands.

9. TANK SUBLEASEMENT
The tanks to be leased via this Tank Storage Agreement and a future Tank Storage Receipt
are subleased Tanks of General Speed Logistics B.V.

10. OTHER CONDITIONS
10.1. All written amendments to this contract shall be valid only if they are signed by both
parties promptly.

10.2. The text of this contract is made in English and signed in duplicate. So, all copies have
the same legal force.

10.3. All amendments to this contract shall be valid only if served in writing and in the
presence of signatures of both parties, however, they are permitted and fax or E-mail.

10.4. Any information contained in here should be kept confidential and shall not be disclosed
to any 3rd party for any reason, must not be reproduced in any way in the future.

10.5. If you change the name, address, bank, shipping details, and other data, each party
shall within three (3) working days inform the other party of changes that occurred, in
writing.

10.6. In all other cases not covered by this agreement shall be governed by applicable law.

10.7. This agreement is made and signed by two parties of equal legal force and kept one
for each party.
