PREAMBLE
WHEREAS:
ARTICLE 1
1.0 DEFINITIONS

3.2. Provided always that the Purchase Price shall be paid by the Purchaser
to the Vendor in two (2) installments as follows;
ARTICLE 4
4.1.1 That in the event the sale and the eventual transfer
envisaged in this Agreement shall fail for no fault of either
the Vendor or of the Purchaser, parties here-in shall
relapse to the status quo whereas all the monies paid to
the Vendor by the Purchaser in consideration of the sale
shall be refunded to the Purchaser in full by the Vendor.
4.1.2 that the Vendor upon signing of this Agreement and the
transfer documents shall allow Advocate

interest of the purchaser, to seek approval for the
transfer from the Land Commissioner or his duly
authorised officer stationed at the Arusha City Land Office
and lodge all the necessary documents with the Land
Registry Moshi.
4.1.3 That the Vendor shall execute and hand over all the
original relevant transfer documents of the above
mentioned Property to Advocate ……………………………………….
on the signing date of this Agreement.
5.1.1 The Vendor has good marketable title to the Property and
that the Property is not subject to any mortgage, charge,
lien, lease or other encumbrance of any nature
whatsoever.
5.1.6 That the Vendor shall settle all the outstanding bills,
levies and taxes associated with the Property prior to the
handing over of the Property to the Purchaser.
ARTICLE 6
6.1 The Vendor and the Purchaser hereby expressly agree that the
completion of this Agreement will take place on the happening of the
following events:

6.1.9 The Vendor and the Purchaser shall each pay the legal
fees payable to his/her advocate for services proffered in
connection of this transaction.

7 NOTICE
7.2 For the purpose of notice by one party to the other party in this
Agreement, herein below are the parties addresses;

9 MISCELLANEOUS PROVISIONS
9.1 Except in the case of express waiver, the fact that one Party
does not exercise all or any part of its rights, which are
conferred upon it by this Agreement, shall not constitute in any
event the waiver, or abandonment of the rights not exercised.
