1. PARTIES

* FLAIR ORGANISATION located at 402 Orchard Rd, #01-01, Singapore 238876 (hereinafter referred
to as the event host)

2. TOPIC

The subject of this contract is to provide the services determined by this contract by the Event Owner
within the framework of the event determined in the venue and time period specified in Article 4 and
to determine the rights and obligations of the parties in this regard.

3. DURATION
This contract enters into force on the date of signature and ends after the contractual obligations are
fulfilled by the parties.

5. OBLIGATIONS OF THE PARTIES

5.1 The Venue Owner declares and undertakes to hold the event agreed upon with the event owner
at the date(s) and venue/venue(s) specified above within the framework of this agreement and
during its validity period and to provide the appropriate environment and conditions for the relevant
event.

5.2 Technical equipment and services required/may be required by the event will be provided by the
venue owner, and in exceptional cases, if the parties agree, additional equipment and services will be
brought from outside by the event owner, at the expense of the venue owner.

5.3 The event owner is responsible for the loss of all equipment and materials required by the event
or any damage that may occur to the equipment and materials delivered to him before or after the
event (including those left behind).

5.4 The event owner is obliged to have the artist(s) specified as the name of the event and listed in
Article 4 ready at the event venue on the specified date and to make the necessary preparations for
them to present the event and present the event.

5.5. All taxes, duties and other expenses related to the preparation of the contract belong to the
venue owner.
5.6 All expenses other than accommodation for the artists coming to the event (Artist fee, Agency
fee, road fees, food and beverage, etc.) belong to the event owner.

6. PAYMENT

6.1 Since the event will be held on the date(s) and venues specified in the contract, the following
points will be taken as basis for the event.

7. SPECIAL PROVISIONS

7.1 Government restrictions, orders to be given by official authorities, laws or instructions to be put
into effect, official prohibitions or measures regarding the declaration of a state of emergency in the
country, extraordinary situations such as strike, lockout, epidemic, quarantine, terrorism, earthquake
and the venue owner's inability to exercise his right to operate. If the venue owner cannot partially
or completely fulfill any of its obligations in this contract for reasons beyond its control, the venue
owner will only be responsible for the expenses incurred by the event owner up to that point and the
contract will be terminated. automatically. In this case, if the event owner has incurred any expenses
in accordance with the terms of the contract, the relevant expenses cannot be refunded.
7.2 The event owner is obliged to postpone the event to a new date to be agreed upon by the parties
in case of a health problem that may occur beyond the artist's will and control.

7.3 The venue owner is responsible for all written brochures, invitations, posters, etc. promoting the
event. It is obligatory to use the name and logo of the event owner together in all advertisements
and promotions on products and visual media and must obtain approval from the event owner
before using it.

7.4 The event owner reserves the right to claim damages if the event owner suffers damage or any
damages to third parties due to the venue owner's violation of the provisions of the contract, and the
venue owner is responsible for these damages. Likewise, the event owner is responsible for any
damage that the venue owner may incur due to his/her breach of this contract.

8. TAKEOVER

This agreement cannot be transferred, and/or all or part of the rights specified within the scope of
this agreement cannot be eliminated.

10. DIVISIBILITY

If a court or competent authority finds any provision (or part of a provision) of this agreement
invalid, illegal or unenforceable, such provision or part of the provision will be deleted to the extent
necessary and the enforceability and validity of the other provisions of this agreement will not be
affected. If an invalid, unenforceable or illegal obligation in this contract is to be valid, enforceable or
legal, the relevant obligation will be implemented by making it legal, valid or enforceable with the
least possible change.

11. TERMINATION CONDITIONS AND CONSEQUENCES OF THE CONTRACT

If either party does not comply with the conditions and any other obligations specified in the
provisions of the contract, the other party will warn or notify the other party to fulfill the obligations.
If the other party does not fulfill its obligations despite this warning or notice, the other party may
terminate the contract unilaterally. In this regard, the parties reserve the right to demand material
and moral damages and penal clauses from each other.
12. DISPUTE RESOLUTION AND COMPETENT COURT

The parties will first try to reach mutual agreement in resolving disputes arising from this agreement,
and if they cannot agree, the place of resolution of the disputes will be Courts/enforcement offices.
