Respected Sir

In Pursuant to Letter No. RoCKanpur248(1)0645282018, Notice for removal of Name of the


company from Register of Company pursuant to subsection 1 of section 248 of Companies
Act 2013, the letter is in reply of the above-mentioned notice.
The company M/s. Maharaja Telesystems Pvt. Ltd. (CIN- U64204UP2012PTC053181) was
incorporated on 19/10/2012 under Companies Act 1956 with the objective of Digital Cable
business.
Currently, a matter of management dispute is subjudice before (NCLT) Allahabad vide an
NCLT CP no 117/2015, the said matter was again restored by the NCLT Allahabad vide a
CA No. 93/2018.
Further, for running a said business of Digital Cable, Company herein entered into a
Memorandum of Understanding (MOU) dated 2nd of December 2013 with Den Networks
Ltd. for jointly doing Cable business in Mathura.
Due to Breach of grounds of MOU and provisions governed by Telecommunication
(Broadcasting & Cable Services) Interconnections (Digital Addressable Cable Television
System) Regulations 2012 (as amended to-date), by the other party that is Den Network Ltd.,
has resulted in hindrance to Business activity by illegal disconnection of signals, since then
company is unable to continue its business as the essential part of business was depend on
the regular supply of the signals by the Respondent. A case with petition No – 363 of 2016 is
pending before the Telecom Dispute Settlement & Appellate Tribunal, New Delhi, in respect
to above-mentioned breach.
The case for restitution and enforcement of MOU is already Subjudice before the Telecom
Dispute Settlement & Appellate Tribunal, New Delhi with an intention to carry on business
in future
In addition to it, a notice from ADM Finance & Revenue, Mathura, Uttar Pradesh addressed
to Sh. Vivek Sharma who was one of the officials of the Respondent (Den Network Ltd)
was served for production of necessary documents , failing which had resulted in the sealing
of all the equipment and/or hardware and the corporate office of the (M/s. Maharaja
Telesystems Pvt. Ltd.) by local authorities. Due to the sealing of the corporate office of the
company, the director is unable to access any file or documents which are required for annual
filings.
In respect of the same the performance of business activity was hindered, so in respect of
same, it’s a request to revoke the notice for removal of the name of the company from the
register of companies.
