LEASE AGREEMENT

This agreement is made at Delhi on 6th September 2018

BY AND BETWEEN

Mrs. Neelam aged 54 years, wife of Mr. Anjani Kumar, residing at C-28, C Block, Vikas Vihar,
Kakrola, South West Delhi, Delhi - 110078 (hereinafter referred to as the “Lessors”/ “First Party”
which expression, unless repugnant to the subject or context, shall include his/her heirs, successor,
legal representatives and permitted assignees) of the First part.

AND

Nestaway Technologies Private Limited, a private limited company registered under the Companies
Act, 2013 having its Registered Office at 1546 & 1547, 19th Main Road, Beside Biryani Zone, Sector
1, HSR Layout, Bengaluru, Karnataka 560102 (hereinafter referred to as the “Lessee”/ “Second
Party” which expression, unless repugnant to the subject or context, shall include his/her successor,
representative and permitted assignees) of the Second part.

A. The lessors have represented that she is the rightful owner of the Plot No. 257, Ground
Floor, Akshardham Apartments, Sector 19, Dwarka, New Delhi - 110078. (hereinafter
referred to as the “Premises “) and has a clean and unrestricted right there to and is legally
competent to enter into this Agreement.

B. The Lessors have further represented that the Premises is free from all liens, charges,
encumbrances, and is in accordance with the sanctioned plans and all statutory approvals
relating to the premises have already been obtained.

C. Based on the representations made by the Lessors, Lessee is desirous of taking the
Premises on lease for a period of 11 months commencing from 1st September 2018 and has
approached the Lessors for the same.

D. The Lessors have agreed to give the Premises on lease on the terms and conditions as
mentioned hereinafter.

NOW THIS AGREEMENT WITNESSETH AS UNDER:

1: SCOPE:

A. That the lessee shall occupy and use the premises for the purpose of utilising/running it as a
Ware-house.

B. That the lease shall be for a period of 11 months commencing from 1st September 2018 and
ending on 31st July 2019. There will be 10% rental increase after every subsequent year.

2: RENT:
A. That the Lessee shall pay to the Lessors lease rent of INR 25,000/- (Rupees Twenty Five
Thousand only) per month in advance on or before the 7 th day of each English Calendar
month, subject to deduction of tax at source as applicable.

B. The lessors have agreed to provide parking for one vehicle as per applicable rules.

C. Refundable Security deposit INR. 25,000/- (Rupees Twenty Five thousand only)
equivalent to 1 (One) months’ rent has been paid via NEFT Transfer vide transaction no.
CMS-180903001XRV dated 04-09-2018.

D. Maintenance charges as charged by the maintenance agency from time to time shall be
paid by the lessor directly to the maintenance agency on monthly basis or as per the terms of
the maintenance agency. Electricity bill shall be paid by the Lessee directly, as per actuals.

E. Furnishing shall be done by the Lessee at his own cost.

F. The premises shall be handed over to the lessors at the end of the tenancy subject to normal
wear and tear.

3: That the amount of security deposit paid by the Lessee during the lease period shall be kept
by the Lessors which shall be refunded by the Lessors to the Lessee without any interest,
upon the Lessee handing over physical vacant possession of the premises on expiry of the
lease period or earlier, as the case maybe. No adjustment of rent payable under this agreement
for any given month, shall be made against security deposit.

4: The Lessors agree to permit the Lessee to carry out additions/alteration in the premises, at the
sole cost of the Lessee, but without in any manner damaging the main structure, as may be
necessary for the business of the Lessee. Provided that, if any such additions or alterations,
require the prior approval or permission of any municipality or any other local body or govt.
authority, the Lessee shall not carryout such additions or alterations, or erections without
obtaining their prior permission.

5: The Lessee shall pay to the Lessors, rent and all other sums payable under this Lease
agreement by 7th day of each calendar month in advance for the month in respect of which
such amount(s) are payable.

6: The Lessee undertakes to use the premises for ware-house purpose only and undertakes not to
carry on or permit to be carried on, in the premises or in any part thereof, any activities which
shall be or are likely to be unlawful, obnoxious or cause nuisance, annoyance or disturbance
to other tenants/occupants of the complex, or store any goods of hazardous or combustible
nature of which are heavy so as to affect the construction or the structure of the building or
any part thereof or in manner interfere for common use. The usage of the premises for
office/shop shall be unrestricted and shall be made available at all times of day and night to
the Lessee, its employees, servants, representatives, customers, visitors and invitees.

7: That upon the expiry of 11 month commencing from 1st September 2017, this Lease will
expire and come to an end, unless the same has been renewed for a further period predefined
and agreed mutually by the Lessee and the lessor 2 months before expiry of the agreement
and upon terms and conditions as mutually agreed upon.

8: That simultaneous to the Lessee paying all its dues under this agreement and
delivering, vacant and physical possession on or before the last day of the lease, the lessor
shall refund all refundable deposit under this agreement at the time of vacation of the said
premises, without any demur or protest.
9: That the Lessor shall have the right to sell or transfer the premises during the period of lease
to any third party. The Lessor shall however ensure that the transferee/purchaser of the
premises shall be bound and adhere to the terms and conditions of this lease agreement, so as
to ensure uninterrupted and peaceful enjoyment of the premises by the Lessee during the
remaining period of lease. The lessor is also hereby bound to give a prior written
communication to Lessee in this regard. Any expenses, whether statutory or otherwise,
relating to such transfer shall be borne by the Lessors or the transferee. No expenses will
devolve on the lessee, in any manner whatsoever.

10: Any govt. statutory authority, administrative expenses etc. that may be required to be
increased in this period will be borne by the Lessor and there will be no expenses to be borne
by the Lessee under any given circumstance.

11: That the Lessee or Lessor can terminate the lease deed at any time during the term of the lease
by giving a prior written notice of 1 (One) months. A written communication by the
registered post/courier will be deemed to be the communication required for the purpose. Any
other form of intimation/notice shall not be considered as effected upon the other party.

12: That the Parties hereto unconditionally and irrevocably agree to submit to the exclusive
jurisdiction of the competent courts in Gurgaon only with regard to any question or matter
arising out of this Agreement and/or any other documents that may be executed by the parties
hereto or any of them in pursuance hereof or arising here from.

IN WITNESS WHEREOF, BOTH THE PARTIES HERETO HAVE SIGNED THIS


AGREEMENT AT GURGAON ON THE DAY MONTH &YEAR WRITTEN FIRST HEREIN
ABOVE IN THE PRESENCE OF BELOW NOTED WITNESSES.
