MEMORANDUM OF AGREEMENT

This agreement is made on the day of December 2023 between:

SMK CAKRA NUSANTARA with address on Jl. Tukad Pakerisan No. 25, Panjer, Denpasar, Bali,
Indonesia hereinafter referred as “Party A”.

ALL ASIA AIR CENTRAL, INC. with address at Unit 4A&5A Bldg.4 Salem Complex Domestic
Road, Pasay City, Philippines hereinafter referred as “Party B”.

This contract is valid for a period of two (2) years, until the 31st of December 2025. Should neither
party notify the other party of its refusal to extend the contract in writing two months before its
termination, the contract will automatically be renewed for one year. This renewal process applies
annually.

A. SCOPE OF SERVICES
Party B will provide Online Private Pilot Training Ground School (PPL) for Party A’s students and
those who enrol in PPL through Party A with a complete online teaching environment as per Party A’s
specifications.

B. GENERAL RULES AND POLICIES

1. The Party B shall provide PPL online ground school.
2. The Party B shall provide certified Ground instructor for online classes.
3. The Party B shall furnish the class schedule prior to the commencement of each class.
4. Both Party A and Party B must notice of class cancellation ahead of the scheduled time.

C. COURSE DETAILS
1. Schedule: 2-3 times a week (to be confirmed)
2. Duration: 1 hour per session (to be confirmed)
3. Class requirements: ZOOM
4. Time: 1-3 pm Bali time (to be confirmed)
5. Starting Date: 23/30 January 2024 (to be confirmed)

D. INTELLECTUAL PROPERTY
Any intellectual property developed during the course, including course materials,
presentations, and content, shall remain the property of the originating party. Usage and
reproduction of such materials must be agreed upon in writing by both parties.

E. FORCE MAJEURE
Either party shall be excused from any delay or failure in performance caused by reasons
beyond their control, such as acts of nature, governmental actions, or other force majeure
events. The affected party shall promptly notify the other party of the occurrence of such
events.

F. MARKETING AND PROMOTION

Party A and Party B shall collaborate on marketing and promoting the online PPL course. The
roles and responsibilities for advertising and attracting students will be mutually decided
upon by both parties.
G. REGULATORY COMPLIANCE
Both parties shall comply with all applicable laws and regulations governing online education
and aviation training in their respective jurisdictions. Any changes in regulations shall be
promptly communicated between the parties.

H. COST AND PAYMENT PROCEDURE

1. Private Pilot License tuition fee is four hundred US Dollar (US$ 400).
2. Party A is responsible for recruiting students for Online PPL classes.
3. Party A shall provide the list of students who enrol online PPL class and Party B will
issue invoices to students directly within one week of the receiving the student list.
4. Students pay directly to Party B’s bank account, the details of which will be
communicated upon invoice receipt.
5. Party B provide the class schedule to students before the class begins.

I. TERMS AND CONDITION

1. Classes commence every month.
2. Students shall purchase the online textbook.
3. Party B will send the class link to students

J. CONFIDENTIALITY
Any agreement for both parties shall be treated confidentially and shall not be disclosed to

any third party without prior written consent from other party.

K. TERMINATION
In the event of either party failing to fulfil obligations, the other party shall issue a written
notice. The defaulting party will have a reasonable time to rectify the matter, and if not
rectified to the satisfaction of the other party within the specified timeframe, the contract may
be terminated with a thirty (30) day notice.

L. ENTIRE AGREEMENT
Verbal agreements will not be established as formal agreements. Therefore, every change of
agreements must be in writing and signed by an authorized representative of both parties.
M. LANGUAGE
The governing language of this agreement will be Bahasa. In case of discrepancies between the
Bahasa and English versions, the Bahasa version shall prevail.

N. GOVERNING LAW
This agreement shall be governed by and construed in accordance with the laws of Indonesia,
exclusive of its choice of law provisions.

Both party A and Party B agreeable with the foregoing, kindly signify acceptance for terms and
conditions herein stipulated by signing in the appropriated space provided below.

 PERJANJIAN KERJASAMA

Perjanjian ini dibuat pada tanggal 1 Desember 2023 antara:

SMK CAKRA NUSANTARA dengan alamat di Jl. Tukad Pakerisan No. 25, Panjer,
Denpasar, Bali, Indonesia, selanjutnya disebut sebagai "Pihak A".

ALL ASIA AIR CENTRAL, INC. dengan alamat di Unit 4A&5A Bldg.4 Salem Complex
Domestic Road, Pasay City, Filipina, selanjutnya disebut sebagai "Pihak B".

Kontrak ini berlaku selama dua (2) tahun, hingga 31 Desember 2025. Apabila salah satu
pihak tidak memberitahu pihak lain tentang penolakan perpanjangan kontrak secara tertulis
dua bulan sebelum berakhirnya kontrak, maka kontrak akan secara otomatis diperpanjang
selama satu tahun. Proses perpanjangan ini berlaku setiap tahun.

A. LINGKUP LAYANAN
Pihak B akan menyediakan Online Private Pilot Training Ground School (PPL) untuk siswa-
siswa Pihak A dan siswa yang mendaftar PPL melalui Pihak A dengan lingkungan pengajaran
online yang lengkap sesuai dengan spesifikasi Pihak A.

B. ATURAN DAN KETENTUAN UMUM

1. Pihak B akan menyediakan PPL online ground school.
2. Pihak B akan menyediakan instruktur Ground bersertifikat untuk kelas online.
3. Pihak B akan menyediakan jadwal kelas sebelum dimulainya setiap kelas.
4. Kedua Pihak A dan Pihak B harus memberi tahu pembatalan kelas sebelum waktunya.

C. DETAIL KURSUS
1. Jadwal: 2-3 kali seminggu (akan dikonfirmasi)
2. Durasi: 1 jam per sesi (akan dikonfirmasi)
3. Persyaratan Kelas: ZOOM
4. Waktu: 1-3 sore waktu Bali (akan dikonfirmasi)
5. Tanggal Mulai: 23/30 Januari 2024 (akan dikonfirmasi)

D. HAK KEKAYAAN INTELEKTUAL

Setiap kekayaan intelektual yang dikembangkan selama kursus, termasuk materi kursus,
presentasi, dan konten, akan tetap menjadi milik pihak asal. Penggunaan dan reproduksi
materi tersebut harus disetujui secara tertulis oleh kedua belah pihak.

E. FORCE MAJEURE
Salah satu pihak akan dibebaskan dari keterlambatan atau kegagalan kinerja yang disebabkan
oleh alasan di luar kendali mereka, seperti bencana alam, tindakan pemerintah, atau peristiwa
force majeure lainnya. Pihak yang terkena harus segera memberi tahu pihak lain tentang
terjadinya peristiwa tersebut.

F. PEMASARAN DAN PROMOSI

Pihak A dan Pihak B akan bekerja sama dalam pemasaran dan promosi kursus online PPL.
Peran dan tanggung jawab untuk periklanan dan menarik siswa akan disepakati bersama
kedua belah pihak.
G. KEPATUHAN PERATURAN
Kedua belah pihak akan mematuhi semua hukum dan peraturan yang berlaku mengenai
pendidikan online dan pelatihan penerbangan di yurisdiksi masing-masing. Perubahan dalam
peraturan akan segera dikomunikasikan antara kedua belah pihak.

H. BIAYA DAN PROSEDUR PEMBAYARAN

1. Biaya Private Pilot License adalah empat ratus Dolar Amerika Serikat (US$ 400).
2. Pihak A bertanggung jawab untuk merekrut siswa untuk kelas Online PPL.
3. Pihak A akan menyediakan daftar siswa yang mendaftar kelas Online PPL, dan Pihak B
akan mengeluarkan faktur kepada siswa dalam waktu satu minggu setelah menerima
daftar siswa tersebut.
4. Siswa membayar langsung ke rekening bank Pihak B, rincian akan diberitahukan setelah
menerima faktur.
5. Pihak B akan menyediakan jadwal kelas kepada siswa sebelum kelas dimulai.

I. SYARAT DAN KONDISI

1. Kelas dimulai setiap bulan.
2. Siswa diharuskan untuk membeli buku teks online.
3. Pihak B akan mengirimkan tautan kelas kepada siswa.

J. KERAHASIAAN
Setiap kesepakatan antara kedua belah pihak harus dijaga kerahasiaannya dan tidak boleh
diungkapkan kepada pihak ketiga tanpa persetujuan tertulis dari pihak lain.

K. PEMUTUSAN
Apabila salah satu pihak gagal memenuhi kewajibannya, pihak lain harus memberikan
pemberitahuan tertulis. Pihak yang gagal memiliki waktu yang wajar untuk memperbaiki
masalah, dan jika tidak diperbaiki sesuai dengan kepuasan pihak lain dalam waktu yang
ditentukan, kontrak dapat diakhiri dengan pemberitahuan tiga puluh (30) hari.
L. PERJANJIAN LENGKAP
Perjanjian lisan tidak dianggap sebagai perjanjian formal. Oleh karena itu, setiap perubahan
perjanjian harus secara tertulis dan ditandatangani oleh perwakilan yang sah dari kedua belah
pihak.

M. BAHASA
Bahasa yang mengikat dalam perjanjian ini akan menggunakan Bahasa Indonesia. Dalam hal
adanya perbedaan antara versi Bahasa Indonesia dan versi Bahasa Inggris, versi Bahasa
Indonesia yang berlaku.

N. HUKUM YANG BERLAKU

Perjanjian ini akan diatur dan diartikan sesuai dengan hukum Republik Indonesia, tanpa
memperhatikan ketentuan pilihan hukumnya.

Kedua belah pihak, Pihak A dan Pihak B, menyetujui semua ketentuan di atas dengan
menandatangani di ruang yang telah disediakan di bawah ini.
