RE: NON-DISCLOSURE AGREEMENT (NDA) FOR A GROUP OF SOLVING DIVERES
PROBLEM BASE ON COMPUTING
This Non-Disclosure Agreement (the "Agreement") is entered into as of ___________________,
by and between members of the group, a plateau state-jos corporation, with no principal place of
business ("Disclosing Party"), and
(name)____________________________________________, a ____________________ with
principal residence at, (address)________________________________("Receiving Party").
1. CONFIDENTIAL INFORMATION
The term "Confidential Information" shall mean any non-public information, including but not
limited to, trade secrets, proprietary information, business plans, technical data, software code,
designs, processes, algorithms, and any other information disclosed by the Disclosing Party to
the Receiving Party from either the WhatsApp group called (TEAM BRAINSTORMERS
(LOYALTY, TRUST, PATIENCE, CONFIDENCE, INTEGRITY, LONG-SURFFERING AND
STRENTH)) or any other kind.
2. OBLIGATIONS
The Receiving Party agrees to maintain the confidentiality of the Confidential Information from
the WhatsApp group called (TEAM BRAINSTORMERS (LOYALTY, TRUST, PATIENCE,
CONFIDENCE, INTEGRITY, LONG-SURFFERING AND STRENTH)) and not to disclose,
reproduce, or use the Confidential Information for any purpose other than the team’s
development purposes outlined in a separate official document that contains all team members
names and signatures.
3. EXCEPTIONS
The obligations of confidentiality set forth in this Agreement shall not apply to information that:
A. Is or becomes publicly known through no fault of the Receiving Party;
B. Is already in the possession of the Receiving Party without restriction in relation to
disclosure before receiving it from the Disclosing Party;
 C. Is independently developed by the Receiving Party without reference to or reliance upon
the Confidential Information; or
D. Is rightfully obtained by the Receiving Party from a third party without restriction on
disclosure.

4. RETURN OR DESTRUCTION OF CONFIDENTIAL INFORMATION

Upon the Disclosing Party's request or the termination of discussions or projects related to the
Confidential Information, the Receiving Party shall promptly return or, at the Disclosing Party's
option, destroy all copies of the Confidential Information in its possession.

5. NO LICENSE
Nothing in this Agreement shall be construed as granting, either expressly or by implication, any
license under any patent, trademark, copyright, or other intellectual property right of the
Disclosing Party.

6. GOVERNING LAW
This Agreement shall be governed by and construed in accordance with the laws of Nigeria,
without regard to its conflict of law principles.
7. TERM
This Agreement shall remain in effect for as long as it’s unterminated from the effective date
unless earlier terminated by mutual written agreement or as otherwise provided herein, or better
still properly compensated which will be in another official document stating why and how.
8. MISCELLANEOUS
This Agreement constitutes the entire understanding between the parties concerning the subject
matter hereof and supersedes all prior and contemporaneous agreements, whether oral or written,
between the parties relating thereto.
IN WITNESS WHEREOF, the parties hereto have executed this Non-Disclosure Agreement as of
the effective date first above written.
