Payment for the project will be due on the following terms:

30% invoiced upon project approval (net-30 terms)

9. Terms and Conditions

1. Governing Law: The terms of all business advancements with regard to this proposal shall be
construed in accordance with the governing laws of the state of [State].
2. Severability: If any provision herein the Agreement is deemed as unenforceable, invalid, or illegal by
the judicature of the [State], it shall be severed and the remaining provisions in the Agreement shall be
enforceable, valid, and binding, and shall continue in full force and effect.

remedies in favor of any person, party, or affiliate, other than the Parties duly undersigned.
8. Entirety: This Agreement and other annexures, therefore, constitute the entire agreement between the
Parties with respect to the matter of subject hereof and thus, supersedes all prior agreements,
purchases, understandings, and negotiations, written or phonated, between the Parties.
